1.      INTRODUCTION With reference to the announcement dated 14 October 2019, G3 has clarified that the Company has on 14 June 2019 submitted a tender to Technology Park Malaysia (“TPM”) to express their interest to develop a piece of land in Technology Park Malaysia to build their iconic artificial intelligence (“AI”) park.          The Board of Directors of G3 wishes to announce that Atilze AI Sdn Bhd (“AAISB”), a wholly-owned subsidiary of the Company has on 9 October 2020 received a Letter of Intent (“LOI”) on even date from TPM for the proposed development of Phase 3 Technology Park Malaysia, Bukit Jalil (the “Project”). 2.      SALIENT TERMS OF THE LOI          The LOI served as an expression by TPM on its intent to further engage with AAISB to discuss on AAISB’s Request For Proposal submissions and the Project. 3.      FINANCIAL EFFECTS OF THE LOI          The LOI is not expected to have material effects on the earnings, net assets and gearing of the Company for the financial year ending 31 December 2020. On behalf of the Board of Directors of G3 Global (“Board”), M&A Securities Sdn Bhd (“M&A Securities”) wishes to announce that the Company proposes to undertake the following: (i) proposed diversification of the existing business activities of G3 Global and its subsidiaries into the healthcare related business which includes the distribution of coronavirus disease 2019 test kits (“Proposed Diversification”); and (ii) proposed private placement of up to 432,849,300 new ordinary shares in G3 Globaln ("G3 Global Shares" or "Shares"), representing 20% of the total issued Shares to independent third-party investors to be identified later and at an issue price to be determined later (“Proposed Private Placement”).
