(I) all the remaining ordinary shares of RM0.75 each in sp setia (“sp Setia Shares”) not already owned by the Offeror and the person acting in concert with it (“pac”);
(ii) all the outstanding warrants 2008/2013 issued by sp setia (“Warrants”) not already owned by the Offeror and the PAC (“Offer Warrants”);
(III) all the new SP Setia Shares that may be issued prior to the closing of the Offer (as defined herein) arising from the exercise of outstanding options granted pursuant to SP Setia’s employees' share option scheme; and
