Announcement Details :
In compliance with Paragraph 3.2 of PN17/2005, Talam wishesto inform that the Company has obtained the conditional approval fromthe Securities Commission (“SC”) vide SC’s letter dated 6 May 2009 oncertain revisions to the Principal Terms and Conditions of theRedeemable Convertible Secured Loan Stocks and 10-Year Al-Bai BithamanAjil Islamic Debt Securities.
The SC and Bursa Malaysia Depository SdnBhd have also recently approved the proposed transfer of the redeemableconvertible preference shares and redeemable convertible secured loanstocks [collectively known as “Securities”] from Kumpulan Darul EhsanBerhad (“KDEB”) to 100 holders each holding 100 units of the Securitiesrespectively to meet the public spread requirement of Bursa MalaysiaSecurities Berhad. The SC has also approved an extension of time to 29June 2009 for Talam to complete the Regularisation Plan.
The SC’s approval on the proposed transferof Securities and extension of time are subject to the condition thatRHB Investment Bank Berhad and Talam to give detailed explanations ifthere are substantial variances between the Talam group of companies’profit and shareholders’ equity based on the audited financialstatements for the financial year ended 31 January 2009 and the figureswhich were submitted to the SC on 26 March 2009. The Company targets toissue the Securities to inter-alia, the lenders of the Company by endof June 2009.
This announcement is dated 1 June 2009.
