PEMBINAAN TERASIA SND BHD AND NUJADE GARDEN SND BHD


Announcement Details/Table Section :


1. INTRODUCTION

The Board of Directors of TSB wishes to announce that Pembinaan Terasia Sdn Bhd
(“PTSB”) a wholly owned subsidiary of the company had on 10/11/2011 signed a
Memorandum of Understanding with Nujade Garden Sdn Bhd (Co No. 728686-D)
(“NGSB”) of 124, Tingkat 2, Jalan Dato Bandar Tunggal, 70100 Seremban,
Negeri Sembilan Darul Khusus to grant the exclusive rights to construct and
develop two pieces of land belonging to PTSB for the development of 450
units of condominium.

2. CONTENTS

2.1 The details of the two pieces of land which to be developed are as follow :

i) A piece of freehold vacant land, held under GM 2502, Lot 1885, Mukim
Klang, Tempat Sungei Kandis, Daerah Klang, Negeri Selangor measuring
in area of 1.8211 hectar.

ii) A piece of freehold vacant land, held under GM 1927, Lot 1888, Mukim
Klang, Tempat Batu Gajah, Daerah Klang, Negeri Selangor measuring
in area of 18210.825 square meters.

The said lands are situated in the neighbourhood of TTDI Alam Impian and Alam
Impian I & P.

The accessibility to the subject properties are accessible via NKVE, NPE & ELITE
Highway, Lebuhraya Kemuning-Shah Alam (LKAS) Highway connect direct to
Federal Highway and the KESAS Highway, 5 minutes drive to Shah Alam City
Centre, 10 minutes drive to town Klang, 5 minutes away from Giant Supermarket,
banks and other amenities and Carrefour nearby.

2.2 In the Memorandum of Understanding, NGSB will be granted the exclusive rights
by PTSB to develop the aforesaid lands into 450 units of condominium for sale to
the public.

NGSB shall at its own cost and expenses :-

a) To construct and complete the development in accordance with the
approved building plans.

b) Upon completion of the construction, NGSB shall apply and procure
the issuance of the Certificate of Fitness for Occupation.

c) NGSB shall complete the construction of the development and deliver
to PTSB units within three (3) years from the date of approval of
the building plans.

d) NGSB shall apply for conversion and to obtain building approval for
the development of 450 units of condominium and responsible for the
payment of premium and all other charges and expenses in relation to
the conversion.

2.3 The sharing ratio between PTSB and NGSB shall be on the following :

i) PTSB - 30% of all the various types of buildings to be constructed

ii) NGSB – 70% of all the various types of buildings to be constructed

NGSB warrant and guarantee a minimum return of RM81 Million either in cash
considerations or in units of the 30% of the PTSB entitlements.

2.4 NGSB shall not in any way encumber the said lands for development.

2.5 Barring unforeseen circumstances, PTSB and NGSB shall enter into a Joint
Venture Development Agreement within five (5) months from the date of
singing of this Memorandum of Understanding.

JANAVISTA SDN BHD.


Announcement Details/Table Section :

The board of Directors of Tiger Synergy Berhad (“the company”) wishes to announce that the Company wholly-owned subsidiary, Janavista Sdn Bhd. (“JSB”) has been served with a summon by Kerajaan Malaysia.

JSB received a copy of the summon on 05/04/2012. The summon was presented at Seremban, Negeri Sembilan.

A legal action was initiated by Kerajaan Malaysia against JSB for a sum of RM598,481.92
being income tax payable by JSB for the year of 2008.

The case is fixed for mention on 18/04/2012. JSB will appoint their solicitor to file appearance and defence for the suit.

This announcement is dated 5 April 2012.

金虎取消雪州公寓計劃

（吉隆坡5日訊）金虎（TIGER，7079，主板工業產品組）和NujadeGarden因無法達成協議，決定取消在雪州興建450個單位共管公寓的備忘錄。

該公司發文告表示，雙方決定不再進行之前的備忘錄，主要是無法同意特定條款並履行相關責任。（星洲互動）
