我揭开迷团了，　不卖儿子不是做给散户看的。　是让债主觉得他们是那么的有责任感，　那么的爱护儿子不会抛开ｋａｗａｎ　ｍｅｇａｎ　的。。。。才让他们借多多钱。　５００ｍｉｌ　ｖｓ　５ｍｉｌ　儿子，算什么。。

其实我们都错了，
这里头根本没有所谓的阴谋，阳谋。
就算有，也只是自己贪婪中的幻想中所驱使的。
没有阴谋论，是不是顿然一切都变得清晰无比？

wtk 老兄，

沒有陰謀論的話，我們還有幾個疑點沒有得到解釋。。。
或許是因爲其他理由造成的，也或許是我們聼錯消息。
但沒搞清楚實在吊癮。。。

大家講講話當年，沒罪吧，不用本的。。。
當戲看loh，比起很多港劇好看很多，曲折離奇，高潮不斷。。。

Subject : Monthly Announcement pursuant to Practice Note 1/2001 of the Listing Requirements ("PN1/2001")

Contents :

Further to the announcement dated 4th May 2007 in compliance with PN 1/2001 when Megan Media Holdings Berhad ("MMHB or "the Company") announced that it had defaulted on maturing trade facilities amounting to RM47,362,332.46, the Company wishes to announce that the Company and its subsidiaries ("the Group") have since defaulted on RM893,972,178.71 (principal only) in maturing banking facilities.

1. Reason for default.

There is no material change to the business condition of the Company's operating subsidiaries, namely Memory Tech Sdn Bhd ("MTSB") and MJC (Singapore) Pte Ltd ("MJC"), which are continuing to experience financial difficulties. Constraints to current cash flow from its manufacturing operations render it unable to service and repay amounts due to lenders. In addition, the Group is saddled with debts procured from banks on the back of its trading business which the Investigative Accountants, Ferrier Hodgson MH Sdn Bhd, have now established as fraudulent.

2. Measures taken to address the default.

Following initial meetings with Creditor Banks on 7th May 2007 and 11th May 2007, the Company working with its Specialist Advisors, Sage 3 Capital Sdn Bhd ("Sage 3"), had proposed the appointment of Investigative Accountants ("IA") to investigate what its Advisors viewed as highly suspicious and irregular transactions. Pursuant to those meetings, the Creditor Banks proposed the appointment of Ferrier Hodgson MH Sdn Bhd ("FH") as Investigative Accountants ("IA") for the Malaysian operations.

PricewaterhouseCoopers, who were initially appointed by the Company as Independent Financial Advisors ("IFA") to MJC in Singapore, have more recently been appointed as Interim Judicial Managers ("IJM") (appointed as per Announcements dated 1st June 2007 and 5th June 2007) and will have responsibilities for managing and conducting investigations into the affairs of MJC in Singapore. This appointment was at the behest of the Company and its advisors.

FH has since reported their Interim Findings to all Creditor Banks as per the Announcement dated 6th June 2007. Concurrently, the Company with assistance from its Advisors, has successfully conducted its own investigations into certain transactions and material misstatements in the financial statements relating to inventories in the last three (3) quarters ending with the quarter ended 31st January 2007 as announced in the Announcement dated 7th June 2007.

Going forward, the Company, with support from its Advisors, will engage its Creditor Banks in the formulation of a Comprehensive Debt Restructuring and Regularisation Plan in the ensuing weeks. The Company will also initiate whatever legal proceedings to recover all amounts lost due to the irregularities.

3. Financial and legal implications in respect of the default in the payments.

The Creditor Banks have called an event of default but have stayed legal proceedings and other actions pending the completion of the Review by its Investigative Accountants and the Company's own strategy going forward. The Company's state of solvency will ultimately depend on the outcome of the debt restructuring and regularization endeavor. However, the report on Interim Findings of the IA indicates that the Company has sufficient short term cash flow based on its current modus operandi. Further, the Company believes that with the cessation of its trading business, it can now focus on its legitimate manufacturing business. The business segment pertaining to manufacturing is being undertaken as normal and the Company is continuing to fulfill purchase orders from its manufacturing customers.

4. In the event the default is in respect of secured loan stocks or bonds, the lines of action available to guarantors or security holders against the listed issuer.

Not applicable

5. In the event the default is in respect of payments under a debenture, to specify whether the default will empower the debenture holder to appoint a receiver or a receiver and manager.

As there are no debentures, this issue does not arise.

6. Whether the default in payment constitutes an event of default under a different agreement for indebtedness (cross default and the details thereon, where applicable).

The Company has defaulted on all facilities granted by its bankers.
