（吉隆坡13日訊）逾5個月后，證券監督委員會（SC）終完成媒岸控股（MEGAN，7101，主板工業）的調查工作，假賬醜聞即將水落石出！
證監會主席拿督查麗娜說：“已完成（調查），近期將對外公佈詳情。”
詢及會否提控任何人時，她回應媒體說：“你們等著瞧吧！”
她今日出席第12屆大馬資金市場峰會開幕禮后，如此表示。
媒岸空股是在今年5月份爆出假賬風波，受委託的會計調查公司Ferrier Hodgson MH，發現子公司Memory科技提呈財務報告時，提供虛假資料。
之后，證監會于6月初介入媒岸控投的調查，漫長的調查工作終在5個月后完成。
審計師退出
媒岸控股賬目混亂，全球著名審計公司畢馬威（KPMG）也無法完成媒岸控股及子公司Memory科技的賬目審計，于本月初宣佈退出審計師一職。
同時，媒岸控股及Memory科技已獲高庭發出保護令，阻止債權人申請將公司清盤，直到明年2月3日。
另一方面，查麗娜說，中小資本上市公司必須進一步加強與投資者關係，以提高曝光率，引起廣泛注意，有助提高股票流通量。
“為了提高投資者對中小股項的認識，大馬交易所（BURSA，1818，主板金融）特別推行中小資本股研究計劃（CBRS），可惜卻有很多公司未積極響應。”
CBRS計劃旨在藉研究報告，增強中小股項曝光，從而提高交投活絡度。
參與CBRS計劃下的上市公司，可獲得50%資本市場發展基金（CMDF）津貼。
上市企業明年起
僱用指定會計公司
查麗娜說，將在明年初推行新條例，要求上市企業使用指定會計公司。
她指出，證監會還在草擬當中，市場充斥許多大小不一的會計公司，需時完成各項研究及修改條例，包括探討條例架構及運作程序等。
“預計明年初推行（新條例）。”
《中國報》曾在8月中報導說，新條例下證監會將要求企業提呈首發股（IPO）及重組計劃時，使用特定會計公司。
業內人士認為，業界內的4大會計公司料順利過關，即普華永道（PricewaterhouseCoopers）、德勤（Deloitte & Touche）、安永（Ernst & Young）和畢馬威（KPMG）。
“證監會或依據會計師背景、以往工作經驗評定中小型會計公司，能否列入指定會計公司名單。”
分析員當時指出，新條例可確保會計公司素質，並有助降低上市公司賬目問題。 |

3G spectrum boost for DiGi, telco rivalry to intensify

YESTERDAY, DiGi.Com Bhd and Time dotCom Bhd (TDC) requested for an extension to the suspension of trading of their shares pending announcements of a partnership and the transfer of 3G spectrum from TDC to DiGi.
This development comes at a time when DiGi's majority shareholder Telenor ASA is facing a looming deadline to sell down its 61% stake in DiGi to 49%.
It also comes at a time when companies in the telecommunications industry are facing fierce competition.
The salient points of the partnership, should it go through, involve DiGi's utilisation of TDC's fibre optic network at a contract volume of between RM10mil and RM15mil per annum and the jewel in the crown – the transfer of TDC's 3G spectrum to DiGi.
There are other clauses which mostly involve training of key TDC personnel by DiGi, joint studies and other mutual distribution arrangements of mobile telephony services.
The partnership hinges on the transfer of the 3G spectrum that DiGi was denied in the last 3G bidding exercise.
The spectrum, which is in the frequency bands of 1,965 to 1,980MHz, 2,155 to 2,170MHz and 2,010 to 2,015MHz, would be paid for by the issuance of 27.5 million DiGi shares worth RM654.5mil to TDC.
The block of shares that is being placed out amounts to 3.5% of the enlarged shareholding of DiGi.
According to analysts, at first glance, the joint venture between the two telecommunications companies would benefit DiGi more, due to its more aggressive stance in gaining market share and innovation in mobile telephony.
Aseambankers Malaysia Bhd analyst Khair Mirza told StarBiz that the transfer of the 3G spectrum to DiGi would allow the company to offer a wider range of services.
“The 3G service is one way for DiGi to achieve higher average revenue per user (ARPU),” he said, adding that its post-paid ARPU stood at RM99 per package while Celcom (M) Bhd's ARPU was RM120 and Maxis Communications Bhd's RM128.
“It would make good use of the 3G spectrum, that's why DiGi is willing to pay for it.
“From the looks of it, there is a possibility of DiGi offering WiMAX services via TDC,” he said, noting that this would come about through subsidiary DiGi Telecommunications Sdn Bhd distributing TDC's WiMax services but rebranded as DiGi.
Another analyst with a local research outfit said WiMAX services in the country were still in the exploratory stage and, as such, the value in the partnership would be in the 3G spectrum.
“At some point, there might be some interest in TDC shares but it would be short term and would come from retail investors speculating,” he added.
On the deadline for Telenor to sell down its stake, he said Khazanah Nasional Bhd, which has a 64.6% stake in TDC, might potentially acquire part of Telenor's stake in DiGi as had been widely speculated.
“After placing out the 27.5 million shares to TDC, Telenor would still have to pare down its stake by another 10%,” he said.
He ruled out Telenor emerging as a shareholder in TDC.
“Telenor is a listed company and would not invest in a stake that is earnings destructive and, furthermore, there're still issues to be ironed out in TDC,” he said.
“But for DiGi's competitors out there, I would say good luck.”
An analyst with a foreign bank, echoing the sentiments of his peers, said the access to the 3G spectrum was important to DiGi.
“If it didn't have it, it would have been left behind in two or three years,” he said.
On the stake that DiGi was placing out to TDC, he said: “They have a piece of paper that has value, real value.”

PETALING JAYA: DiGi.Com Bhd has proposed to pay nearly RM700mil in cash and shares to buy Time dotCom Bhd’s (TDC) 3G spectrum, a bandwidth which will turn this once smallish celco into an equally competitive player against its two rivals.
Besides that, DiGi’s parent, Telenor ASA, has invited TDC to take part in the placement of DiGi shares to comply with the equity stake sell-down required of the Norwegian company by the Government.
This would be carried out via a book-building process, TDC said in a statement to Bursa Malaysia. Telenor has to sell 12% in DiGi to bring its current shareholding of 61% to 49% by year-end.
In a separate statement to Bursa, DiGi said it had extended an offer to TDC to enter into a heads of agreement, expected to be signed today, for a proposed alliance.
The alliance, among other things, involves DiGi issuing 27.5 million shares, equivalent to 3.5% stake in the company, valued at RM654mil, or RM23.80 a share, to TDC for the transfer of the 1965Mhz-1980Mhz, 2155Mhz-2170Mhz and 2010-2015Mhz or the IMT2000 3G spectrum that is valid till 2018.
DiGi would also issue a guarantee to the Malaysian Communications and Multimedia Commission in place of TDC unit TT dotCom’s guarantee of RM50mil. TT dotCom was assigned the 3G spectrum last November by the Government along with MiTV Corp Bhd – the two winners of the last two 3G spectrum. DiGi then failed to win the spectrum.
Telekom Malaysia Bhd and Maxis Communications Bhd also have 3G spectrum.
Under the proposed alliance, DiGi also wants to review its international and domestic fibre leases and contracts with TDC so that its usage of the services totals between RM10mil and RM15mil a year for a three-year period.
DiGi would also explore ways to share telecommunications towers with TDC for the purpose of TDC’s broadband service in the 2.5G spectrum band or WiMAX. Both parties would explore joint development of fixed mobile solutions packages and training in the WiMAX area.
DiGi said the proposed alliance aimed to allow both parties to collaborate for the purpose of consolidating their respective strengths in the telecoms market and to explore additional areas of cooperation with the objective of enhancing values of their respective businesses.
There is no denying that without a 3G spectrum, DiGi’s long-term future is dim but that should change once the spectrum assignment is completed in due time. The parties are expected to enter into definitive agreements within 75 days.
For now, analysts said both parties are winners in different ways. DiGi gets the access to a bandwidth, which is a rare commodity, and that will give it access to new markets and earnings.
As for TDC, it will hopefully be able to move from its lethargic image to become a sizeable player in the broadband arena, riding on its fibre optic network, and tapping into the expertise and experience of DiGi and Telenor.
But these announcements are not the end of the whole DiGi-TDC tie-up plan. Analysts are expecting more announcements in the coming days, and they have their own scenarios, one of which should see Khazanah Nasional Bhd – which has nearly 65% share in TDC – ending up with some stake in DiGi. |

1. INTRODUCTION
On 13 November 2007, it was announced that TdC has received an offer from DiGi to enter into a Heads of Agreement (“HoA”) in relation to the Proposed Alliance (“DiGi Offer”). It was also announced that TdC had on even date received an invitation from Telenor to participate in the placement of DiGi Shares to be undertaken by way of a book-building process to comply with the equity condition imposed on Telenor by the Ministry of Energy, Water and Communication (“Placement Invitation”).
In this respect, on behalf of TdC, AmInvestment Bank Berhad (formerly known as AmMerchant Bank Berhad) (a member of AmInvestment Bank Group) (“AmInvestment Bank”) is pleased to announce that the Company has today agreed to accept the DiGi Offer. To this end, the Company has entered into the HoA with DiGi, DiGi Telecom and TT dotCom, the salient terms of which were set out in the Company’s announcement dated 13 November 2007.
In conjunction therewith, the Company has also on even date entered into the Memorandum of Understanding (“MoU”) with Telenor, the controlling shareholder of DiGi, and TT dotCom, the terms of which were set out in the Company’s announcement dated 13 November 2007.
In addition, on behalf of the Company, AmInvestment would like to announce that the Company has today decided to participate through its wholly-owned subsidiary, Hakikat Pasti Sdn Bhd (“Hakikat Pasti”) in the Placement Invitation as announced on 13 November 2007. The participation in the Placement Invitation (if successful) will be funded by a credit facility to be provided to Hakikat Pasti for which there is no recourse on TdC. Bursa Malaysia Securities Berhad (“Bursa Securities”) has via its letter dated 13 November 2007 approved the Company’s application to seek shareholders’ ratification for the Proposed Participation at an extraordinary general meeting to be convened at a later date in the event the Proposed Participation is subject to the approval of TdC’s shareholders in accordance with the Listing Requirements of Bursa Securities. As such, the Company will proceed to participate in the placement of DiGi Shares by Telenor. In this connection, the Company will seek shareholders’ ratification at an extraordinary general meeting at a later date (in the event such ratification is required) only after the completion of the Proposed Participation.
The Proposed Alliance and the Proposed Participation are not inter-conditional upon each other.
2. RATIONALE FOR THE PROPOSALS
2.1 Proposed Alliance
The Proposed Alliance represents an opportunity for the Company to have a mutual cooperation with DiGi, which will allow both parties to pool their resources across several service categories and infrastructure, including 3G services. At the same time, TdC will be able to embark on improving operational efficiency by refocusing and concentrating on delivering higher value added services such as managed network services, fibre management and WiMAX Services.
Besides having a new source of income as a result of becoming one of the main suppliers to DiGi Telecom, the TdC group of companies (“TdC Group”) will be able to leverage and capitalise on the strong foothold and capabilities of the DiGi group of companies (“DiGi Group”) in terms of, amongst others, research and product development, technical expertise as well as marketing and distribution network, particularly for its WiMAX Services.
Further, the Proposed Alliance is expected to place the TdC Group on a better footing, especially in terms of operations in view of the joint study with the DiGi Group to identify and develop areas of mutual cooperation as well as knowledge sharing programs for human capital development.
2.2 Proposed Participation
With the Proposed Participation, TdC has the opportunity to acquire a strategic stake in DiGi which is a well-managed leading telecommunications company with strong fundamentals and good prospects as well as attractive return on investment, especially in terms of capital appreciation and dividend income. Besides, TdC believes that it may not be able to acquire a strategic stake in DiGi directly from the open market in view of the low trading volume of DiGi Shares.
3. DIRECTORS’ STATEMENT
Having considered the current position of the TdC Group and the rationale for the Proposals, and after due and careful deliberation, the Board of TdC is of the opinion that the Proposals are in the best and long-term interest of the TdC Group.
4. ADVISER
AmInvestment Bank has been appointed as Adviser to the Company for the Proposals.
5. DOCUMENTS AVAILABLE FOR INSPECTION
The HoA will be made available for inspection at the registered office of TdC at Level 1, Wisma TIME, 249 Jalan Tun Razak, 50400 Kuala Lumpur during normal business hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this Announcement.
A detailed announcement on the Proposed Alliance will be made upon finalisation of the terms and conditions of the Proposed Alliance, including the execution of the definitive agreement in relation to the Proposed Alliance.
In addition, an appropriate announcement will also be made in due course with regards to the Proposed Participation upon completion of the placement by Telenor.
