Description	EDUSPEC HOLDINGS BERHAD ("EDUSPEC" OR THE "COMPANY")ACCEPTANCE OF LETTER OF AWARD BY EDUSPEC TECHNOLOGY SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF EDUSPEC TO PERFORM INDEPENDENT TESTING SERVICES FOR 5G OPTICAL MODULES AND OTHER RELATED COMPONENTS
Unless stated otherwise, the terms used in this announcement shall have the same meaning as defined in the Company’s announcement dated 26 June 2025. Further to the Company’s announcement dated 26 June 2025, the Board of Directors of Eduspec Holdings Berhad wishes to announce the following additional information:- 1) The contract commenced on 1st April 2025, which is earlier than the formal acceptance of the LOA on 26 June 2025, due to operational urgency and mutual agreement between both parties to initiate preliminary works to ensure timely project delivery. The formal acceptance of the LOA was completed subsequently to regularize the arrangement. 2) Dato’ Kang Pang Kiang is deemed to be an Interested Director by virtue of him being the Executive Chairman and a Major Shareholder of the Company, as well as the Group CEO / Executive Director and a Major Shareholder of EGIB. Dato’ Kang Pang Kiang has abstained and will continue to abstain from all Board deliberations and voting in respect of the LOA. Section 6 is now revised and read as follows: Save for Dato’ Kang Pang Kiang, None of the directors, major shareholders of the Company and/or persons connected to them have any interest, direct or indirect, in the LOA. The announcement is dated 1 July 2025.
