In view of the interests of certain Directors and Major Shareholder of the Company in the Transactions as set out in Section 10 of this announcement, the Transactions are deemed to be Recurrent Related Party Transactions (“RRPT”) pursuant to Paragraph 10.09 of the Main Market Listing Requirements (“Listing Requirements”) of Bursa Malaysia Securities Berhad (“Bursa Securities”).
At the 57th Annual General Meeting (“AGM”) of the Company held on 23 June 2022, the Company has obtained a mandate from its Shareholders for the Company and/or its subsidiaries (“TDM Group” or “the Group”) to enter into RRPT with ECFSB and the mandate shall lapse at the conclusion of the next AGM.
ECFSB had on 12 September 2022, submitted the letter of acceptances of the appointment to supply 1,120 MT fertilizer Compound 38 (10/5/20/3+5%Micro) at the price of RM2,680.00 per MT and of 3,880 MT fertilizer Compound 33 (10/5/18+0.5%B2O3) at the price of RM2,545.00 per MT.
(TDMP and ECFSB are referred to individually as the “Party” and collectively as the “Parties”.

The Board of Directors of TDM wishes to announce that the Proposed Transaction has been terminated with immediate effect as of 24 February 2025. This termination follows the failure of the Vendors, and by extension, HBR, to fulfill the conditions precedent stipulated in the Share Sale Agreement dated 23 October 2023 ("SSA"). Given that the Extended Long Stop Date (as referred to in our announcement on 8 November 2024) has lapsed, the SSA stands terminated.
The Purchaser and Vendors have engaged in discussions but were unable to reach an agreement on granting a further third extension for the fulfillment of the conditions precedent. This decision was made after the Purchaser reassessed the viability of the acquisition and determined that discontinuing the Proposed Transaction is in the best interest of all stakeholders.
Pursuant to this termination, all rights and obligations of the parties under the SSA shall cease to have effect, subject to the terms and conditions set out in therein.
The termination is not expected to have any material financial impact on TDM, including its net assets and gearing.
