On behalf of the Board of Directors of Ho Hup, M&A Securities Sdn Bhd wishes to announce that the Company proposes to undertake a private placement of up to 10% of the total number of issued shares.

The Proposed Private Placement will be undertaken pursuant to the general mandate for issuance of shares pursuant to Sections 75 and 76 of the Companies Act 2016 which was approved by the shareholders of the Company at the Annual General Meeting convened on 31 May 2023, which authorised the Directors of the Company to issue and allot new ordinary shares in Ho Hup (“Shares” or “Ho Hup Shares”) not exceeding 10% of the total number of issued.

The Change of FYE is to enhance resources planning and to improve the management of audit and annual reporting in the future.

The Board of Directors (“Board”) of Ho Hup Construction Company Berhad (“Ho Hup” or “the Company”) wishes to announce that Ho Hup Jaya Sdn Bhd, a wholly-owned subsidiary of the Company (“HHJ”) had on 2 April 2025 entered into the following agreements:

  • Sale and Purchase Agreement (“SPA”) with Premium Realty Sdn Bhd (“PRSB”) for HHJ to sell a parcel of property distinguished as Unit No. B-05-01, measuring approximately 9,237.68 square feet, within Level 05 of Tower B constructed on a piece of freehold land held under Geran 78076, Lot 101462, Tempat Bandar Bukit Jalil, Mukim Petaling, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan Kuala Lumpur, and bearing postal address as 2-05-01, Ho Hup Tower, Tower 2, Plaza Bukit Jalil, No. 1, Persiaran Jalil 1, Bandar Bukit Jalil, 57000 Kuala Lumpur (“Level 5 Ho Hup Tower”) to PRSB at a total sale price of RM5,800,000 (“Disposal Price 1”) only [“Proposed Disposal 1”]; and

HO HUP CONSTRUCTION COMPANY BERHAD ("HO HUP" OR "COMPANY")  DEFAULT IN PAYMENT TO INSAS CREDIT & LEASING SDN BHD ("ICL") PURSUANT TO PARAGRAPH 9.19A OF THE MAIN MARKET LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD ("LISTING REQUIREMENTS")
The Board of Directors of the Company wishes to announce that the Company and Bukit Jalil Development Sdn Bhd (“BJD”), a wholly owned subsidiary of the Company, had received a Notice of Demand dated 17 April 2025 from Rohamat & Ling, Advocates & Solicitors, acting for Insas Credit & Leasing Sdn Bhd (“ICL”) in respect of the term loan facilities (“Facilities”) and demand for the total outstanding sum of RM112,691,368.11 as at 17 April 2025 inclusive of all interests chargeable under the respective Money Lending Agreements (“MLAs”) entered into between BJD and ICL to be repaid within 14 days of the date of the said notice. The Facilities were granted by ICL to BJD and Ho Hup is the Guarantor for the Facilities. Thus, the total amount outstanding represented 33.29% of the net assets (“NA”) of RM338.48 million based on the latest audited financial statements for the financial year ended 31 December 2023.

The Board, save and except for Dato’ Wong Gian Kui (“WGK”), an Executive Director of the Company, who has declared his interest by virtue of he being an Executive Director of ICL and WGK has abstained and will continue to abstain from participation, deliberation and vote in the Board Meeting for all matters relating to the above Notice of Demand, after assessing the financial position of the Ho Hup group of companies is of the view that the Company and BJD will not be able to repay the abovesaid demand. As such, the Company and BJD are deemed to be in default in the payment with effect from the Notice of Demand dated 17 April 2025.

The Board of Directors of Ho Hup wishes to announce that the Company has triggered Paragraph 9.19A of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Listing Requirements”) by virtue of the Notice of Demand dated 17 April 2025 issued by Rohamat & Ling, Advocates & Solicitors, acting for Insas Credit & Leasing Sdn Bhd (“ICL”) addressed to the Company as the Guarantor and Bukit Jalil Development Sdn Bhd (“BJD”), a wholly owned subsidiary of the Company, as the Borrower in respect of the term loan facilities (“Facilities”) for the total outstanding sum of RM112,691,368.11 as at 17 April 2025 granted by ICL to BJD, in which the Company and/or BJD has defaulted payment for the aforesaid Facilities.

The demand against the Ho Hup, being the Guarantor, triggers Paragraph 8.04 and Paragraph 2.1(f) of Practice Note 17 ("PN17") of the Listing Requirements, whereby the Guarantor is unable to provide a solvency declaration to Bursa Securities. Accordingly, Ho Hup is classified as an affected listed issuer under PN17 of the Listing Requirements (“PN17 Company”).
