We refer to the news article published by Free Malaysia Today dated 5th March 2020 at https://www.freemalaysiatoday.co ... imal-rights-group/. LTKM as an egg supplier wishes to put on record for public information that our poultry farm operation fully complies with the requirements as set out by the Department of Veterinary Services Malaysia (“DVS”) for livestock sector. Our farm adheres to the strict guidelines stipulated by DVS on good farming practices including clean farm practice, livestock health, safety and bio-security. We also wish like to highlight that our poultry farm has been consistently accredited with Malaysian Good Agricultural Practice (“myGAP”) for livestock sector by the Ministry of Agriculture and Agro-Based Industry Malaysia (“MOA”). Our farm has also been in compliance with stringent regulations for the export market of chicken eggs for the past 30 years. We also refer to several recent allegations on social media containing fake news and allegations of wrongful farm practices at LTKM poultry farm. We have today made a police report and will consult with our lawyers on further actions that can be taken against the organizations or individuals found to be responsible for the articles.

Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the previous announcements in relation to the Proposals (“Announcement”). On behalf of the Board, M&A Securities wishes to announce that LTKM and the Vendors had on 5 October 2023 entered into a termination letter agreement to mutually terminate the Proposed Acquisition in accordance with the terms of the Acquisition SSA which also culminates to the termination of the entire Proposals. Subsequent to the execution of the latest supplemental letter agreement dated 10 May 2023, both parties have experienced contrasting financial performance.  Although its projects are still ongoing, Local Assembly is facing unforeseen delays in their implementation by its major customers, while LTKM has returned to profitability from the egg subsidy by the Government since the inception of the Proposals. As such, both parties concluded that it is mutually beneficial to terminate the Proposed Acquisition and to respectively pursue any future strategies of their own. As the Proposed Acquisition is inter-conditional with the other components of the Proposals, they are therefore concurrently aborted.As such, on 5 October 2023, LTKM and LTKSB had also entered into termination letter agreements to mutually record the termination of the Proposed Disposals in accordance with the terms of the Disposal SPAs. Other than professional fees incurred for the Proposals, the termination of the Proposals is not expected to have a material adverse impact to LTKM. This announcement is dated 5 October 2023.
