VS Industry Bhd
（3月4日，RM1.03）
下调至公允价值不变（FV）为1.04令吉：我们将VS行业有限公司（VSI）的建议从买入下调至“持有”，FV为每股1.04令吉，与2019年预测价格挂钩 - 考虑到最近股价上涨，收益率为14倍。
 
VSI已与新客户Bissell International Trading Co BV（BITCBV）签署了一份总供应协议，以盒装方式生产Bissell品牌的某些家庭护理产品。
Bissell是美国最畅销的家庭护理小家电品牌之一，提供一系列清洁产品，包括真空吸尘器，清扫器，地毯清洁机，蒸汽和硬地板清洁剂，清洁配方，以及宠物美容和宠物清洁 - 产品。
协议期限为三年，从2019年2月27日开始。在初始期限后，协议将自动延长一年。该协议预计不会影响VSI 2019财年的收益。

("GUARDIAN"), A WHOLLY-OWNED SUBSIDIARY OF VSIB AND BISSELL INTERNATIONAL TRADING COMPANY B.V. ("BITCBV") | 1. Introduction The Board of Directors (“the Board”) of VSIB is pleased to announce that its wholly-owned subsidiary, Guardian has on 27 February 2019, entered into an Agreement with a new customer, BITCBV, to manufacture certain homecare products that bear the BISSELL brand (“Products”) on box-build basis. Guardian and BITCBV is each referred to as the “Party” and collectively, the “Parties”.
2. Information on BITCBV BITCBV is part of BISSELL, Inc., a family-owned innovative homecare solutions company based in Michigan, USA. Founded in 1876, the BISSELL brand is more than 140 years old, filled with rich history and heritage. Now in its fourth generation of family leadership, BISSELL, Inc. supplies households and businesses across the globe with a wide range of homecare products that include vacuums, sweepers, carpet-cleaning machines, steam and hard floor cleaners, cleaning formulas, as well as pet grooming and pet clean-up products.
Over the years, through continuous innovation and technological breakthrough, BISSELL is ranked one of the top-selling brands in homecare small appliances in the USA.
3. The Agreement Guardian shall manufacture, assemble, package, label, test and exclusively sell the Products to BITCBV.
The purchase of Products from Guardian is on a non-exclusive basis, i.e. BITCBV reserves the right to engage other suppliers to provide substitutes for the Products. The Agreement does not specify contract volumes and amounts. However, BITCBV shall on the 15th of each calendar month during the term of the Agreement, provides Guardian with an updated and revised rolling forecast containing volume estimates of Products for the following six (6) months period, and the actual contract sum shall be determined based on purchase orders placed over the duration of the Agreement.
The duration of the Agreement is for three (3) years commencing on 27 February 2019. Provided that neither Party is then in default, the Agreement shall be automatically extended in one (1) year increments after the initial term.
4. Financial Effects The Board does not expect the Agreement to have any material impact on earnings for the current financial year ending 31 July 2019. However, the Agreement would contribute positively towards the earnings of VSIB from financial year ending 31 July 2020 onwards. The Agreement will have no effect on the issued capital of the Company.
5. Risk Factors Risk factors affecting the Agreement include availability of skilled manpower and materials, changes in pricing, market demand volatility, competition, and foreign currency rates fluctuation. Notwithstanding the above, VSIB has a proven and established track record in undertaking electronics manufacturing services that would help mitigate such risks.
6. Approvals Required The Agreement entered is in the ordinary course of business of VSIB. It does not require approval of the Company’s shareholders and/or any regulatory authorities.
7. Directors’ and Substantial Shareholders’ Interest None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the Agreement.
8. Directors’ Statement Having considered all aspects of the Agreement, the Board is of the opinion that the Agreement is in the best interest of the Company. |
