泰国提供信用卡支付

（吉隆坡8日讯）GHL系统（GHLSYS，0021，主板科技股）与联昌国际（CIMB，1023，主板金融股）旗下的泰国联昌国际银行签约，联手在泰国提供信用卡支付服务。

GHL系统今日发表文告指出，通过泰国子公司，与泰国联昌国际银行签约。

为泰国联昌国际的商家客户，提供信用卡支付服务。

同时，GHL将作为该些商家的独家服务和管理合作伙伴。

目前，该银行共发出2200万张信用卡和4800万扣帐卡，且全国有40万个电子资讯解读器（简称EDC）和销售终端机（POS）。

比起传统支付服务，双方希望能为商家，提供更广泛的支付解决方案。

泰国联昌国际银行总执行长阿努塔拉索迪说：“与GHL合作，让我们提供更全面的现金管理解决方案，进一步扩大客户群。”【e南洋】

海外业务强劲．GHL系统财测上修

（吉隆坡28日讯）GHL系统（GHLSYS，0021，主板科技组）在大马市场竞争环境依然严峻，但海外市场（除了澳洲）强劲成长，分析员看好该公司未来获利前景，大幅上调财测。

肯纳格研究指出，该公司旗下的共享服务、方案解决及交易付款（TPA）等3大主要业务，营业额皆分别成长12.7%、23.6%及27.7%，2016年全年净利也有高达75%成长。

肯纳格认为，该公司获利双位数成长将会持续，调高2017年及2018年财测，分别为39.5%及19.8%，或每股盈利的3.9仙或4.6仙。

值得一提的是，自2013至2016年，GHL系统净利复合成长率（CAGR）的营业额和获利，分别走高56.6%及51%。

虽然TPA仍是该公司获利成长的主要推动力，但该业务在大马竞争日益激烈。在国行积极推动下，商家交易付款终端机器在2016年已累计33万架，在2017年更会增加至43万架。

TPA成长放缓

在如此竞争环境下，该公司在大马TPA市场成长已经明显放缓，同时其商户折扣率（MDR）减少，更进一步压低其赚幅。

GHL系统在泰国和与支付宝合作，可能延伸至目前已存在的市场，特别是大马的“AirPos”（手机点对点销售终端）市场、越南和缅甸网上支付门户。

上述新业务，虽然无法带来即时获利贡献，但会是该公司持续快速增长突破点。

除此之外，在去年中旬GHL系统首次进行菲律宾的TPA市场。该国低TPA渗透率低，显示了巨大潜在商机。

肯纳格对GHL系统在当地获得更大的MDR获利有着高期待，估计为70至80个基点，对比大马20至30个基点来得高。

去年，该公司自2009年来首次派发每股0.5仙股息，折算其股息派发率为18%，肯纳格相信这会是一次性的股息，原因是该公司需要现金来推动2017年成长。

2016年，该公司有来自90.2%的收入来自年费收入（经常性收入），这也为公司提供稳定和可见度高的未来收入。GHL系统目前仍专注于TPA和其他可以为公司提供年度营业额收入，而对比其软硬体销售该公司则相对没有那么重视。

行业竞争
压制赚幅

肯纳格总结，认为激烈的行业竞争或许会挤压公司赚幅，但在数个进行中的国内外项目支持下，皆有可能成为刺激公司业绩走高突破点，目前并没有给予任何评级，合理价为1令吉28仙。

英联投资成GHL系统最大股东 触发MGO献议

（吉隆坡31日讯）全球投资公司英联投资（Actis）在收购GHL系统（GHL Systems Bhd）的44.37%股权后，随即成为后者的最大股东，更触发强制全面收购（MGO）献议，以全购其仍未持有的股权。

GHL系统今日向大马交易所报备，英联投资已从私募股权公司Creador子公司Cycas的手中，收购28.3%股权，寓意该基金撤出GHL系统的投资。

英联投资再向GHL系统执行副主席罗伟贤收购其余的16.1%股权，后者如今持有GHL系统19.1%股权。

这些股权是以每股1令吉的作价，或相等于2亿9024万令吉收购。在收购股权后，英联投资如今以每股1令吉，献议全购其仍未持有的所有股权。

此献购价比GHL系统3月30日的闭市价1.19令吉折价16%，也比5天成交量加权平均价（VWAP）1.18令吉折价15.3%。

若英联投资最终持有GHL系统75%或更高的持股权，英联投资不打算维持GHL系统的上市地位。

罗伟贤表示：“我非常高兴地欢迎英联投资成为我们的合作伙伴，因为他们在付款领域（尤其是新兴市场）也创下令人印象深刻的记录。”

“我们将一起努力，并通过部署世界级的付款基础设施、技术和进一步扩大我们在东盟新兴市场的增长空间，成为东盟领先的端对端付款服务供应商。”

与此同时，英联投资合伙人Hossam Abou Moussa表示，该基金在领先领域的投资是其增长市场投资策略的核心支柱。

他说：“我们非常高兴能与罗伟贤和GHL系统管理团队合作，并将我们在其他市场上所学到的知识，用于帮助GHL系统扩大和巩固其作为区域领导者的地位。”

英联投资在亚洲、非洲和拉丁美洲的投资组合不断增加，自成立以来已募集超过120亿美元的投资。

GHL系统大马提供支付宝服务

（吉隆坡3日讯）GHL系统（GHLSYS，0021，主板科技股）宣布，将开始为我国实体店商家和在线商家提供支付宝付款服务。

GHL系统今日向交易所报备，将在本月杪前，先为实体店商家提供该项服务，最终延伸至电子商务商家。

继泰国后，大马是GHL系统，供应支付宝付款服务的第二个东盟国。

GHL去年次季进驻泰国市场，为实体店提供支付宝付款服务。

至今，泰国GHL在酒店、零售和餐饮店空间内的著名连锁店，拥有超过600个商业连接点。

由阿里巴巴集团关联公司蚂蚁金融服务集团拥有的支付宝，是全球最大的移动和在线支付平台，有超过4亿人使用。

去年，到访大马旅客为2680万人，其中中国旅客占210万人，总营业额贡献达821亿令吉，按年增长75%，部分原因归功于去年3月实施的签证豁免计划。

根据文告，大马许多小型商家和独资经营店将受惠，因为该领域虽然增长迅速，但却是没有获得足够的服务。

通过提供简化的线上注册过程，相信可以鼓励约50万第四级的小型商家（年度营业额少于1200万令吉），采纳简单、安全和精明的电子付费服务。

除了接受现金，这些商家如今可以迎合消费者的付费模式和购物需求。

只要在这些商店购物，消费者就可以使用任何万事达卡付款，包括预付、扣账或信用卡。

一旦完成了商家注册手续，GHL系统也将提供移动销售终端机（POS）给商家，预计上千家商店可在明年杪受惠，包括咖啡馆、餐馆、便利商店等。

提供beep付款验收服务

（吉隆坡2日讯）GHL系统（GHLSYS，0021，主板科技股）旗下子公司GHL系统菲律宾，将在5月杪前，为菲律宾商家提供“beep”付款验收服务。

该公司今日发表文告，“beep”是一个储值电子付费服务，让消费者可以在交通工具或其他受承认的零售商店和商家，通过非接触式智能卡，或其他涵盖“beep”应用程式的管道来付费。

“beep”是由AF付费公司所拥有，后者获菲律宾交通和通讯部颁发合约，为轻快铁1、轻快铁2和地铁3，开发自动收费或购票系统。

GHL系统菲律宾将与AF付费公司签约，为后者提供交易结算服务，让更多商家可以支持“beep”服务。

自2015年“beep”推出时，发卡量就已经超过300万张。

独立顾问:出价不公平不合理
GHL系统小股东应拒献购

（吉隆坡3日讯）独立顾问大马投行认为，Actis Stark（毛里求斯）有限公司以每股1令吉献购GHL系统（GHLSYS，0021，主板科技股）的献议“不公平”也“不合理”，建议小股东拒绝该献议。

大马投行通告指出，Actis Stark每股1令吉的出价“不公平”，因为比股价折价39仙或28.1%。

此外，大马投行认为献购价“不合理”，与3月30日闭市价、5天交易量加权均价（VWAP）、一个月交易量加权均价和三个月交易量加权均价相比，折价介于6仙至19仙，或5.7%至16%。

截至4月26日，与1.43令吉闭市价和5天交易量加权均价相比，每股1令吉的献购价代表折价30.1%及31.5%。

从3月2日起，该公司股价均高于献购价。

GHL系统董事，除了执行副主席罗伟贤，其他的都同意大马投行的意见，也建议股东股东拒绝该献议。

Actis Stark在3月31日，向Tobikiri资本有限公司和Cycas，分别收购GHL系统的16.05%和28.32%的股权后，抵触强制全面收购门槛，向GHL系统发出无条件强制全面收购通知。

电子付款走强．GHL首季多赚23%

（吉隆坡26日讯）在共享服务和第三方使用条款（TPA）业务走强下，GHL系统（GHLSYS,0021,主板科技组）截至2017年3月31日第一季净利从前期的432万7000令吉增长23.09%至532万6000令吉。

首季营业额报6800万1000令吉，比去年同期的5587万9000令吉走扬21.69%。

该公司发文告表示，集团在2015和2016年成功与联昌集团（CIMB,1023,主板金融组）、美国GlobalPayments公司、支付宝（泰国）和RCBC集团（菲律宾）结盟，开始部署TPA支付系统，今年将开始在大马和菲律宾部署支付宝和AFPI（Beep卡）支付系统。

“基于付款系统出现剧烈变化，电子付费随着监管单位推动，以及消费者青睐下崛起，集团乐观进一步TPA业务将成为集团主要增长动能来源。”

有鉴于此，GHL系统预期在新结盟活动支撑下，今年表现将持续正面，同时集团也将继续投资新业务增长，以强化在电子付款市场地位。

Actis Stark在今年3月杪以2亿9039万9518令吉收购GHL系统44.37%股权，崛起成为后者新大股东，并因此触动全面献购机制，宣布以每股1令吉全面献购其余未持有的股权，但最终全购失败。目前，Actis Stark持有GHL系统63.51%股权。

Concurrent to this role, Raj also managed the International Markets Business of NETS until 2007. It is a business group responsible for extending NETSs interests into overseas markets through acquisitions, partnerships and alliances with overseas payment operators. Under his tenure, NETS acquired a subsidiary in China that operates stored value payment cards. Raj is an accountant by training, having qualified in London as a Fellow of the Institute of Chartered Accountants in England & Wales. He is also a fellow of the Institute of Chartered Accountants in Australia and is a member of the Malaysian Institute of Certified Public Accountants. （吉隆坡26日讯）GHL系统（GHL Systems Bhd）大股东Actis Starks（毛里求斯）有限公司表示，并没有计划再次提议收购GHL。

Actis伙伴Hossam Abou Moussa今日出席GHL股东常年大会后，向记者说：“Actis没有计划发起另一轮（收购）献议，且我们无意将该公司私有化。”

Actis今年3月提出以每股1令吉，收购其与一致行动人士未持有GHL的所有股权。当时Actis持有44.37%。

当献议在本月12日结束，Actis和一致行动人士共获63.51%股权。
