The Board of Directors of Siab wishes to announce that its wholly-owned subsidiary, Siab (M) Sdn Bhd, had on 15 September 2022 entered into a sale and purchase agreement  to acquire one parcel of leasehold vacant industrial land held under individual title known as PM432 Lot 13833, Tempat Batu 34, Jalan Dengkil/Banting, Mukim Dengkil, Daerah Sepang, Negeri Selangor measuring in area of approximately 0.6287 hectares (equivalent to approximately 1.5536 acres) for a total cash consideration of RM4,331,053.00 (“Proposed Acquisition”).

  • proposed acquisition of 2,000,000 ordinary shares in Taghill Projects Sdn Bhd (“Taghill”) (“Sale Share(s)” or “Taghill Share(s)”) from Chu Yee Hong, Wong Yih Ming and Yap Kek Siung (Collectively the “Vendors”), representing 100.00% of the equity interest in Taghill, for a total purchase consideration of RM122,000,000 (“Purchase Consideration”) to be fully satisfied via a combination of cash payment and issuance of new ordinary shares in Siab (“Share(s)” or “Siab Share(s)”) (“Proposed Acquisition”); and
  • renounceable rights issue of 919,512,111 new Siab Shares (“Rights Shares”) together with 459,756,056 free detachable warrants (“Warrant(s)”) on the basis of 4 Rights Shares for every 3 existing Siab Shares held on an entitlement date to be determined later (“Entitlement Date”) together with 1 Warrant for every 2 Rights Shares subscribed (“Proposed Rights Issue with Warrants”).

Unless otherwise stated or redefined, all abbreviations and definitions used herein shall have the same meanings as those used in the Company’s announcements dated 18 July 2023 (“First Announcement”) in relation to the Proposed Acquisition and Proposed Rights Issue with Warrants (“Previous Proposals”). The information set out in this announcement is updated to 1 September 2023, being the latest practicable date prior to the date of this announcement (“LPD”).

Reference is made to the announcements dated 28 August 2023 whereby the Company had applied to Bursa Securities for the withdrawal of the additional listing application for the above Previous Proposals with the intention to review the structure of the Previous Proposals.

On 15 September 2023, the Company and Vendors had mutually agreed to vary certain terms relating to the mode of payment (as set out in the First Announcement). In relation to this, the parties had entered into an amended and restated share sale agreement to amend, restate, specify and/or supplement the relevant provisions of the SSA (“Restated SSA”).

In view of the above, on behalf of the Board, M&A Securities wishes to announce that the Previous Proposals shall be revised to as follows:

  • proposed special issue of 100,000,000 new ordinary shares in Siab (“Share(s)” or “Siab Share(s)”) (“Special Issue Shares”) representing approximately 20.42% of Siab’s existing issued shares to independent third party investor(s) to be identified at an issue price of RM0.12 per Share (“Proposed Special Issue”);
  • renounceable rights issue of 766,524,308 new Siab Shares (“Rights Shares”) together with 383,262,154 free detachable warrants (“Warrant(s)”) on the basis of 13 Rights Shares for every 10 existing Siab Shares held on an entitlement date to be determined later (“Entitlement Date”) together with 1 Warrant for every 2 Rights Shares subscribed (“Proposed Rights Issue with Warrants”); and
  • proposed acquisition of 2,000,000 Taghill Shares from Chu Yee Hong, Wong Yih Ming and Yap Kek Siung, representing 100.00% of the equity interest in Taghill, for a total Purchase Consideration of RM122,000,000 to be fully satisfied via a combination of cash payment of RM96.00 million and issuance of 200,000,000 Consideration Shares at an issue price of RM0.13 per Share.

SIAB HOLDINGS BERHAD ("SIAB" OR THE "COMPANY") - ACQUISITION OF A NEW SUBSIDIARY COMPANY
Pursuant to Rule 10.05 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Siab wishes to announce that the Company had on 3 September 2024 acquired the entire issued and paid-up share capital of Ufuk Mercu Sdn Bhd ("UMSB"), comprising 100 ordinary shares of RM1.00 each fully paid at par for a cash consideration, making it a wholly-owned subsidiary of the Company.

UMSB was incorporated on 27 May 2024 under the Companies Act 2016 and its intended principal activity is construction of buildings.

The Executive Directors of Siab, Mr. Wong Yih Ming and Mr. Chu Yee Hong, are also the Directors of UMSB. Save for the aforementioned, none of the Directors or major shareholders of Siab or persons connected to them has any interest, whether direct or indirect, in the above acquisition of shares.

BHD.
Pursuant to Paragraph 10.06 of the ACE Market Listing Requirements (“AMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Board of Directors of Taghill wishes to announce that Siab (M) Sdn Bhd, its wholly owned subsidiary of the Company (“Siab M” or “the Vendor”) had on 4 April 2025 entered into two (2) separate Sale and Purchase Agreement (“SPAs”) with PLYTEC Formwork System Industries Sdn. TAGHILL HOLDINGS BERHAD (FORMERLY KNOWN AS SIAB HOLDINGS BERHAD) (“TAGHILL” OR THE “COMPANY”)(I)        PROPOSED JOINT VENTURE; AND(II)        PROPOSED DIVERSIFICATION(COLLECTIVELY REFERRED TO AS THE “PROPOSALS”)
On behalf of the Board of Directors of Taghill (“Board”), M & A Securities Sdn Bhd (“M & A Securities”) wishes to announce that Taghill Land Sdn Bhd (formerly known as Ufuk Mercu Sdn Bhd (“Taghill Land”), a wholly owned subsidiary of the Company had on 8 April 2025, entered into a joint venture agreement (“JVA”) with YTB Impression Sdn Bhd (“YTBI” or the “Landowner”), a wholly owned subsidiary of Yong Tai Berhad (“YTB”) for the proposed joint venture in which YTBI grants Taghill Land the exclusive rights to undertake the Project (as defined herein) on part of a parcel of leasehold land bearing the master title No. PN 63119, Lot 15001, located at Kawasan Bandar XLIV, District of Melaka Tengah, State of Melaka, measuring approximately 2.02 hectares (the “Land”) (“Proposed Joint Venture”).

Further to the above, Taghill also proposes to undertake the diversification of the existing business of Taghill and its subsidiaries (“Taghill Group” or the “Group”) to include the business of property development (“Property Development Business”) (“Proposed Diversification”).

(The Proposed Joint Venture and Proposed Diversification are collectively referred to as the “Proposals”)

Query Letter Contents
We refer to your Company’s announcement dated 7 April 2025 in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1. The direct and indirect shareholding of the directors of PLYTEC Formwork System Industries Sdn Bhd (“PFWSI”) in PFWSI.
2. The existing use of the Properties.
3. If the Properties are currently let out, the details of the rentals and the rental income per month or per annum.
4. If the Properties to be disposed are currently used as a factory, the effect of the Proposed Disposal on the operations.
5. The approximate age of the Properties.
6. With regards to the Properties, the following information:
(i) the amount of lettable space;
(ii) the amount of lettable space available for letting and the occupancy; and
(iii) the percentage of occupancy
7. Whether the net book value as at 31 December 2024, disclosed in Section 2.2 of the Announcement is audited.
8. The justification for the discount of RM200,000 given by Siab (M) Sdn Bhd from the market value of the Properties.
9. The dates of payment of the Deposits of RM230,000 for each of the property.  
10. Particulars of -:
(i) any liabilities, including contingent liabilities, in relation to the Proposed Disposal which remain with the Group, together with the details and justification for such arrangements; and
(ii) any guarantees given by the Group to PFWSI.
11. In the case of approval from the State Authority, the estimated time frame for submission of the application to such authority.
Unless otherwise stated, all abbreviations used herein shall have the same meaning as those mentioned in the announcement dated 7 April 2025 in relation to the Proposed Disposal (“Announcement”).

The Board of Directors of Taghill Holdings Berhad (Formerly known as Siab Holdings Berhad) (“Taghill” or “the Company”) wishes to inform that the Company has received Bursa Malaysia Securities Berhad’s request dated 9 April 2025 for additional information in relation to the Company’s announcement made on 7 April 2025.
