德源首要次季亏81万
2017年9月26日
（吉隆坡25日讯）德源首要（TECGUAN，7439，主板工业产品股）截至7月杪次季，净亏80万8000令吉或每股2.02仙。
德源首要今日向交易所报备，上财年同期净赚633万令吉或每股15.79仙。
由于售价及销售量下跌，导致次季营业额则按年下跌20.46%，从上财年同期的9604万5000令吉，减少至7639万1000令吉。
棕油产品业务依然是该公司主要营收来源，为当季营业额贡献97.18%。
归咎于营运赚幅收窄，棕油产品业务次季蒙受84万令吉的营运亏损，上财年同期盈利为897万令吉。
展望未来，预计棕油市场依然将面对挑战，因为商品价格疲弱。【e南洋】

（吉隆坡6日讯）中国公司与德源首要（Teck Guan Perdana Bhd）子公司周一签署棕油采购意向书后，刺激德源首要今日继续攀升及涨停板，大涨30仙或33.3%。
截至下午5点，德源首要收于1.20令吉新高纪录，市值为4812万令吉，共35万1300股转手。
该股昨日劲扬12.5仙，至90仙。
中国仪征方顺粮油工业有限公司（Yizheng Fangshun Industry Ltd Co）与德源首要子公司Cacao Paramount私人有限公司周一签署采购意向书，以购买12万吨精制硬质棕油。
这是4份棕油采购协议之一，总价值估计为8亿9100万美元或33亿4000万令吉。
砂拉越油棕（Sarawak Oil Palms Bhd）今日也继续走高，因其子公司SOP Edible Oils私人有限公司也签署了其中一份协议，仪征方顺有意购买10万吨精制软质棕油。
闭市时，砂拉越油棕升16仙或6.1%，至2.78令吉 |

Type | Announcement | Subject | OTHERS | Description | Letter of Intent for Palm Oil Trade Between Yizheng Fangshun Oils & Grains Industry Co., Ltd and Cacao Paramount Sdn Bhd, a wholly owned subsidiary of Teck Guan Perdana Berhad | The Board of Directors of Teck Guan Perdana Berhad (307097-A) (“the Company”) wishes to announce that Cacao Paramount Sdn Bhd (48106-U) (“CPSB”), the wholly owned subsidiary of the Company has on 4th March 2019 signed a Letter of Intent for palm oil trade with Yizheng Fangshun Oils & Grains Industry Co., Ltd. from China, documenting the parties intention to increase trade through the purchase and export of 120,000 tonnes of refined, bleached and deodorised palm stearin from Malaysia to the People’s Republic of China at the prevailing market price.
The Letter of Intent does not constitute and will not give rise to any binding obligations, legally and financially between the parties, rather, it is designed to facilitate and develop a genuine and mutually beneficial exchange trade partnership.
Other than the above, there is no development relating to the Group’s business and affairs that has not been previously announced, including those in the stage of negotiation and/or discussion.
The Letter of Intent will have no effect on the issued share capital of the Company for the financial year ending 31 January 2020 but is expected to contribute positively to the earnings of the Company and enhance net assets per share of the Group if purchase orders are issued to CPSB.
None of the Directors and/or major shareholders of the Company and/or any persons connected to them have any interest, direct or indirect, in the Letter of Intent. The Board of Directors of the Company is of the opinion that the Letter of Intent is in the best interest of the Company and the Group.

NON RELATED PARTY TRANSACTIONS | Description | SALE AND PURCHASE AGREEMENT BETWEEN KEBUN RIMAU SDN BHD AND TAWAU COCOA ESTATE SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF TECK GUAN PERDANA BERHAD FOR THE PURCHASE OF ONE PARCEL OF LAND MEASURING APPROXIMATELY 510.6 ACRES HELD UNDER COUNTRY LEASE NUMBER CL 105311260 IN THE DISTRICT OF TAWAU, SABAH. | Pursuant to Paragraph 10.06 of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Board of Directors of Teck Guan Perdana Berhad (“Teck Guan Perdana” or “the Company”) wishes to announce that Tawau Cocoa Estate Sdn Bhd (“Tawau Cocoa Estate” or “the Purchaser”), a wholly-owned subsidiary of Teck Guan Perdana Berhad, had on 2 September 2020, entered into a Sale and Purchase Agreement (“Agreement”) with Kebun Rimau Sdn Bhd (“the Vendor”) for the purchase of one parcel of land measuring approximately 510.6 acres held under Country Lease Number CL 105311260 in the District of Tawau, Sabah (referred to as “the Acquisition”) at a purchase price of RM 11,937,828.00 (exclusive of Sales and Services Tax (“SST”), stamp duty and legal fees) and upon the terms and conditions therein contained.
The purchase of the Property is necessary to increase oil palm planted area and as a result, will increase fresh fruit bunch production and crop yield, to develop and realize opportunities to meet the growing market demands in line with the projected growth of the palm oil industry.

Further to the Company's announcement made on 2 September 2020, the Board of Directors of the Company wishes to provide the following additional information in relation to the Acquisition:-
BASIS OF ARRIVING AT AND JUSTIFICATION FOR THE PURCHASE CONSIDERATION
In arriving at the Purchase Price, the Board has taken in consideration of some oil palm estates valuations (ref JPHS.10/2/1072389, JPHS.10/2/1072489, JPHS10/2/1072289) which are located within the District of Tawau, State of Sabah. Material date of valuations done in the year 2015 were within the range of RM36,000/acre to RM41,000/acre.
In addition, the Board has taken in consideration of location, land and soil of the Acquisition which contain fertile and rare volcanic soil of Tiger and Table series. “TIGER ASSOCIATION” and “TABLE ASSOCIATION” occurred on extinct volcanoes in the Semporna Peninsula to the north of Tawau and at Merotai near Gunung Tiger. The subject property is situated at the east of Gunung Tiger (Director of National Mapping Malaysia, 1965,2015), Merotai, Tawau. This subject property is mostly flat and can fetch a slightly higher price due to rare and fertile volcanic soils, as this type of soils will generate higher yield.
The Board adopt the “Comparison Method of Valuation”. We have taken into consideration the valuation reports under ref: JPHS.10/2/1072389, JPHS.10/2/1072489, JPHS10/2/1072289 which are located within the District of Tawau, State of Sabah.
The initial selling price offer of RM35,000/acre was later re-negotiated and reduced to RM23,380/acre. After deducting the cost of plantation development expenditure which is approximately RM5,000/acre, so the adjusted valuation based on vacant land would be in the region of RM31,000/acre to RM36,000/acre. Therefore, the Board of the Company is of the opinion that the Purchase Price of RM23,380/acre is fair and reasonable as compared to the adjusted valuations.
