The Board of Directors of Rex Industry Berhad ("Rex") wishes to announce that Rex Canning Co. Sdn. Bhd., a wholly-owned subsidiary of Rex, has on 6 March 2019 entered into a Sale and Purchase Agreement with Pentas Prisma Sdn. Bhd. for the proposed acquisition of a parcel of freehold industrial land identified as Lot 8101, Locality of Sungai Suloh Besar, Mukim of Minyak Beku, District of Batu Pahat, State of Johor Darul Takzim together with an industrial complex comprising 3 industrial buildings with an annexed 2-storey office block and ancillary buildings erected thereon for a total consideration of RM13,000,000 to be satisfied entirely by cash ("Proposed Acquisition"). On behalf of the board of directors of Rex ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOBKH") wishes to announce that the Company proposes to undertake the following:- i. a renounceable rights issue of up to 246,626,468 new ordinary shares in Rex ("Rex Share(s)" or "Share(s)") ("Rights Shares") on the basis of 1 Rights Share for every 1 existing Rex Share held on an entitlement date to be determined later ("Proposed Rights Issue"); and ii. an exemption to Daiman Taipan Sdn Bhd and Darmendran Kunaretnam and persons acting in concert with them, namely Chee Cheng Chun and Leong Kwai Ying, under Paragraph 4.08 of the Rules on Take-Overs, Mergers and Compulsory Acquisitions from the obligation to undertake a mandatory offer for the remaining Rex Shares not already owned by them pursuant to the Proposed Rights Issue ("Proposed Exemption"). (The Proposed Rights Issue and the Proposed Exemption are collectively referred to as the "Proposals"). Please refer to the attachment for further details of the Proposals. Description	REX INDUSTRY BERHAD ("REX" OR THE "COMPANY") I.        RIGHTS ISSUE; ANDII.        EXEMPTION(COLLECTIVELY REFERRED TO AS THE "CORPORATE EXERCISES")
The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Rights Issue. We refer to our earlier announcements dated 19 May 2020, 15 June 2020, 24 June 2020, 10 August 2020, 2 November 2020 and 16 November 2020 in relation to the Rights Issue. On behalf of the Board of Directors of REX ("Board"), UOB Kay Hian Securities (M) Sdn Bhd wishes to announce that as at the close of acceptance, excess application and payment for the Rights Issue as at 5.00 p.m. on Tuesday, 1 December 2020, the total acceptances and excess applications for the Rights Issue were 432,871,184 Rights Shares, which represents an over-subscription of 75.52% over the total number of 246,626,468 Rights Shares available for subscription under the Rights Issue, the details of which are set out below:- No. of Rights Shares % Acceptances 241,169,084 97.79 Excess applications 191,702,100 77.73 Total acceptances and excess applications 432,871,184 175.52 Total Rights Shares available for subscription 246,626,468 100.00 Over-subscription 186,244,716 75.52 It is the intention of the Board to allot the Excess Rights Shares on a fair and equitable basis. The Board has applied the following basis and priority in allocating the Excess Rights Shares, in accordance with the Abridged Prospectus dated 16 November 2020:- i. Firstly, to minimise the incidence of odd lots; ii. Secondly, for allocation to Entitled Shareholders who have applied for the Excess Rights Shares, on a pro-rata basis and in board lot, calculated based on their respective shareholdings in the Company as at the Entitlement Date; iii. Thirdly, for allocation to Entitled Shareholders who have applied for the Excess Rights Shares, on a pro-rata basis and in board lot, calculated based on the quantum of their respective Excess Rights Shares applied for; and iv. Finally, for allocation to renouncee(s) and/ or transferee(s) (if applicable) who have applied for the Excess Rights Shares, on a pro-rata basis and in board lot, calculated based on the quantum of their respective Excess Rights Shares applied for. In the event there is any remaining balance of the Excess Rights Shares applied for by the Entitled Shareholders and/ or renouncee(s) and/ or transferee(s) (if applicable) who have applied for the Excess Rights Shares after carrying out steps (i) to (iv) as set out above, steps (ii) to (iv) will be repeated again in the same sequence to allocate the remaining balance of the Excess Rights Shares to the Entitled Shareholders and/ or renouncee(s) and/ or transferee(s) (if applicable) who have applied for the Excess Rights Shares until such balance is fully allocated.
