大股东与Daiman Taipan
每股1.65元全购丽士股权

（吉隆坡7日讯）丽士工业（REX，9946，主板消费产品股）大股东兼董事经理古纳惹南与Daiman Taipan私人有限公司，出价每股1.65令吉，强制收购公司其余尚未持有的股权。

丽士工业向马交所报备，公司是在今天接获有条件强制收购的通知。

文告指，古纳惹南今天以570万9233令吉，收购丽士工业的5.74%股权，相等于平均每股1.612令吉。

同时，大股东Daiman Taipan，也以每股1.65令吉，收购1.62%的股权。

此前，古纳惹南和Daiman Taipan，分别持有丽士工业的5.71%和20.64%股权，而古纳惹南也是Daiman Taipan的大股东。

完成收购后，古纳惹南的持股率将增至11.45%，而Daiman Taipan的持股率也会走高至22.26%。

有意保留上市地位

中和Daiman Taipan和一致行动相关人士在丽士工业的持股率，约达33.72%，触动33%强制性全面献购条件的门槛，因此，宣布全面献购其余未持有的66.28%股权。

收购方也表示有意保留丽士工业的上市地位。

丽士工业旗下的Rex Canning企业私人有限公司，是我国一家食物与饮料制造商，也是国内清真罐头食品、冷冻食品和饮料的领导制造商和出口商之一。

另外，丽士工业董事部稍晚时宣布，无意寻找替代单位进行全面献购。

董事部也指出，委任MainStreet顾问私人有限公司为独立顾问，提供意见给董事部和股东。【e南洋】

大股东献购丽士工业
独立顾问建议股东拒绝

（吉隆坡10日讯）独立顾问认为，大股东向丽士工业（REX，9946，主板消费产品股）提出全面献购建议“不公平但合理”，建议股东拒绝该献议。

丽士工业大股东兼董事经理古纳惹南与Daiman Taipan私人有限公司，2月7日建议，出价每股1.65令吉，强制收购公司其余尚未持有的股权。

丽士工业今日向马交所报备，评估该献议后，独立顾问MainStreet指出，每股献购价1.65仙，比他们所估算的每股净资产价值（RNAV）2.55令吉，低35.29%或90仙。

另外，献购价等于提出建议当天，丽士工业闭市价的5天至1年交易量加权平均市价（VWAP），溢价6.45%至10%。

但献议价，相比3月3日和截至当天的5天交易量加权平均市价，折价1.79%和3.51%，因此，独立顾问认为，出价对股东来说不公平。

不过，该股截至去年1月的1年成交量偏低，加上没有第三方提出收购建议，所以为股东带来立即脱售股票的机会，因此给予“合理”的建议。

总结评估，该独立顾问认为，若股东要脱售股权，也可以通过在公开市场上脱售，获得比限购价更高的价位，因此建议拒绝该献议。 【e南洋】

（吉隆坡19日訊）麗士工業（REX，9946，主要板消費）建議以每9股配2附加股，發行5480萬5881股新股，同時以每4附加股送3紅股，發行4110萬4410股新股。

該公司向馬證交所報備，假設每股附加股的發售價為38仙，估計可籌集2082萬6000令吉。

丽士工业取消发附加股送红股计划

（吉隆坡12日讯）丽士工业（Rex Industry Bhd）今日表示，考虑到目前的市场状况，因而决定不进行通过发行附加股送红股，筹集2083万令吉的计划。

丽士工业在今年2月14日提议，以9配2附加股筹资。为了奖励股东认购附加股，这家罐头食品与饮料制造商将每4附加股送3红股。

所筹措的资金将用于未来可行的投资（48%）、偿还贷款（24%）、充作营运资本（23.9%）及支付这项活动的开销（4.1%）。

这项附加股计划将发售5481万股，参阅价为每股38仙，并预计今年第三季完成。

丽士工业今日向大马交易所报备，该集团现在将考虑通过内部资金和/或外部贷款，为营运资本和商业投资或扩张计划提供资金。

截至2017年6月30日，该集团从营运活动创造的现金净额为389万令吉，而持有现金为1670万令吉。银行贷款共2189万令吉。

根据该集团的净资产1亿4247万令吉，负债率为0.15倍，而净负债率是0.04倍。
