The Board of Directors of Warisan TC Holdings Berhad (“Warisan”) wishes to announce that Warisan has on 29 May 2020 entered into a Subscription and Shareholders’ Agreement (“Agreement”) with TC Capital Resources Sdn Bhd (“TCCR”), TCCL Sdn Bhd (“TCCL”) and MUV Marketplace Sdn Bhd (“MUVM”) to regulate the relationship of the parties as shareholders through equity participation by TCCR and TCCL in MUVM, a wholly-owned subsidiary of Warisan (“Proposed Equity Participation”). Both TCCR and TCCL are wholly-owned subsidiaries of Tan Chong Motor Holdings Berhad (“TCMH”). Pursuant to the Proposed Equity Participation, TCCR and TCCL have each agreed to subscribe for 243,750 new ordinary shares in MUVM (“Subscription Shares”) for cash at a subscription price of RM30.77 per share. The Subscription Shares of 487,500 new ordinary shares will be issued by MUVM to TCCR and TCCL for a total subscription consideration of RM15,000,375.00, in accordance with the terms and conditions of the Agreement. Upon completion of the Proposed Equity Participation, TCCR and TCCL will each hold 7.895% equity interest in MUVM while Warisan will hold the remaining equity interest of 84.210%. The terms used herein, unless the context otherwise stated, bear the same meanings as those defined in the earlier announcement in relation to the Subscription and Shareholders’ Agreement between Warisan, TCCR, TCCL and MUVM.   Further to the Company’s announcement dated 29 May 2020, we wish to inform that the subscription price of RM30.77 per share was arrived at on a willing-buyer willing-seller basis, after taking into consideration, among others, the valuation reports from independent valuer, FHCA appointed by Warisan and another independent valuer appointed by TCMH, of which the summary of their valuations are detailed as follows: Valuation (RM’million) Warisan TCMH Mid-Point Enterprise Value - 95.07 Less: Unaudited Net Liability as at 31 December 2019 - 25.17 Equity Value 108.08 69.90 Mid-Point Equity Value                         88.99 Warisan and TCMH have mutually agreed to factor in a 10% discount to the mid-point equity value of RM88.99 million to arrive at and round off to a final agreed equity value of RM80.00 million for the entire equity interest of MUVM of 2,600,000 ordinary shares prior to the Proposed Equity Participation, which translates into RM30.77 per share. The said 10% discount was arrived at after taking into consideration MUVM's future earnings generating capabilities, projected future cash flows, its sustainability as well as various business considerations and risk factors, which includes the 5-year financial forecasts of MUVM’s business, the impact of the recent movement control order (MCO) enforced in Malaysia to curb the Covid-19 pandemic since 18 March 2020 on the overall business environment in Malaysia (which includes MUVM's market segment), the current cautious customers' sentiment and market slowdown which may normalise only in end-2020. MUVM intends to utilise the proceeds from the issuance of Subscription Shares to fund its working capital requirements in the following manner: Working Capital RM’million Purchase of Inventory 11.00 Technology Enhancement 2.00 Marketing Activities 2.00 Total Subscription Consideration 15.00 The actual utilisation of proceeds raised may vary according to MUVM’s operational requirements from time to time. The Board of Directors of Warisan TC Holdings Berhad (“Warisan” or “Company”) wishes to announce that WTC Automotif (M) Sdn Bhd (“WTCA”), a wholly-owned subsidiary of the Company, had on 30 March 2024 entered into a Memorandum of Understanding (“MOU” or “Agreement”) with GAC Motor International Limited to conduct a feasibility study of complete knocked-down (“CKD”) form production of the right-hand drive EMKOO model (A58-G) in Malaysia and CKD production of the left-hand drive GS3 EMZOOM model (A79-G) in Malaysia and export to Vietnam.
