独立顾问：合营钢铁业2000万购Kayu Ara地 公平且合理

（吉隆坡16日讯）独立顾问Sierac Corporate Advisers私人有限公司认为，合营钢铁业（Amalgamated Industrial Steel Bhd）建议以1960万令吉收购八打灵再也Kayu Ara的两幅地是公平、合理，且对小股东没有不利影响。
Sierac指出，合营钢铁业计划向两家公司，即LGB Holdings和CSLim Holdings私人有限公司购买上述两幅地，这将使其业务多元化至产业发展，从而减少对钢铁相关产品的依赖。
Sierac在通告表示：“因此，我们建议在来临的股东特别大会（EGM）中，投票赞成该决议。”
Sierac补充，收购位于Kayu Ara，面积合共7万9144.41平方尺的两幅地，将符合目前蒙亏的合营钢铁业的最佳利益。
合营钢铁业于8月15日与CSLim及LGB签署一项售股协议，收购上述的Kayu Ara地，这由独立估价师IVPS Property Consultants私人有限公司采用比较法得出每平方尺235令吉，合共1860万令吉。
截至7月杪，该地的账面净值为1795万令吉。
这项土地交易视为关联交易，因合营钢铁业董事兼控股股东林敬翔也持有LGB的显著股权。
合营钢铁业指出，八打灵再也市议会在2015年9月批准了其在Kayu Ara地建造两座连栋住宅，共82个单位，以及相关设施和地下停车场的计划。
这项产业项目的发展总值为1亿1450万令吉，可能创造14%的盈利赚幅，而施工可能需时3年，从2018年开始至2021年。
合营钢铁业指出，目前正在研究发展计划，并可能应市场需求和经济状况等因素而进行一些修改和进一步调整。
为了完成这项购地交易，该集团将在11月2日召开特大，寻求股东通过。如获批准，预计今年底之前完成交易。
