(吉隆坡3日讯)受益于联号公司业绩改善,沙布拉资源(SAPRES,4596,主板产业股)第3季(截至10月31日)转亏为盈,净赚156万1000令吉,每股盈利达1.12仙。

沙布拉资源上财年同期净亏387万9000令吉,每股亏损为2.78仙。

该公司第三季营业额报880万5000令吉,较上财年同期的824万令吉增长6.86%,主要归功于航空业务。

累积首9个月,沙布拉资源净赚436万6000令吉,上财年同期净亏176万5000令吉。

首9个月的每股盈利为3.13仙,上财年同期每股亏损为1.26仙。[南洋网财经]

沙布拉資源1.08億參與KLCC商業大樓聯營計劃

(吉隆坡31日訊)沙布拉資源(SAPRES,4596,主板產業組)建議以1億零850萬7千960令吉向KLCC控股私人有限公司收購IMPIAN Bebas 50%股權,以輔助雙方早年建議的商業大樓聯營發展計劃。

該公司發文告說,沙布拉資源承諾將承包新辦工樓的70%可出租空間,KLCC控股承包剩餘30%可出租空間,IMPIAN Bebas作為2家公司的聯營工具,則將負責經營和管理聯營發展計劃下的零售產業和展覽中心。(星洲日報/財經)

- Acquisition of new subsidiary company
Sapura Resources Berhad (the “Company” or “SRB”) wishes to announce that Sapura Aero Sdn Bhd, a wholly-owned subsidiary of the Company had acquired a shelf private limited company incorporated in Malaysia known as AeroDome Senai Sdn Bhd (“ASSB”) for a cash consideration of RM2.00.

ASSB was incorporated on 30 January 2014 with an authorised and paid up share capital of RM400,000 and RM2.00, respectively. It has not commenced operations since that date.

The intended principal activity of ASSB shall be in the aviation business.

The acquisition of ASSB is subject to the approval of the Board of Directors' of SRB.

None of the Directors and/or major shareholders of the Company or persons connected with them have any interest, direct or indirect, in ASSB.

文告指出,沙布拉资源子公司Sapura Aero私人有限公司,将和ISY Holdings私人有限公司成立联营公司ISYAerina私人有限公司,各别持有49%和51%股权。

Sapura Aero私人有限公司在联营公司的总投资约为405万令吉,将透过内部资金完成。

JOINT VENTURE AND SHAREHOLDERS AGREEMENT BETWEEN SAPURA AERO SDN BHD (“SASB”), A WHOLLY OWNED SUBSIDIARY OF SAPURA RESOURCES BERHAD WITH ISY HOLDINGS SDN BHD




1. INTRODUCTION
Sapura Resources Berhad ("SRB") wishes to announce that Sapura Aero Sdn Bhd (“SASB”), a wholly-owned subsidiary of SRB, had on 4 March 2014 entered into a Joint Venture and Shareholders Agreement (“JVSA”) with ISY Holdings Sdn Bhd (“ISY”) for the purpose of participating in a joint-venture company called ISY Aerina Sdn Bhd (“the JV Co”).
The purpose of the JV Co is to develop an aircraft hangar building on a piece of land measuring 38,750 sq.ft. at Plot C, Bay 14, Sultan Abdul Aziz Shah Airport Subang, Selangor  which comprises compartments of aircraft hangars for housing aircraft and units of offices (collectively referred as “the Aircraft Hangar”).

2.      SALIENT FEATURES OF JVA
a) The JVSA is subject to inter alia the following conditions precedent:
i) SASB’s Board of Directors’ approval; and
ii) ISY’s Board of Directors’ approval
b) The above conditions precedent are to be fulfilled within one (1) month of the date of the JVSA (“Unconditional Date”) and the completion date shall be not more than one (1) month from the Unconditional Date (“Completion Date”)
c) On Completion Date, SASB shall subscribe for 147,000 shares and ISY shall subscribe for 153,000 shares in the JV Co. The issued and paid-up capital of the JV Co will be RM300,000.
d) The JV Co will have four (4) directors, two (2) of which shall be SASB’s nominees and the remaining two (2) shall be nominees of ISY. The chairman of the Board shall be a director from the directors of the company on an annual rotation basis.
e) The principal activity of the JV Co shall be property investment.


3DETAILS OF THE JOINT VENTURE PARTNERS
3.1 Information on SASB
SASB, a wholly-owned subsidiary of SRB, was incorporated in Malaysia under the Companies Act, 1965 as a private limited company on 11 October 2011.
The principal activity of SASB is an investment holding.
The authorised share capital of SASB is RM5,000,000 comprising 5,000,000 ordinary shares of RM1 each and the issued and paid-up share capital is RM1,505,000 comprising 1,505,000 ordinary shares of RM1 each.

3.2 Information on ISY
ISY was incorporated in Malaysia under the Companies Act, 1965 as a private limited company on 3 July 1981. ISY is involved in the business of investment holding and alienation assignments.
The principal activity of ISY is an investment holding.
The authorised share capital of ISY is RM5,000,000 comprising 5,000,000 ordinary shares of RM1 each and the issued and paid-up share capital is RM1,200,000 comprising 1,200,000 ordinary shares of RM1.00 each.

4. INFORMATION ON THE JV CO
ISY Aerina Sdn Bhd was incorporated in Malaysia under the Companies Act, 1965 as a private limited company on 3 May 2012.
The principal activity of the JV Co is the concession holder.
The authorised share capital of JV Co is RM100,000 comprising 100,000 ordinary shares of RM1 each and the issued and paid-up share capital is RM2.00 comprising 2 ordinary shares of RM1.00 each.
On Completion Date of the JVSA, each party shall subscribe for new ordinary shares in the JV Co of up to RM300,000 in cash. The new shareholding structure in the JV Co will subsequently be as follows:-
(i)  Sapura Aero Sdn Bhd (“SASB”) - 49% equity comprising 147,000 ordinary shares of RM1.00 each
(ii) ISY Holdings Sdn Bhd (“ISY”) - 51% equity comprising 153,000 ordinary shares of RM1.00 each
In addition, SASB to subscribe Redeemable Cumulative Preference Shares (“RCPS”) in JV Co with a face value of RM1.00 each, up to a maximum amount of RM3.9 million.
SASB’s total investment in the JV Co will be approximately RM4.05million, which will be financed by internally generated funds.

5. RATIONALE FOR THE JOINT VENTURE
The joint venture is in line with the long term strategy to enhance the business of SRB Group.

6. RISK FACTORS
SRB is not aware of any risk factors other than the normal market and economic risks.

7. LIABILITIES INCLUDING CONTINGENT LIABILITIES AND GUARANTEES TO BE ASSUMED
There are no liabilities to be assumed by SRB.

8. FINANCIAL EFFECTS OF THE JVSA
The joint venture will not have any material financial impact in the current financial year nor will it have any effect on the issued and paid-up share capital of SRB and/or substantial shareholders’ shareholding in SRB. The joint venture is also not expected to have a material effect on the net assets per share, earnings per share and gearing of SRB for the financial year ending 2015.
The joint venture is expected to contribute positively to the future profitability of SRB.

9.  APPROVALS
The JVSA is not subject to the approval of the shareholders of SRB or the approval of any relevant authorities in Malaysia.

10. DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST
None of the directors and major shareholders of SRB and its subsidiaries or persons connected to them has any interest, direct or indirect, in the JVSA.

11.  DIRECTORS’ OPINION
The Board of Directors of SRB is of the opinion that the JVSA is in the best interest of the Company.

12.  HIGHEST PERCENTAGE RATIO
Based on the consolidated financial statements of SRB for the financial year ended 31 January 2013, the highest percentage ratio applicable in this transaction pursuant to paragraph 10.02(g) of the Main Market Listing Requirement 1.15%.

13. DOCUMENT FOR INSPECTION
The JVSA is available for inspection at the registered office of SRB at Sapura@Mines, No.7 Jalan Tasik, The Mines Resort City, 43300 Seri Kembangan, Selangor Darul Ehsan during normal office hours from Monday to Friday (except public holiday) for a period of 3 months from the date of this announcement.

(吉隆坡1日讯)沙布拉资源(SAPRES,4596,主板产业股)因营运成本下滑,截至4月杪财年首季净利按年那上扬10.2%至163万令吉,或每股盈利报1.17仙。

文告显示,上财年同期净利为147万9000令吉,相等于每股1.06仙。

不过,首季营业额因航空领域贡献减少,而下滑4.67%,达949万5000令吉,上财年同期报996万令吉。【南洋网财经】

沙布拉资源否认注入资产

(吉隆坡8日讯)市场传,沙布拉资源(SAPRES,4596,主板产业股)将注入油气资产,刺激股价今日大涨,但公司较后否认这项消息。

沙布拉资源发文告表示,对注入油气资产的传言不知情,也没有商讨此计划。

受消息带动,该股今日一度冲上1.21令吉,创近1年以来新高纪录。

最后,该股收在1.19令吉,全日上涨12仙或11.215%,成交量则达539万2100股。

去年,自该公司与国家石油的KLCC控股公司签署联营协议,发展吉隆坡双峰塔附近的地皮,成为市场焦点。

沙布拉资源近期向马交所报备,双方已达到该协议所有条件,而成为无条件协议。

该项工程预计在下半年开始进行,包括兴建一栋办公大楼、会展中心及零售垫楼(retail podium)。【南洋网财经】

(吉隆坡23日讯)营业额增加推动,沙布拉资源(SAPRES,4596,主板产业股)截至7月杪次季净利年增55.12%。

该公司次季净利报205万7000令吉,或每股盈利1.47仙;上财年同期为132万6000令吉,或每股盈利0.95仙。

同期营业额写999万1000令吉,较上财年同期的871万3000令吉,增14.67%。

合计半年,沙布拉资源净利从上财年同期的280万5000令吉,增31.44%,达368万7000令吉,或每股盈利2.64仙。

(吉隆坡24日讯)沙布拉资源(SAPRES,4596,主板产业股)获得股东沙布拉控股(Sapura Holdings)2亿8950万令吉的财务援助,作为吉隆坡Lot91联营计划的融资。

该公司向马交所报备,上述财务援助包括由沙布拉控股提供达1亿850万令吉的回教贷款,及由沙布拉控股担保,马银行回教银行提供的1亿8100万令吉回教贷款。

ACCEPTANCE OF THE FINANCIAL ASSISTANCE BY SAPURA HOLDINGS SDN BHD TO SAPURA RESOURCES BERHAD
The Board of Directors of SRB wishes to announce that on 23 October 2014, the Company has accepted a shareholder’s financial assistance from Sapura Holdings Sdn Bhd ("SHSB") in the form of:-
a. Murabahah or Murabahah–Tawarruq Facility granted by SHSB to SRB for a total sum of up to RM108,500,000.00 (“Shareholder’s Advance”);

b. Issuance of SHSB’s Letter of Undertaking to Maybank Islamic Berhad for facilities amounting to RM181,000,000.00 granted to SRB (“Undertaking”).
(hereinafter collectively referred to as “Financial Assistance”).

The purpose of the Financial Assistance is for SRB’s joint venture investment to develop Lot 91, Kuala Lumpur City Centre (“Project”) namely to part finance the acquisition by SRB of 50% equity interest in Impian Bebas Sdn Bhd (“IBSB”) for cash consideration of RM108.51 million and to part finance the remaining equity requirement. The security for the Financial Assistance is a Memorandum of Deposit (“the MOD”) with SHSB in respect of the deposit of 11,474,125 ordinary shares in IBSB, representing fifty percent (50%) of the shareholding of IBSB.

The Financial Assistance will not have any impact on the issued and paid-up share capital as well as the substantial shareholders’ shareholdings in SRB.
It will also not have any material effect on the Net Assets and Net Assets per share based on the latest audited financial statements of SRB as at 31 January 2014 as the Financial Assistance will be used for the acquisition of existing ordinary shares in IBSB.

The Financial Assistance is expected to increase the borrowings of the Group and is expected to contribute positively to the SRB Group’s earnings when the Project is completed and commences operations.

Save for Dato’ Shahriman bin Shamsuddin and Tan Sri Dato’ Seri Shahril bin Shamsuddin who are the Directors and major shareholders of SRB and SHSB, none of the Directors and/or major shareholders and/or persons connected with a Director or a major shareholder of SRB has any interest, direct and indirect in the Financial Assistance.

(吉隆坡26日訊)投資Impian Bebas私人有限公司股權有獲利,帶動沙布拉資源(SAPRES,4596,主要板房產)截至1月底2015財年全年淨利暴漲超過1倍,淨賺2451萬令吉。

沙布拉資源向馬證交所報備,全年淨利則勁揚159%,錄得2451萬令吉;營業額增4.6%至3940萬令吉。

該公司指出,淨利暴增主要因為廉價收購Impian Bebas私人有限公司50%股權的投資收益。

該公司末季淨賺441萬令吉,較去年同期低14%;營業額同樣下滑5%至967萬令吉。【中国报财经】

IBSB was incorporated as a private limited company on 29 November 1994. It has an authorised share capital of RM50,000,000 comprising 40,280,000 ordinary shares of RM1.00 each, 6,720,000 Non-Voting CPS and 3,000 Non-Cumulative Non-Convertible RPS of RM1,000 each, to which 22,948,250 ordinary shares of RM1.00 have been issued and fully paid up. SRB has 50% equity interest in IBSB.

IBSB is principally involved in property investment.

None of the Directors and/or major shareholders of SRB or persons connected to the Directors and/or major shareholders of SRB have any interest, direct or indirect in the financing facilities.

This announcement is dated 20 April, 2015.

(吉隆坡22日讯)由KLCC控股私人有限公司和沙布拉资源(SAPRES,4596,主板产业股)联营的Impian Bebas私人有限公司,昨日获得总值10.8亿令吉的回教银行集团贷款。

马银行投行昨天发表文告,贷款由马银行投行、大众回教银行和兴业回教银行联合提供,为期15年,马银行投行是主理。

Impian Bebas将负责位于吉隆坡城中城(KLCC)内,Lot91商务土地发展成综合商务产业,包括办公楼、会议中心,和零售空间。

Impian Bebas指出,该工程将与会展中心融合,且也毗邻吉隆坡阳光广场(Suria KLCC),料引起租户强烈的兴趣。

马银行投行总执行长章荣泉指出,这项贷款是为Impian Bebas量身订造的融资方案,不但满足后者的资金需求,还将为该公司带来长期价值。【南洋网财经】
