冀盡快落實倒置收購 思泰科技放眼更高業績

（吉隆坡28日訊）思泰科技（SMTRACK，0169，創業板科技）希望可在近期內完成被Wellspring Worldwide有限公司倒置收購的計劃，也冀望明年取得更高營業額，虧損進一步收窄。

思泰科技新任執行董事阿茲米今日以代理主席身份主持公司年度股東大會，他在會后接受媒體採訪時指出，2018年是令人振奮的一年，希望公司業績可好轉，並帶給股東更多好消息。

針對公司在6月15日獻議以3億1000萬令吉全購Wellspring，變相讓這家美國公司倒置收購思泰科技一事，阿茲米說，這計劃一再延期，是因為兩家公司所引用的法律框架不同，導致精明審核期超出預期，並非Wellspring對這計劃已不感興趣。

“我們的投資銀行家正在為這項交易努力著，我們很興奮且希望這項交易可在近期內完成。”

據馬證交所報備文件，馬交所已批准思泰科技延期至2018年3月31日提交上述倒置收購的通函草案和申請。

這項總值3億1000萬令吉的交易，包含2000萬令吉現金，及發行每股14仙的20億7142萬8570新股。

在完成包括發行附加股和倒置收購后，Wellspring最終將持有思泰科技75.69%股權，觸發強制性收購（MGO）。

不過，持有冷凍優格品牌Tutti Frutti的Wellspring，有意維持上市地位。

截至7月底，思泰科技2017財年營業額為269萬令吉，淨虧738萬令吉。【中国报财经】

思泰科技偕VFTech
联营船舶燃油跟踪系统

（吉隆坡29日讯）思泰科技（SMTRACK，0169，创业板）与VFTech私人有限公司联营，为油气市场提供船舶燃油智能跟踪系统，并放眼公司财务能够转亏为盈。

思泰科技执行董事阿兹米欧斯曼，今日签署合作协议后对媒体说，双方的合作仍处于初始阶段，需要多方面讨论后才能商业化该系统。

根据协议，双方需在合约签署后的30天内成立联营公司，其中，思泰科技和VFTech，个别持有51%和49%股权。

VFTech将进行深入研究和发展最先进的自动识别系统（AIS）或全球定位系统（GPS）跟踪设备——Vessel-FITX，能够精确定位、膨胀、速度、天气和风向。

在正式推介前，VFTech将与AIS供应商及油气营运商进行现场测试，进一步确定该软件的准确性。

阿兹米欧斯曼称，这项合作协议将带来协同效应，其中，VFTech将提供海事业务的技术，而思泰科技则提供营销、网络和经验。

VFTech总执行长莫哈末沙希德则说，传统上，必须安装昂贵的硬件燃料流量计，且燃料审计师必须在船上。

然而，通过实施Vessel-FITX，可以取代燃料审计师和分析师的工作，从而减少人力、降低成本和增加燃料管理的效率。

INTRODUCTION The Board of Directors of SMTrack is pleased to announce that the Company had on 29 January 2018 entered into a Collaboration Agreement with VFTech Sdn Bhd (Company No. 1262327-K) (“the Developer”) [“the Parties”] in respect of the Strategic Partnership in the implementation of the vessel fuel intelligent tracker with real time vessel (GPS/AIS) tracking system worldwide. A new limited liability company (“New Company”) with the following structure will be formed within 30 days from the date of the Collaboration Agreement:- Shareholding The Developer and/or his nominee – 49% of total shareholding SMTrack and/or its nominee – 51% of total shareholding Directorship The Developer and/or his nominee – 1 seat (33.33%) SMTrack and/or its nominee – 2 seats (66.66%) Further announcement will be made upon the formation of the New Company. FINANCIAL EFFECT The Collaboration Agreement is not expected to have any material financial effect on the earning of Group but is expected to contribute positively to the earnings and net assets per share of SMTRack Group for the financial year ending 31 July 2018. 思泰科技研发船油跟踪

（吉隆坡20日讯）思泰科技（SMTRACK，0169，创业板）宣布成立子公司Smart Marine Tech私人有限公司（简称“SMT公司”），从事船舶燃油智能跟踪系统的研发工作。

思泰科技向交易所报备，今日成立SMT公司，并持有当中51%股权，另49%由VFTech私人有限公司持有。

该公司称，这项企业发展活动不会对截至今年7月31日的2018财年有任何影响，包括每股资产、净利和负债率。
