COMMENCEMENT OF ARBITRATION PROCEEDINGS BETWEEN THE ATMOSPHERE SDN BHD AND MULTI BUILDERS SDN BHD
1.    Introduction

Pursuant to Paragraph 9.04 (g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Company wishes to announce on the commencement of the proceedings for the Arbitration (“Arbitration”) between The Atmosphere Sdn Bhd (“TASB”), a wholly-owned subsidiary of Vibrant Hub Sdn Bhd of which a 60%-owned subsidiary of the Company, as respondent and Multi Builders Sdn Bhd (“MBSB”) as claimant in respect of the following contracts:

a) Cadangan Membina 8 Blok Kedai / Pejabat Berjumlah 63 Unit Untuk Fasa 2B & 2C Yang Mengandungi (I) 5 Tingkat Kedai / Pejabat – 16 Unit, (II) 4 Tingkat Kedai / Pejabat – 47 Unit (III) 2 Tingkat Tempat Letak Kereta Berserta (IV) 1 Tingkat Boulevard (V) 2 Unit Pencawang Elektrik Di Atas Sebahagian Lot 48732, Mukim Petaling, Daerah Petaling, Selangor Darul Ehsan (“Contract 1”), and

b) Cadangan Membina 5 Blok Kedai / Pejabat Berjumlah 43 Unit Untuk Fasa 2D Yang Mengandungi (I) 5 Tingkat Kedai / Pejabat – 10 Unit (II) 4 Tingkat Kedai / Pejabat – 33 Unit (III) 1 Tingkat Tempat Letak Kereta Besmen (IV) 2 Pencawang Elektrik Di Atas Sebahagian Lot 48732, Mukim Petaling, Daerah Petaling, Selangor Darul Ehsan (“Contract 2”)

Together known as (“The Contracts”)

The hearing dates have been proposed as follows:

a)    Hearing 1 – 22 June 2020 to 24 June 2020
b)    Hearing 2 – 29 June 2020 to 01 July 2020
c)    Hearing 3 – 13 July 2020 to 15 July 2020.

2.    Background and Nature of the Arbitration

MBSB was engaged as the main contractor for The Contracts of which Contract 1 was awarded on 23 September 2010 and Contract 2 was awarded on 21 January 2011. Contract 1 had a completion date of 31 December 2011 and Contract 2 had a completion date of 23 April 2012.
During the construction period, MBSB had sought and was given numerous Extensions of Time (“EOT”) but was unable to complete The Contracts on time and delayed completion of The Contracts. Contract 1 was only completed on 30 November 2012, a delay of 119 days after its final EOT, and Contract 2 was completed on 31 January 2013, a delay of 213 days after its final EOT.

As a result of the delays, MBSB was obligated to pay to TASB Liquidated and Ascertained Damages (“LAD”) in accordance with The Contracts. At the request of MBSB, TASB and MBSB negotiated on the LAD and it was subsequently agreed to finally settle at a reduced LAD amount of RM3.9 million. A Letter of Confirmation of LAD executed on 9th January 2013 confirming the settlement (“the Settlement”).

On 4th January 2019, MBSB submitted a Request for Arbitration seeking, in the main, to nullify the Settlement on the ground that they had entered into the Settlement under undue influence and coercion.

3.    Amount Claimed

MBSB is seeking against TASB for, in the main, of the recovery of RM3.9 million being the amount of the LAD it had previously agreed to.

4.    Assessment

The Board, after receiving legal advice, is of the opinion that it has a reasonably valid and sustainable defence against the claim and will contend the following:-

a) MBSB had voluntarily consented and agreed to the reduced LAD sum upon negotiations between the parties and there is no indication that MBSB was under undue influence and coercion when entering into the Settlement as MBSB had, prior to the signing of the Letter, itself confirmed the reduction of the LAD sum from RM7.8 million to RM3.9 million and also requested for a further reduction of the LAD sum.

b) The LAD amount is reasonable and therefore, Section 75 of the Contracts Act 1950 permits the imposition of the contractual LAD against MBSB.

However, as an alternative position, in the event that the Arbitral Tribunal finds the Settlement to be null and void, TASB will seek to enforce its full legal and contractual right by claiming the full LAD of RM7.8 million (less RM3.9 million previously agreed LAD retained) against TASB.

5.    Financial and Operational Impact

Based on the above assessment the Board believes that the risks of losses and adverse impact on TASB to be minimal and therefore not material. The cost of the Arbitration shall in principle be borne by the unsuccessful party. However, the Arbitral Tribunal may apportion such costs between the parties if it determines that the apportionment is reasonable.  There is no material operational impact arising from the Arbitration.

As of this stage, the Board reasonably believes that it stands a good chance of success against the claim brought by MBSB and therefore does not expect any losses to arise by reason of the commencement of the said arbitration proceeding other than legal cost and time in defending the claim.

6.    Interest of Directors, Major Shareholders and Person Connected

None of the directors, major shareholders of the Company or persons connected with them have any interest, direct or indirect, in the aforesaid Arbitration Proceedings.

The Board of Directors of Eksons Corporation Berhad (“Eksons” or “Company”) wishes to announce that Viva Paradise Sdn Bhd (“Viva”), a wholly-owned subsidiary of Vibrant Hub Sdn Bhd (“VHSB”) which is a 60.52%-owned subsidiary of the Company, had entered into a Project Management Agreement dated 1 May 2015 as varied by a Supplemental Agreement dated 3 January 2018 (collectively “PMA”) with Tempo Properties Sdn Bhd (“Tempo Properties”) for the project management of development of a piece of 6.5 acres land in Taman Bukit Serdang, Selangor and/or sale of the premises to be developed. The PMA which is a Recurrent Related Party Transaction (“RRPT”) was approved by shareholders in previous General Meetings, and the last mandate was on 25 September 2019. The project, named Affiniti Residences, comprises 23 units of 4-storey Grand Villas, 70 units of Duplex Villas and 36 units of Rumah SelangorKu apartments (“Project”). The Project is now approximately 17% complete.
