The 2 shares are held one each by Mr. Gooi Seong Lim and Mr. Gooi Seong Gum in trust for the benefit of URSB. Both of them are directors of CCB, UCSB, URSB and USISB.
USISB intends to carry on the business of sand operations.
The incorporation of USISB will not have any material effect on the earnings, net assets and gearing of CCB Group for the financial year ending 31 January, 2015.
None of the Directors and major shareholders of the CCB and its subsidiaries or person connected to them, have any interest, direct or indirect, in the subject matter.

次季净利飙138% 吉星派息7仙

（吉隆坡29日讯）由于重估投资产业价值，吉星（CRESNDO，6718，主板产业股）截至7月31日次季，净利飙涨138.22%，并派息每股7仙。
文告指出，次季净利报6167万9000令吉，相等每股27.09仙，胜于去年同期的2589万2000令吉，或每股12.74仙，归功于产业价值增加4970万令吉。
营业额则因工业产业销量下滑，而年跌19.76%，报6953万6000令吉，上财年为8665万7000令吉。
首半年方面，营业额按年滑落23.47%，达1亿2069万5000令吉；净利则录得6722万2000令吉，写下53.20%涨幅。【南洋网财经】

業績遜預測‧吉星後市看法分歧

（吉隆坡30日訊）吉星機構（CRESNDO,6718,主板產業組）2015年財政年首半年業績表現，普遍落後市場預測，惟分析員對它後市表現褒貶不一，即有分析員認為其下半年業績將會迎頭赶上，而保持其財測及檢討其評級，另有分析員則下調其未來3年財測及給予較悲觀評級。
肯納格研究指出，該公司2015年首半年核心淨利2千零10萬令吉，僅占該行全年預測的24%，及市場平均全年預測的29%。
肯納格表示，吉星機構首半年業績表現令人失望，不過，該行還是認為它符合預測，主要是預期其下半年將有更多高賺幅產品入賬，加上它派發每股單級中期股息7仙，或占全年股息預測的46%，可能意味著該公司有信心達到2015年全年財測。
2015首半年銷售額達1.4億
該公司2015年首半年銷售額達1億4千萬令吉，占全年預測的2億1千萬令吉的67%，也是該行看好其後市表現的個中原因。
肯納格對其2015及2016年核心淨利預測保持不變，分別為8千440萬令吉，以及9千320萬令吉，主要看好其下半年表現更為標青。
達證券指出，若是扣除吉星機構的投資產業合理價值盈利4千970萬令吉，該公司在2015年首半年正常化淨利為1千750萬令吉，僅占該行全年淨利預測的32%及市場全年預測的25%。
該行將其2015年至2017年核心淨利預測下調12%至24%之間，包括2015年淨利預測為4千160萬令吉、及2016年則為6千760萬令吉。

The Board of Directors of Crescendo Corporation Berhad ("CCB") wishes to announce that CCB has on 31stOctober, 2014 entered into a Deed of Termination in respect of the Joint Venture Agreement dated 23 July, 2013 ("JVA") with Mavern Pte Ltd (Company No. 199904984 W) ("MPL"), Meiban Resources Sdn. Bhd. (Company No. 527428-W) ("MRSB") and Medini Capital Sdn. Bhd. (Company No. 1050184-X) (“MCSB”), a 51%-owned subsidiary of CCB, for the purpose of terminating the JVA and each party shall have no claim under it against the other. Simultaneously, CCB, as the Purchaser, has on 31st October, 2014 acquired all the ordinary shares and preference shares in MCSB held by MPL and MRSB for a total purchase consideration of RM8,300,000.

吉星终止联营合约 830万全购Medini 资本

（吉隆坡1日讯）吉星（CRESNDO，6718，主板产业股）终止产业联营合约，并以830万令吉收购联营公司Medini资本所有股权。
吉星是在去年7月，与Mavern、Meiban资源联营，并在Medini资本持股51%，而后两者则分别持有32.7%和16.3%股权，准备合作发展产业计划。
根据文告，由于上述两家公司转变营运策略，并减持在柔佛的产业计划，因此，吉星决定全购Medini资本，将之变成独资子公司，以完全享有未来的产业发展潜力。
吉星在490万股普通股出价为340万令吉，另以490万令吉全购490万股优先股，资金来自内部融资。

產业联营终止 吉星机构前景无损

（吉隆坡3日讯）虽然吉星机构（CRESNDO，6718，主板產业股）在上周五（10月31日）宣布，终止一项產业联营合约，但分析员表示，这不会对该公司2015和2016財政年（1月31日结帐）带来显著的影响，並继续看好该公司的前景。因此，分析员维持吉星机构的盈利预测和投资评级。
由于以上最新进展，预计不会对吉星机构带来重大的影响，所以吉星机构股价在週一大部份时间在2.80令吉平盘交易，最后以2.78令吉掛收，全天微跌2仙，或0.71%。
吉星机构在上週五发文告指出，与Mavern私人有限公司（简称MPL）、Meiban资源私人有限公司（简称MRSB）和美迪尼资本私人有限公司（简称MCSB）签署终止联营协议。吉星机构持有MCSB的51%股权，而MPL和MRSB则分別持有另外的32.7%和16.3%股权。
回顾去年7月，吉星机构与新加坡发展商MPL和MRSB达成联营协议，成立一家联营公司--MCSB，以联手在Nusa Cemerlang工业园（NCIP）发展高楼住宅项目，发展总值估计为6亿3500万令吉。
吉星机构上週五在文告中指出，隨著该联营协议告吹，吉星机构以830万令吉，向MPL和MRSB收购MCSB剩余的49%股权。
针对以上最新发展，肯纳格研究分析员相信，该联营协议告吹是由MPL和MRSB主导，这是基于柔佛的高楼住宅过度发展，引起市场担忧，导致MPL和MRSB改变投资策略，即减持在柔佛的產业计划。
该分析员指出，隨著联营终止，以及吉星机构献购MCSB剩余的49%股权，MCSB已经成为吉星机构的独资子公司。因此，吉星机构在该联营住宅项目的有效发展总值，从之前的3亿1700万令吉，提高1倍，至6亿3500万令吉。
不影响盈利
无论如何，分析员认为，此项联营终止不会影响吉星机构2015和2016財政年的盈利预测，因为该財政年的预测，並没將有关项目计算在內。
有鉴于此， 该分析员维持2015和2016財政年的盈利预测。展望未来，分析员称，吉星机构的展望依然完好，该公司未来2年，预计將推出总值8亿5000万令吉的新盘，住宅房產和工业產业各占一半。
另一方面， 发展总值约3 0亿令吉的Cemerlang城（Bandar Cemerlang)，预计在2015年初推出。Cemerlang城主要是以可负担有地房產计划为主，即每单位售价低于50万令吉。

吉星第三季净利挫62%

（吉隆坡30日讯）截至2014财年第三季，吉星（CRESNDO，6718，主板产业股）净利按年大挫61.84%，报1807万令吉，上财年同期为4736万令吉；营业额则微跌6.94%，录得7260万令吉。
累计首9个月，净利取得8529万令吉，跌6.51%；营业额挫18%，录得1亿9329万令吉。
该公司指销售配套的改变，导致工业房产的销售量走软，拖累营业额和盈利下滑。
董事部认为，虽然政府的打房措施打击市场，但我国与新加坡的经济合作，将带动依斯干达经济特区的产业需求，为公司提供商机。【南洋网财经】

業績遜色拖累 吉星寫下一年新低

（吉隆坡31日訊）工業房產銷售低于預期，吉星集團（CRESNDO，6718，主要板房產）最新業績表現遜色，拖累該股走跌，全日跌10仙至2.30令吉，為一年新低水平。
吉星集團開盤時先跌1仙至2.39令吉，隨后持續下滑，跌8仙至2.32令吉，創下一年新低紀錄。休市時，該股掛2.35仙，跌5仙，成交量報20萬7200股。
閉市時，該股收在全日最低點2.30令吉，跌10仙，成交量錄得30萬5000股。
根據肯納格證券研究指出，吉星集團本財年首9個月核心淨利低于該行和市場預期，僅占該行全年預測47%。業績比預期疲軟，主要因Nusa Cemerlang工業園的工業房產銷售較低所拖累。
“整體房產市場預計在明年首季仍然深具挑戰，特別是在柔佛。然而，我們相信該公司良好的資產負債表和推出可負擔房屋將有助緩解衝擊。”
該公司計劃未來推出8.5億令吉的房產計劃，其中包括住宅與工業房產，該住宅計劃名為Bandar Cemerlang，主要為房價低于50萬令吉的可負擔房屋，計劃在明年初推出。

吉星集團 末季派息5仙

（吉隆坡31日訊）吉星集團（CRESNDO，6718，主要板房產）在較高賺幅的工業房產銷售推動下，截至1月底末季，淨利按年起16.9%至3457萬令吉，宣布派發每股5仙股息。
同期，營業額從7464萬令吉微增至7525萬令吉。
該公司全年淨利達1億1987萬令吉，微低于上財年的1億2105萬令吉；營業額從3億1036萬令吉，降低至2億6855萬令吉，主要受銷量減少影響。全年每股派息從16仙降低至12仙。
吉星集團相信，2016財年房市將持續具挑戰，但公司會專注在工業、住宅和商業房產發展。
不過，吉星集團資產重估取得約9140萬令吉收益，因此提升2015財年每股淨資產40仙。【中国报财经】

核心淨利遜預期‧吉星機構財測下調

（吉隆坡7日訊）吉星機構（CRESNDO，6718，主板產業組）2015年全年核心淨利低於市場預測，分析員下調其財測。
肯納格研究指出，吉星機構2015年財政年全年核心淨利4千330萬令吉，落後該行及市場預測，即僅占全年預測的66%及61%，主要是受到工業產業領域較低營收及較高營運成本影響。
達證券指出，若是扣除投資產業所取得5千800萬令吉的合理盈利，該公司2015年財政年正常化淨利6千190萬令吉，符合該行預測，惟落後一般市場預測。
該行將其2016及2017年的淨利預測下調11%至20%，主要是預期較低產業銷售額，以及反映僅有低於12個月的盈利透明度。
肯納格研究指出，吉星機構管理層對柔佛州產業市場前景持謹慎態度，特別是高樓產業供應過剩、貸款市場緊縮、及政府開始推行消費稅利空所致，使管理層謹慎推介新產品，即在其Cemelang城鎮及工業花園專注在有地產業（發展總值約1億令吉）及商業/工業產品（約值1億令吉）。
目前該公司未入賬銷售僅為7千800萬令吉，令其盈利可見度僅為6至8個月之間。
隨著最新業績低於預測，該行將其2016年核心淨利預測下砍44.0%至4千450萬令吉、2017年則為4千570萬令吉。

吉星净利飙77%

（吉隆坡29日讯）工业和商用产业销量走高，带动吉星（CRESNDO，6718，主板产业股）截至4月30日首季，净利激增77%，达980万9000令吉。
同期营业额则涨9%，报5573万9000令吉。
根据文告，公司赚幅走高，归功于销售组合改变，从而录得较高的工业和商用产业销量，这类产业的赚幅也比住宅产业高。
吉星旗下的房产发展及建筑业务，首季营业额和营运净利，分别增长6%和87%。
而制造和贸易业务，营业额和营运净利则分别起25%和38%，主要由较高的混凝土产品出口所推动。
吉星预计，近期市况将持续波动，因政府的打房措施、消费税和令吉走软，均捎来不稳定因素。

吉星（CRESNDO，6718，主板产业股）首季净利增77%，达980万令吉；同季营业额则涨9%，报5570万令吉。
净利大增的原因是低基数效应导致赚幅扩大，营业额上扬主要是产业发展、建筑，及制造和贸易业务推动。
该公司计划今年推出价值达3.71亿令吉的房地产。
行家建议
吉星首季净利低于预期，仅达我们的15%预测，主要是因为工业销售不如预期。
估计该公司今年首季的新销售只有1500万令吉，远低于我们2亿8000万令吉的预测。
销售低迷，相信是因为没有推出新项目所致，而截至4月份的未入账销售，也从去年的7800万令吉，降低至5800万令吉，盈利能见度少过12个月。
我们下调本财年的销售预测到1.8至2.35亿令吉，同时也把2016至2017财年的盈利预测下修13至17%，归咎于首季业绩低于预期。
而新的目标价格则是2.02令吉，则是根据6.5倍本益比计算，建议投资者“卖出”。

吉星次季净利暴跌95%

（吉隆坡29日讯）因产业销售放缓，吉星（CRESNDO，6718，主板产业股）截至7月杪次季，净利暴跌95%，仅达308万7000令吉，上财年同期为6167万9000令吉。
该公司向马交所报备，营业额跌幅也达41.19%，录得4089万4000令吉，上财年同期为6953万6000令吉。
累积首半年，该公司净利达1289万6000令吉，跌幅为80.8%；营业额则达9663万3000令吉，挫19.9%。
不过，该公司仍建议派息每股2仙。【南洋网财经】
