泛马控股易主遭拒 马联合工业拟上诉

（吉隆坡21日讯）商人丹斯里邱继炳旗下的马联合工业有限公司（MUIIND，3891，贸易服务组），将针对证券委员会拒绝让其上市子公司泛马控股有限公司（PMHLDG，1287，酒店组）控制股东变动的决定，提出上诉。

在致给大马交易所的文件中，马联合工业说，它已向证券委员会提呈一份通知书，通知有关当局有关它有意针对阻止泛马控股股东变动的决定提出上诉。

上周一，证券委员会致函泛马证券行指出，其于一项股票脱售交易下导致泛马控股持股变动的申请，已经遭到驳回。

在12月，马联合工业宣布，旗下数家子公司将联合出售6亿4270万股票，或69.19%泛马控股股权，予游礼发产业有限公司（YNHPROP，3158，产业组）控制股东拿督游光春，成交价为7712万令吉，或每股12仙。

这项消息促使泛马控股股价从去年12月12日的11仙，在少于3周内，挺高到12月29日创下515仙的14年最高水平。不过，该股股价之后因为脱售完成延宕而趋低。该股目前挂价约28.5仙。

马联合工业股价从今年开始也滑落，从32仙退至目前的21仙。

邱继炳持有马联合工业的47.7%股权，后者在英国拥有和经营9间酒店及2间餐馆，并于马来西亚拥有2间酒店，其中大部分以Corus品牌经营。【光华日报财经财经】

（吉隆坡10日讯）拿督游光春收购泛马控股（PMHLDG，1287，主板酒店股）计划再度被展延，谈判有效期延长1个月至今年10月11日。

泛马控股与马联工业（MUIIND，3891，主板贸服股）昨天共同发布文告宣布展延决定，这已是买卖双方第7次展延。

马联工业于去年12月12日宣布，通过6家子公司，以每股12仙或总值7712万4094令吉，脱售泛马控股的69.192%股权给游光春。

游光春也是游礼发产业（YNHPROP，3158，主板产业股）的执行董事兼大股东。

马联工业当时表示，脱售泛马控股股权是该公司脱售非核心资产的商业策略。

（吉隆坡11日訊）拿督游光春收購泛馬控股（PMHLDG，1287，主板旅店組）計劃宣佈再度展延1個月。

根據泛馬控股文告，收購案的截止日期將從原本的2月12日延至3月11日。

根據泛馬控股之前的文告，游光春在2014年12月建議，以7千712萬4千零94令吉，從泛馬工業（PMIND，4103，主板產業組）旗下6家子公司手中買入泛馬控股的69.192%股權，相當於6億4千210萬零783股。

交易完成後，游光春的泛馬控股持股將從原本的5.33%增加至74.52%。

接下來數月，收購案一而再，再而三延遲。2015年5月7日，泛馬工業子公司――泛馬資本的股權轉讓申請，更遭證券監督委員會駁回。

根據泛馬工業文告，該公司5月20日已向證監員上訴，截至目前仍無下文。（星洲日報／財經）

无法履行协议条款．游光春取消购泛马控股

（吉隆坡13日讯）经过2年的拉锯战，拿督游光春终于决定放手，取消向马联工业（MUIIND，3891，主板贸服组）收购丹斯里邱继炳旗下泛马控股（PMHLDG，1287，主板旅店组）股权计划。

泛马控股发文告指出，基于游光春和买方无法在9月12日期限前履行条款，双方今日决定终止相关收购计划。

马联工业是在2014年建议以总值7712万4094令吉，脱售泛马控股69.192%股权予游光春，但基于迟迟无法履行买卖协议条款，导致该项交易完成日一延再延。

游光春现为游礼发产业（YNHPROP，3158，主板产业组）执行董事兼大股东，但他却非因本业声名大噪，而是靠着阻拦丹斯里郭令灿私有化丰隆资本（HLCAP，5274，主板金融组）一役一战成名。

动向受关注

随着游光春成为股坛红人，投资者也开始关注其动向，投资益马机构（IMASPRO，7222，主板工业产品组），甚至是传闻入股佳捷协作（RAPID，7765，主板工业产品组）等消息都牵动一众公司股价走势。

李三宇．游翁失马

拿督游光春向马联工业（MUIIND，3891，主板贸服组）买断泛马控股（PMHLDG，1287，主板旅店组）控制权的算盘意外打不响，交易于上周正式告吹。

投资者除了惊讶，也对这宗收购案的破局原因感到不解。

马联工业在文告中简略称，取消有关交易的原因在于促成交易的“先决条件”无法达成；至于先决条件为何，该公司并没透露。

但据观察，相信交易双方所面对的最大障碍，是无法跨越证监会这关。

资料显示，泛马控股目前主要业务是酒店经营，几乎所有收入都来自该业务；惟不可忽略是，泛马控股也透过持股34%的联号公司泛马资本，涉足股票经纪、基金管理等资金市场活动，故任何大股东变动都需经证监会批准。

可惜，尽管游光春和马联工业都兴致勃勃地期待交易快点完成，不料却在向证监会提出申请时踢到铁板。证监会早在去年中正式驳回双方提出的股权变动申请，而虽然交易方之后继续争取，包括在今年初再提出申请，却迟迟无法说服证监会，被迫取消交易。

泛马控股过去18个月累积营业额报1263万1000令吉，并净亏92万3000令吉，每股资产只有6仙，基本面来看无甚亮点，但公司市值却高达约2亿令吉，游光春在如此苛刻条件下仍苦追泛马控股近两年之久，看中的想必就是泛马控股间接持有不易获得的资金市场执照，能让在多个领域都有涉猎的游光春，进一步染指资金市场。

虽然我们无法知晓证监会究竟为何始终不愿让游光春染指资金市场执照，惟相信证监会在评估申请时，必然是在作了诸多考量后才决定驳回。毕竟，若判断有关交易对资金市场发展有利，证监会自然不会无故否决。

实际上，游光春对资金市场业务的兴趣，在当年力阻丰隆资本（HLCAP，5274，主板金融组）私有化时已表现得一览无遗；当时，游光春在丰隆资本宣布私有化后继续在公开市场狂买丰隆资本股权，最终成功阻止丰隆资本被私有化，这一役也使游光春声名大噪。

只不过，就与泛马控股失之交臂看来，即使游光春不打算就此放弃进军资金市场，但未来欲获证监会核准，在资金市场上自行插旗，想必也很难。
