Its intended principal activity is provision of outpatient care services including diagnosis, observation, consultant, treatment, surgery, intervention and rehabilitation services on a day care basis.

None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the aforesaid incorporation.

We wish to announce that pursuant to Chapter 9, Paragraph 9.19(5) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Sunway City Sdn Bhd (“SunCity”), a wholly-owned subsidiary of the Company, has on 24 May 2018, acquired 2 ordinary shares, representing 100% of the total issued and paid-up share capital of Sunway International Hotels & Resorts Sdn Bhd (“SIHR”) from Sunway Hospitality Holdings Limited (“SHHL”) for a total cash consideration of RM1,800,000/- (“Reorganisation Exercise”).

SIHR was incorporated on 9 May 1997 and its issued and paid-up share capital is RM2/- comprising 2 ordinary shares. The principal activity of SIHR is rendering of management, advisory, supervisory and other related services for the operation and management of hotels.

SHHL was incorporated in British Virgin lslands on 23 March 1995 and its authorized and paid-up share capital are USD100,000/- and USD1,000/- respectively. The principal activity of SHHL is investment holding. SHHL is a wholly-owned subsidiary of SunCity.

Upon completion of the Reorganisation Exercise, SIHR has become a direct subsidiary of SunCity.

The Reorganisation Exercise is not expected to have any effect on the issued and paid-up share capital of Sunway or Sunway’s substantial shareholders’ shareholdings or any material effect on the earnings, net assets or gearing of Sunway on a consolidated basis.

The Board of Directors of Sunway wishes to announce that Sunway Holdings Sdn Bhd (“SunHoldings”), a wholly-owned subsidiary of Sunway, will participate as a venture capitalist via a fund which will be set up as Sun SEA Capital LP under the laws of the Cayman Islands or such other name as may be designated from time to time (“Fund”), with established venture capitalists namely Koichi Saito and Kuan Hsu (“Venture Capitalists”) as the Fund’s consultants with a focus in fund raising and investing in digital start-ups in the South East Asia region (“Proposed Venture”).
