双威医保业务被低估

最新进展:

双威(SUNWAY,5211,主板贸服股)建议以3送4比例派发红股,也以10送3的方式派发免费凭单。

上述建议,在7月24日已获得交易所批准,并定于8月30日举行特别股东大会,以寻求股东批准。

行家建议:

相比普通股,我们认为,双威的免费凭单具有吸引力,因为这是该公司第一次,以固定每年降低凭单行使价7仙的机制派凭单,有助提升股东价值。

通过派发红股及免费凭单,双威估计最多可筹得总额达11亿5000万令吉,但不急于使用该笔资金,料可用作未来营运资本或减债。

我们仍认为双威是领域首选,因该公司具备多元化的收入和房产业务。且相信,应该上调该公司评级,且以更接近业者如IJM(IJM,3336,主板建筑股)和金务大(GAMUDA,5398,主板建筑股)的估值交易。

双威的本益比是13.9倍,比较业者仍有价值,因为有些资产可套现,且增长中的医疗保健业务仍被低估。

2.3亿买地搁置计划
双威加影发展4.6亿房产


2017年8月1日
(吉隆坡1日讯)双威今日宣布两项收购地皮案,以6300万令吉收购位于加影,面积大约2万4281平方米的地皮及半完成的商场,另也从捷硕资源(JAKS,4723,主板建筑股)手中,以1亿6758万9760令吉收购位于雪兰莪梳邦的产业。

双威今日向交易所报备,计划在加影的地皮,进行发展总值达4.6亿令吉的综合发展项目。

事实上,这项地皮本有一项已被批准进行的商业发展计划,涵盖3层零售裙楼、10层停车场裙楼、一座20层商业大厦及12层商业大厦,以及一座12层商业大厦。

这项发展计划已动工,但前任发展商却在兴建到一半时停工。

双威计划持续在半完成结构上建设,但会以一项综合发展项目取代之前的计划。

新综合发展项目涵盖一个零售裙楼或商业区,以及服务公寓或小型家庭办公室(SOHO),发展总值为4.6亿令吉,预计最长在5年内完工。

该地皮距离加影市镇少过2公里,且坐落在双溪遮尼(Sungai Jernih)捷运站隔壁,将可确保该发展计划下的商业区有较高人流量,同时,也令服务公寓住户更方便。

该项发展计划将会是双威另一项公交为导向发展的项目。

双威指出,由于已完成混凝土结构工程,接下来可能会根据新发展计划稍微调整,所以集团将可节省大量建筑成本及时间。

同时,该项收购将扩大集团的地库,多元化地点及进一步加强集团的未来净利表现。

捷硕专注核心业务

另一方面,向捷硕资源收购梳邦产业的,是双威子公司双威供应链企业,双方昨日已签署协议备忘录,以必须在21天内完成和执行买卖协议。

总执行长洪南坡在文告中指出,截至5月杪,捷硕资源订单达26亿令吉,涵盖总值约18.9亿令吉,为期25年的越南独立发电厂工程总承包第二合约,以及总值5亿850万令吉的吉隆坡新街场-淡江高架大道(SUKE)合约。

“我们非常高兴可以取得这一重要交易。退出非核心资产,并专注于公用事业和基础设施项目,是我们企业战略的重要支柱。”

接下来,该公司将筛选非核心和未充分利用的资产,以释放价值,从而专注在发展核心建筑和电力业务,这是公司业务组合最有利可图的领域。

他指出,通过上述交易,可让公司重新部署资本,以减少债务和支持营运资本需求,并作为未来投资机会的资本储备。

收购2地皮价格合理.双威长远正面

(吉隆坡2日讯)双威(SUNWAY,5211,主板贸服组)加影及梳邦地皮收购价合理,分析员长期展望正面,但鉴于短期内未能贡献盈利,维持财测不变。

达证券认为土地收购价合理,加影及USJ土地价格仅占发展总值的14%及12%,低于领域的20%水平。

同时,这也是该集团2017年展开的第三及第四次收购,该行看好对集团长期有利,不仅有助于拓展地库,也能降低多元化专注于柔佛的风险。

由于地段邻近捷运、轻快铁及巴士快捷交通系统(BRT)站,达证券预见,优异公共交通链接系统料可良好推动项目销售。

不过,达证券预测,加影发展计划仅于2019年推出,2020年起才会开始进账,因此维持2017至2019财政年财测不变。

丰隆研究指出,加影及梳邦USJ1土地成本相等于每平方尺274及260令吉,占整体发展总值13.7%及12%,加影土地也因现有水泥结构框架,潜在节约建筑成本。

料增产业重估净置产值1%

该行预计,2项项目的净利值约1亿零500万令吉,料增加产业重估净置产值1%及推高目标价0.6%。

有鉴于此,该行对此展望中和正面,因即使无法即时带来盈利,却有望增加该集团地库至3300英亩及发展总值3.6%至535亿令吉。

该行相信,建议的加影土地公共交通导向发展计划(TOD)将引起购兴,USJ1土地料有助于降低贸易及机械业务的物流成本。

大马投行指出,根据加影周边土地及USJ1工业地市价,收购价合理。

该行认为,加影土地对该集团长期展望正面,USJ1土地料为该集团产业发展部门土地增值,因该地非常靠近双威镇,可用于扩展该城镇。

因收购动用内部资金及贷款,MIDF研究估计,该集团负债率将在收购后,将从2017年第一季的0.47倍推高至0.5倍。

双威3.4亿卖Clio产业
产托子公司接手扩大组合


2017年8月3日
(吉隆坡3日讯)双威(SUNWAY,5211,主板贸服股)宣布,有意以3亿4000万令吉脱售双威Clio产业予双威产托(SUNREIT,5176,主板产业信托股)。

双威向马交所报备,双威Forum酒店私人有限公司,将以3亿4000万令吉脱售双威Clio产业的租赁土地及27层楼建筑物予双威产托。

双威Clio涵盖19层楼和401个房间的4星级酒店、游泳池与其他设施、名为“双威West”的3层楼零售单位、6层楼的停车场,及4层楼的底楼停车场。

同时,双威指出,双威度假村酒店私人有限公司之后会租下该产业的酒店长达10年,可另延长外10年。

至于旗下双威休闲私人有限公司,则会租下该产业的多层停车场,期限长达3年,并有权延长另外3年。

根据文告,双威将从该交易中获得约2940万令吉的净利,将用作偿还贷款、营运资本,及脱售活动费用。

贷款融资

另外,双威产托文告指出,该收购活动将通过贷款融资,预计未来可为公司贡献净利,为每单位股息及资产投资组合周息率带来增值。

双威产托管理私人有限公司总执行长拿督黄中立指出,该收购将加强公司多元化资产投资组合,并充分利用双威城的协同效应。

成熟资产逾10亿‧双威料续售产买地

(吉隆坡4日讯)双威(SUNWAY,5211,主板贸服组)将双威克莱产业公司卖给双威产业信托(SUNREIT,5176,主板产业投资信托组)后,分析员预计双威接下来会继续积极卖资产和买地库。

双威昨日建议以3亿4000万令吉脱售资产,包括19层四星级双威克莱酒店、3层双威金字塔购物商场西座以及10层停车场。

该公司也签署“10+10”合约租用酒店和商场,首两年最低租金各为1090万令吉,第三至第十年则是820万令吉。此外,该公司也签下“3+3”停车场租约。

丰隆研究指出,双威发展成熟的资产总值超过10亿令吉,接下来可能陆续套现释放价值。

下一个料卖Sunway Pinnacle

肯纳格研究则估计,由于双威持续减少资产,以增购土地,净账面值达3亿4000万令吉的双威叠翠轩(Sunway Pinnacle),可能是下一个脱售对象。该行在双威脱售资产后,将2017财政年净利调高6%。

该行说,双威待发展产业总值达50亿令吉,待进账销售额也高挂14亿令吉,未来两年业绩不足为虑,可是今年首季产业销售却仅有1亿4200万令吉,低于该行预期和管理层的全年11亿令吉销售目标,因此该行密切关注接下来的销售增长。

今年买下多块土地

MIDF研究调高2018财政年盈利预测4.8%。该行说,双威今年斥资超过5亿令吉买下多块土地,净负债比从0.47倍提高到0.54倍。该公司计划运用资产脱售所得的2亿7500万令吉付还债务,预期负债比可降低至0.5倍左右。

马银行则估计,双威净负债比可从2017年底的0.58倍降至0.53倍左右。配合资产销售计划,该行将2017至2019财政年盈利预测分别调低1%至调高1.3%。

达证券在纳进脱售赚益、回租开销、利息减少等影响后,将双威2018至2019财政年盈利预测下修1至2%。

该行指出,双威近期急涨,显然已反映买地、红股等利好,目前上升空间有限,决定保持“卖出”评级。

仍有15亿举债空间
双威产托物色新资产

马银行研究认为,双威产业信托在收购第六座酒店和第五座零售资产后,会继续物色更多新资产。

分析员普遍预测,该公司负债比在收购新资产后将提高到0.38倍左右。

达证券估计,如果双威产业信托贷款50%资金收购上述资产,仍有高达15亿令吉举债空间。

完成收购后,该公司总资产将提高5.3%至69亿令吉,接近全年的70亿令吉目标,管理层计划在2020财政年进一步扩至100亿令吉。

分析员也多调高该公司2018和2019财政年盈利预测,包括联昌研究4.0至6.5%、达证券1至4%,以及马银行0.6至1.4%。

最新进展

因受到近期派送凭单计划和医疗保健业务的推动,双威(SUNWAY,5211,主板贸服股)年初至今的股价上涨46%。
建筑和产托领域走强,缓和了产业发展领域的缓慢。

行家建议

双威在接下来的5至6年内,专注于建立医院投资组合,预计医疗保健领域在2015至2017年三年净利的年均复增达14.5%。

公司同时计划在伟乐城(Velocity)建立医院,预计医疗中心将在明年或2019年竣工,增加250个床位,可在2019至2020年开始贡献净利。

我们估计,医疗保健领域净利达4000万令吉,加上保守的25倍本益比,医院领域价值可达10亿令吉,或每股48仙。

主要资产如双威大学商场、大学校区和Pinnacle账面价值达28亿令吉,可通过产托释放价值,若进行兑现,将精简资产负债表及优化资本管理。

年初至今,集团尚未推出任何大型新项目,但维持年底前推出20亿令吉项目的目标。

另外,产业业务净利增长幅度适中,因受到11亿令吉未入账销售推动。

我们下调至“守住”评级,但调高目标价至4.38令吉,除权后目标价为1.88令吉。

双威加影买地遇阻

(吉隆坡11日讯)双威(SUNWAY,5211,主板贸服股)指出,接获Steelwell发展私人有限公司致函,要求该公司暂停以6300万令吉收购加影地皮的计划。

本月1日,双威以6300万令吉收购位于加影,面积大约2万4281平方米的地皮及半完成的商场,进行综合发展项目,发展总值达4.6亿令吉。

双威向交易所报备,昨日收到Steelwell发展的信函,声称加影土地卖方Concept Housing发展(大马)私人有限公司事前已有协议,因此双威必须得到Steelwell发展的同意,方可进行该地皮交易。

针对此事,双威将征询法律意见。【e南洋】

We refer to our announcement on 1 August 2017 regarding the Sale and Purchase Agreement (“SPA”) entered into between Concept Housing Development (M) Sdn Bhd (“Concept Housing") and Daksina Harta Sdn Bhd ("Daksina"), a subsidiary of Sunway, for the sale and purchase of a freehold land held under Geran No. 47813, Lot No. 1, Mukim Kajang, Daerah Ulu Langat, Negeri Selangor measuring approximately 24,281.1 square metres (before taking into account/deducting the portion of the land that was compulsorily acquired by the relevant authority measuring 2,928 square metres) (“the Land”) together with a partially completed commercial complex comprising a 3-storey podium (3 units of office space) including 1 unit of Tenaga Nasional Berhad substation, a 20-storey office Block A (17 units of office space), a 12-storey office Block B (9 units of office space) and a 10-storey car park (“the Buildings”) free from encumbrances and with vacant possession for a total purchase consideration of RM63,000,000/- (excluding Goods and Services Tax) (“Proposed Property Acquisition”).  The Land and the Buildings are collectively referred to as "the Property".

We received a letter yesterday evening from the solicitors for Steelwell Development Sdn Bhd ("Steelwell") claiming that Steelwell's consent is required for the sale of the Property by Concept Housing as there was a settlement agreement between Concept Housing and Steelwell and that Daksina is not to take any further action under the SPA until settlement between Concept Housing and Steelwell with regards to the Property.

We are currently seeking legal advice in relation to our rights under the SPA.

双威委任依德利斯贾拉为联合主席

(吉隆坡11日讯)双威(Sunway Bhd)今日宣布,委任前首相署部长兼表现管理及传递单位(PEMANDU)总执行长拿督斯里依德利斯贾拉为联合主席。

双威指出,也是国家转型计划中首相顾问的依德利斯,现在是该公司的新任独立非执行董事。

根据该集团今日向大马交易所的报备,这项变动立即生效。

依德利斯在2009年9月至2015年9月出任首相署部长,也是其他几个组织的董事,包括Malaysia Petroleum Resources Corp、Johor Petroleum Development Corp Bhd、Big Fast Results Institute、Talent Corp Malaysia Bhd、海尼根大马(Heineken Malaysia Bhd)及谢富年基金会。

We wish to announce that pursuant to Chapter 9, Paragraph 9.19(5) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Sunway Winstar Sdn Bhd (formerly known as Winstar Trading Sdn Bhd) (“SWSB”), a 60% owned subsidiary of Sunway Holdings Sdn Bhd, has on 14 August 2017, acquired 400,002 ordinary shares, representing 100% of the total issued and paid-up share capital of Jaya DIY Mart Sdn Bhd (formerly known as Weld Star Sdn Bhd) (“Jaya DIY”) from Sunway Hsing Yeat Sdn Bhd (formerly known as Hsing Yeat Sdn Bhd) (“SHY”) for a total cash consideration of RM450,000/- (“Reorganisation Exercise”). Upon completion of the Reorganisation Exercise, Jaya DIY has become a wholly-owned subsidiary of SWSB.

雙威聯營公司5107萬購地

(吉隆坡16日訊)雙威集團(SUNWAY,5211,主要板貿服)組聯營,參與吉隆坡一項綜合發展計劃。

雙威集團向馬證交所報備,獨資子公司雙威城市私人有限公司、雙威城市旗下Sunglobal資源私人有限公司、及Huatland發展私人有限公司,簽署股權認購和股東協議,成立聯營公司。

1年5度购地发展
双威扩地库陆续有来

(吉隆坡17日讯)双威(SUNWAY,5211,主板贸服股)在吉隆坡再增地皮,被分析员称为“扩地库年”,虽然今年已增加55亿令吉的发展总值,但分析员相信接下来会有更多购地交易,也不排除会进一步脱售资产。

昨日,双威向交易所报备,与Huatland发展私人有限公司签署一项联营协议,以5107万令吉收购位于吉隆坡旺沙玛朱面积达4.34英亩的地皮,这是集团在今年内收购的第5片地皮。

双方将通过联营公司Sunglobal资源私人有限公司,联手在该地皮进行一项综合发展项目,主要是服务公寓,还有一些具备生活风格的零售单位,预计发展总值为5亿令吉。

近旺沙玛朱商场

这项发展计划为期5年,预计从2018年下半年开始推出。

新购的地皮,落在旺沙玛朱迅速发展地区,距离吉隆坡市中心不到8公里,而Wangsa Walk Mall购物中心及AEON BIG等设施,则在1.5公里的范围之内。

这项发展的产业单位,平均售价约55万令吉,将可达到可负担房屋客户的需求,这将与双威目前的供应相辅相成,因为集团目前没有提供太多类似价格范围的产品。

瞄准可负担市场

大马研究分析员对这项购地及发展计划感到正面,同时,认为这项发展计划是瞄准可负担市场,这也是目前需求最稳定的市场,加上地皮处于策略地点,预计可从便捷的公共交通实施受惠。

分析员也认为,收购价为每平方尺270令吉属合理价位,因落在旺沙玛朱地皮的询问价,一般介于165令吉至330令吉。

“由于预计在明年底推出该项目,因此我们预计,要到2020年财年,才能够为双威贡献显著净利。”

同时,MIDF研究分析员预计,住宅单位的可负担售价水平,可支撑认购率。

双威计划通过内部融资及贷款,为这项收购计划融资。

MIDF研究分析员认为,双威截至2017财年首季持有40亿令吉现金,所以融资不是问题。

“我们预计,双威的净负债率,将从截至首季的0.47倍,略提高至0.48倍。”



未入账销售14亿

肯纳格投行分析员相信,接下来双威将继续增购更多地皮。

“基于强劲的未入账销售达14亿令吉及具备2年的能见度、强稳的未完成合约订单达46亿令吉,提供2至3年能见度,以及其他部门也在过去数年取得亮眼增长,所以,我们有信心双威可在本财年,交出良好的净利表现。”

不过,分析员点出,疲弱的首季销售达1亿4200万令吉,低于他们及管理层目标的11亿令吉,这依然是一项忧虑。

此外,预计管理层在5年内考虑把医疗业务分拆上市。【e南洋】

双威次季净利涨28%
派息7仙


2017年8月30日
(吉隆坡29日讯)除了采石业务,旗下的所有业务贡献提高,激励双威(SUNWAY,5211,主板产业股)截至6月杪次季,净利按年上涨27.59%;并宣布派息每股7仙。

次季净利为1亿9694万3000令吉,或每股9.62仙;上财年同期净利为1亿5436万2000令吉,或每股7.82仙。

同期营业额,也从上财年的11亿5568万8000令吉,按年上涨7.38%至12亿4095万4000令吉。

半年赚3亿

累计首半年,净利按年增加18.87%,至3亿485万5000令吉;同期营业额则按年涨4.84%,至23亿3229万4000令吉。

另外,该公司也宣布派发每股7仙的股息,并会在稍后宣布享有权益及支付日期。

虽然本地房产市场依然在巩固,不过,有迹象显示市场已开始触底。

在合适的地点拥有合适的产品,双威相信公司今年即将推出的新房产项目,可录得不错的销售额。

扩大巴生谷地库

该公司将使用其强稳的财务状况,扩大巴生谷的地库。

目前疲软的房产市场,让公司有机会以合理的价位,在黄金地段收购数片土地。

基于以上原因及如无意外,双威预计今年将继续交出令人满意的业绩表现。

截至今年6月杪,产业未入账销售为12亿令吉,未完成建筑订单为43亿令吉。【e南洋】

SUNWAY BERHAD ("SUNWAY")-  FIRST SINGLE TIER INTERIM DIVIDEND FOR FINANCIAL YEAR ENDING 31 DECEMBER 2017
The Board of Directors of Sunway is pleased to announce the declaration of a first single tier interim dividend of 7 sen per ordinary share in respect of the financial year ending 31 December 2017. The entitlement and payment dates in respect of the aforesaid dividend will be determined and announced in due course.

As per the announcement made by Kenanga Investment Bank Berhad for and on behalf of the Board of Directors of Sunway on 14 June 2017, the Company has proposed to undertake a bonus issue of new ordinary shares on the basis of four (4) Bonus Shares for every three (3) existing Sunway Shares held, and a bonus issue of free warrants on the basis of three (3) warrants for every ten (10) existing Sunway Shares held. In the event the entitlement date for the proposed bonus issue of shares and warrants is prior to the entitlement date for the first single tier interim dividend, the aforesaid dividend of 7 sen per share will be adjusted accordingly to 3 sen per share to take into consideration of the enlarged number of shares of the Company following the proposed bonus issue of shares.
