We wish to announce that pursuant to Chapter 9, Paragraph 9.19(5) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Sunway Holdings Sdn Bhd (“SunH”), a wholly-owned subsidiary of the Company has on 11 August 2016, acquired 2 ordinary shares of RM1/- each, representing 100% of the total issued and paid-up share capital of Sunway Pharma Sdn Bhd from Sunway Marketing Sdn Bhd, a wholly-owned subsidiary of SunH, for a total cash consideration of RM2/- (“Reorganisation Exercise”).

Sunway Pharma was incorporated on 11 January 2008 and its authorised and paid-up share capital are RM100,000/- and RM2/- respectively. Sunway Pharma is presently dormant and Its intended principal activities are retail, trading, marketing, import, distribution, manufacturing and online selling of pharmaceutical products.

Upon completion of the Reorganisation Exercise, Sunway Pharma has become a direct subsidiary of SunH.

The Reorganisation Exercise is not expected to have any effect on the issued and paid-up capital of Sunway or Sunway’s substantial shareholders’ shareholdings or any material effect on the earnings, net assets or gearing of Sunway on a consolidated basis.

None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the Reorganisation Exercise.

双威次季净利跌35%

(吉隆坡29日讯)双威(SUNWAY,5211,主板產业股)2016財政年次季(截至6月30日止)净利按年跌35%,至1亿5436万令吉,去年同期为2亿3791万令吉;营业额则按年上扬11%,至11亿5569万令吉,去年同期为10亿4152万令吉。

该公司上半年净利下滑33%,至2亿5646万令吉,去年同期为3亿8445万令吉;营业额则按年增5.9%,至22亿2469万令吉,去年同期为21亿零152万令吉。

该公司在文告中指出,贸易及製造业务的贡献推高营业额,而税前盈利下滑则是因为来自双威產托基金的產业重估盈利减少。此外,集团整体的营运表现均比去年佳。

產业发展业务的营业额及税前盈利分別为3亿1510万令吉及6060万令吉;產业投资业务的营业额及税前盈利则分別为1亿6010万令吉及4130万令吉。【东方网财经】

次季逊色.双威展望仍正面

(吉隆坡30日讯)双威(SUNWAY,5211,主板产业组)第二季净利与新产业销售低于预期,分析员对该公司展望不一;综合分析员看法后,大部份仍对双威前景保持正面观望,主要受建筑领域支撑,独MIDF研究较为慎重。

MIDF研究表示,双威次季和半年表现低预期,因此下调下砍2016及2017财政年的净利预测12和9%,反映建筑业务与产业投资表现欠佳。

双威首半年核心净收入下跌11%至2亿3740万令吉,主要是建筑业务贡献减少之故,产业投资也按年下跌7%,不过,半年新产业销售6亿1300万令吉在预期中,符合该公司预测的全年14亿令吉销售目标的44%。

马银行研究认为,双威产业销售符合预期,建筑业务表现标青,并预期可攫取更多合约,因此,上调该公司未来3年的净利预测,分别调高1%、2.5%及2.3%.兴业研究认为,产业领域依旧挑战,但该公司凭藉建筑业务与产业投资,可为净利取得一定支持,维持2016至2018年财测不变。

目前,双威产业未入账销售及建筑合约各报20亿令吉及49亿3000万令吉,将驱动双威未来的净利。

双威建筑握24亿新合约

丰隆研究维持财测不变,开年至今,双威旗下的双威建筑(SUNCON,5263,主板建筑组)已经攫取了24亿令吉新合约,而2015财政年新合约总额为26亿令吉;凭着良好声誉,预料有望攫取轻快铁3和捷运2计划合约,预期双威建筑有望取得更多合约。

该公司上半年推出的产业项目取得约70%的认购率,而下半年也分别在巴生河流域与柔佛推出总值11亿令吉的产业项目。

联昌研究表示,建筑领域表现仍超越产业领域,并预期双威下半年仍可攫取9亿8000万令吉的建筑合约,分别是来自大道与轻快铁合约。轻快铁合约价值约7亿至10亿令吉。至于砂州泛婆罗洲大道合约,已经不抱有任何希望。

大马投行研究补充,除产业业务外,双威所有业务皆取得成长,有助带动未来表现。

与Hoi Hup产业合资建公寓
双威7.25亿联购狮城地

(吉隆坡6日讯)双威(SUNWAY,5211,主板产业股)与新加坡Hoi Hup产业联手,成功以总值2亿4095万令吉(约7.25亿令吉)投得新加坡建屋发展局(HDB)一块位于Anchorvale Lane的土地。

双威向马交所报备,通过子公司双威发展私人有限公司(Sunway Development Pte Ltd)与Hoi Hup产业联手投得上述拥有99年租用地契的地皮。

根据文告,双威发展将与Hoi Hup产业、Oriental Worldwide投资和Azuki投资成立联营公司Hoi Hup Sunway Sengkang私人有限公司,以同样价格购入这片土地。

双威发展、Hoi Hup产业、Oriental Worldwide投资和Azuki投资,将分别持有联营公司30%、62%、5%及3%股权,将在土地上发展执行共管公寓。

Hoi Hup产业是新加坡发展商,公司缴足资本达300万新元(约902万令吉);Oriental Worldwide投资是投资公司;Azuki投资的核心活动则是产业投资。

双威投资额2.18亿

双威指出,双威发展在该项联营计划的投资额达7228万新元(约2亿1800万令吉)。

该公司还指出,上述产业联营发展计划昨日已经开始,料于48个月内完成,预计将于2018财年开始取得盈利贡献。

双威透露,该项发展计划将面对一般的建筑原料价格波动风险。

SUNWAY BERHAD ("SUNWAY")- LETTER OF AWARD FOR THE TENDER OF LAND PARCEL AT ANCHORVALE LANE, SENGKANG, SINGAPORE
The Board of Directors of Sunway is pleased to announce that Hoi Hup Realty Pte Ltd (“Hoi Hup”) and Sunway Developments Pte Ltd (“SDPL”) has on 5 September 2016, won a tender to acquire from the Housing and Development Board of Singapore a 99-year leasehold land at Anchorvale Lane (Lot 2924T MK21), Sengkang (“the Land”). The tender price submitted jointly by the parties was S$240.95 million (equivalent to approximately RM724.14 million).

The said Land will be acquired by a proposed new joint venture company at the tender price, in which Hoi Hup, SDPL, Oriental Worldwide Investments Inc. (“Oriental”) and Azuki Investments Pte Ltd (“Azuki”) will have equity interest in the proportion of 62:30:5:3.  

The proposed new joint venture company to be set up will be known as Hoi Hup Sunway Sengkang Pte Ltd (“Hoi Hup Sunway Sengkang”) which will build and sell Executive Condominiums (“the Proposed Project”) on the said Land.

SDPL is a wholly-owned subsidiary of Sunway Holdings Sdn Bhd, which is in turn a wholly-owned subsidiary of Sunway.

Hoi Hup is a company incorporated in Singapore with a paid-up capital of S$3,000,000/-. The principal activity of Hoi Hup is real estate development.

Oriental is a company incorporated in British Virgin Islands with a paid-up capital of USD2/-. The principal activity of Oriental is an investment holding company.

Azuki is a company incorporated in Singapore with a paid-up capital of S$100,000/-. The principal activity of Azuki is property investment.

SDPL cost of investment in the joint venture is S$72.28 million or approximately RM218 million.

The completion period of the Proposed Project shall be 48 months or earlier, commencing from 5 September 2016. It is expected to contribute positively to the earnings of Sunway Group from the financial year ending 31 December 2018 onwards.

The Proposed Project is subjected to normal construction risk of materials price fluctuation. However, with the past experiences and expertise of Hoi Hup and SDPL in construction of similar project, this risk could be mitigated.

None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the Proposed Project.

双威(SUNWAY,5211,主板产业股)宣布,子公司双威发展私人有限公司(Sunway Development Pte Ltd,SDPL)与新加坡海峡实业(Hoi Hup Realty)的联营公司,成功以7亿2414万令吉标价,标得新加坡建屋发展局盛港安谷巷(Anchorvale Lane)一块99年的租赁土地。

SDPL将持有联营公司30%股权,而海峡实业则拥有62%股权,其余5%及3%股权,则分别由另外两家联营伙伴持有,即Oriental Worldwide投资和Azuki投资。

行家建议

我们对此感到正面,因为这将进一步加强双威在新加坡房市的地位。

我们预测,即将兴建的共管式公寓每单位售价低于100万新元(约300万令吉),因此,即使在充满挑战的市况,相信仍可取得不错的认购率。

截至6月底,双威拥有37亿令吉现金,因此融资不成问题,净负债率仅会从0.44倍微幅上涨至0.47倍。至于盈利贡献,估计要在2018财年后才会比较显著。

我们预计,此项目对总盈利的贡献不到8%,因此维持2016及2017财年的财测。

维持“中和”评级,但上修目标价至3.07令吉。

高铁为柔产业注入“活水”.双威长期看好

(吉隆坡10日讯)隆新高铁可为柔佛依斯干达注入“活水”,有利双威(SUNWAY,5211,主板产业组)长远发展,MIDF研究维持全年14亿令吉的销售目标,并上调目标价。

MIDF研究会晤该公司管理层后表示,尽管柔佛产业市场面对供应过剩,但管理层仍对依斯干达产业市场仍保持信心。目前该公司在柔佛的产业项目发展总值高达300亿令吉,占双威所有的发展总值61%。

柔产业市场短期供应过多

尽管柔佛目前面对供应过多的窘境,但该公司管理层相信,隆新高铁可为依斯干达产业市场带来不一样的景象,因高铁其中一站坐落与伊斯干达,该站设有海关、移民厅及隔离区;同时,在大蓝图下,尚有往返公主城和新加坡之间的交通衔接服务,缩短旅客时间和舒缓人潮。

不过,MIDF认为,长期而言,高铁计划有助双威的伊斯干达计划,但短期来说,柔佛产业市场前景并不算乐观。

维持14亿销售目标

双威首半年的销售额报6亿1300万令吉,因此管理层仍维持14亿令吉的销售目标。接下来,双威将会在第四季推出数项产业项目,发展总值达11亿令吉。

管理层补充,今年5月在满家乐推出的产业项目,已经取得了80%的认购率,该产业项目发展总值为3亿令吉。

此外,双威也会在中国天津推出第二项产业项目。新加坡Achorvale Lane产业项目方面,该项目的土地成本价每方尺为355新元(约1072令吉),而销售价为850新元(约2567令吉)双威也继续增加在新加坡产业的涉足,除了最新这项总值5亿2000万新元的Achorvale Lane计划外,其他尚有16亿新元的进行中计划。

维持“中和”评级

MIDF相信,双威在新加坡的业务可取得健康的认购率,因产业价格处于可负担水平。

综合上述看法,MIDF以综合估值法评估双威后,维持该公司“中和”评级,目标价则从3令吉7仙调高至3令吉25仙。

展延推介数项目
双威销售目标砍至11亿

(吉隆坡14日讯)双威(SUNWAY,5211,主板产业股)管理层宣布将2016财年的房地产销售额目标从14亿令吉,削减至11亿令吉。

在分析员汇报会上,双威管理层表示,下调销售目标主要是因为集团展延旗下数项目的推介日期,将原定本财年推出16亿令吉的发展总值(GDV)项目,降至仅8亿令吉。

展延推出的项目包括总值4亿令吉的双威Geo Residences 3,以及总值2亿令吉的Velocity办公室项目。

此外,双威依斯干达所推出项目也有所更动,原先推出的是住宅项目,但已改为先推出零售商店与办公楼。

双威Geo Residences 3延迟的原因是公司计划在双威Geo Residences 1和Geo Residences 3之间建造人行道,连接住宅区和商业区。

此外,双威考虑到Velocity办公室的未来价值,决定将Velocity办公室,转为产业投资资产,做为长期投资的一部分。

双威在第三季录得1.92亿令吉的新销售额,提高首9个月的销售额至8亿500万令吉,占管理层新目标的73%。

该集团计划在末季将推出总值2.45亿令吉的项目。

双威管理层预计在明年推出发展总值达20亿令吉的项目,因为部分项目已从今年展延至明年,地点则分布在South Quay、格拉那再也、槟城、柔佛和中国。



券商下修2年财测

随着双威管理层降低销售额目标,MIDF研究分析员也下修本财年的销售预测至11亿令吉,同时也分别削减2016与2017财年盈利1%和1.2%。

“我们估计管理层的安排不会对盈利带来显着的影响,因为展延日期不超过1年。”

MIDF研究维持对双威“中和”的评级,并根据分类加总估值法(Sum of parts)维持目标价在3.25令吉。

安联星展分析员表示,尽管双威管理层展延项目推介,但仍可依靠其他业务如房地产发展、房地产投资和建筑业务,弥补经济不景气带来的影响。”

此外,双威也很重视拥有持续收入的业务,如酒店、医疗中心、零售商场和办公室。

“由于近来没有任何上调评级的催化剂,加上房地产市场充满挑战,我们维持双威“守住”评级,并维持目标价2.90令吉。”

艾芬黄氏投行分析员补充,双威选择不脱售Velocity办公楼,主要因为管理层看好该办公楼的长期潜能。

“长期来看,该办公楼的价值将水涨船高,因为楼下就是百货商场,同时也连接捷运第1路线。”【e南洋】

投資1.25億裝修 雙威金字塔酒店重新開張

(吉隆坡17日訊)雙威集團(SUNWAY,5211,主要板房產)旗下雙威金字塔酒店(Sunway Pyramid Hotel )在投資1億2500萬令吉裝修后,將于11月3日重新開張,全數564間房料在2017年1月底全面運作。

雙威酒店和度假村總執行長兼集團總經理張海煒指出,完成裝修的酒店房間數額,將從549間增至564間,有21間全新的家庭套房,迎合持續增長的家庭和休閒旅客需求。

隨著酒店房間會在明年1月底全數投入運作,雙威城內的3間酒店,將提供遊客1400間酒店和套房。

該公司積極擴大市占率,近期在上海和迪拜開設雙威酒店和度假村區域銷售辦公室,推出全新的全包旅行配套。【中国报财经】

双威联营进军数码媒体

(八打灵再也8日讯)双威(SUNWAY,5211,主板产业股)宣布,将通过缔结联营进军数码媒体行业。

该公司向马交所报备,旗下子公司双威控股私人有限公司(SHSB),昨日已分别与欧慰杰(译音)、埃尔曼阿锦奇,及联营公司Monumental Productions私人有限公司签约,成立联营公司,共同合作投资数码媒体业务的内容和资产。

文告指出,联营公司主要业务料是媒体知识产权收购或投资与管理。

双威透露,归功于该地区电子广告的支出增加,数码行业在东南亚迅速增长。因此,联营公司将投资在数码媒体业务,以把握增长趋势。

持股80%

根据联营协议,双威控股将拥有联营公司的80%股权,而欧慰杰和埃尔曼则分别持有10%的股权。

同时,双威也与欧慰杰和埃尔曼签署一项认购期权协议,2人有权在三年期限内,以每股10令吉购买该些期权股。【e南洋】

产业建筑盈利提升
双威第三季多赚1.4亿

(吉隆坡25日讯)产业发展和建筑业务盈利提升,带动双威(SUNWAY,5211,主板产业股)在第三季的净利年增7.7%,录得1亿4360万5000令吉,或每股净利7.02仙。

这是经历4个季度按年萎缩后,首次取得增长。去年同季净利是1亿3330万9000令吉,或每股净利7.54仙。

营业额也按年升19.6%,从去年的9亿5104万3000令吉,增加至11亿3749万3000令吉。

不过,由于受到前两季净利萎缩的影响,累计首9个月的净利按年下挫22.7%,至4亿6万8000令吉;营业额按年涨10.14%至33亿6218万7000令吉。目前,该公司的负债率为0.38倍。

文告也指出,产业发展业务的盈利,按年上升61.6%至6220万令吉,归功于本地和新加坡产业项目的盈利入账增加。

截至第三季,该公司的产业销售额为8亿6400万令吉,高于去年同期的7亿3400万令吉;产业未入账销售则有18亿令吉。

手握48亿建筑订单

另外, 建筑业务的营收皆获得按年提升,该季营业额为2亿8790万令吉,税前盈利为3220万令吉,目前手持48亿令吉建筑订单。

该公司指出,虽然获得亮眼成绩,但鉴于全球经济充满变数,因此,将谨慎推进公司的营运发展策略,凭着多元化业务组合,公司有信心能够面对市场挑战。

SUNWAY BERHAD ("SUNWAY")- INTERNAL REORGANISATION OF GROUP STRUCTURE
We wish to announce that pursuant to Chapter 9, Paragraph 9.19(5) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Sunway City Sdn Bhd (“SunCity”), a wholly-owned subsidiary of the Company has on 25 November 2016, acquired 100,000 ordinary shares of RM1/- each, representing 100% of the total issued and paid-up share capital of Sunway Integrated Outsourcing Sdn Bhd (“SIO”) from Sunway Holdings Sdn Bhd, a wholly-owned subsidiary of the Company, for a total cash consideration of RM100,000/- (“Reorganisation Exercise”).

SIO was incorporated on 17 December 1996 and its authorised and paid-up share capital are both RM100,000/-. SIO is presently dormant and Its intended principal activity is hotel operations.

Upon completion of the Reorganisation Exercise, SIO has become a direct subsidiary of SunCity.

The Reorganisation Exercise is not expected to have any effect on the issued and paid-up capital of Sunway or Sunway’s substantial shareholders’ shareholdings or any material effect on the earnings, net assets or gearing of Sunway on a consolidated basis.

None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the Reorganisation Exercise.

Sunway Velocity其他项目,如Sunway Velocity酒店和Sunway Velocity医疗中心,目前正在建设中。

行家建议

Sunway Velocity酒店,属于4星商务酒店,预计在明年下半年开幕;Sunway Velocity医疗中心则预计在2018年末季投入营运,共有240张病床。

Sunway Velocity购物广场高达90%的出租率,让我们从一开始的忧虑,转变为惊喜。

因为MyTOWN购物广场即将开设,距离Sunway Velocity购物广场仅有1.5km,担忧后者会有零售空间供应过剩的问题。

最新进展:

双威(SUNWAY,5211,主板产业股)即将在今年推介总值20亿令吉的产业项目。

同时,管理层设下的2017财年销售目标为11亿令吉。

行家建议:

双威管理层有信心,2017财年的产业销售与2016财年的11亿令吉销售目标持平。

不过与我们预计的13亿令吉销售目标相比,管理层的预测稍低。

尽管该公司今年将推介20亿令吉的项目,但我们认为,管理层是因产业领域情绪仍谨慎,而设下保守销售目标。

因此,我们也将该公司2017财年产业销售预测下调至11亿令吉,并微降2017财年的盈利预测0.4%。

整体上,由于工程进度入账低,预计来自产业销售的盈利贡献极小,因此盈利影响微不足道。

基于缺乏激励因素及产业市场展望缓和,双威评级维持“中和”,目标价为3.25令吉。

发展总值20亿
双威联营蕉赖房产项目


2017年2月10日
(吉隆坡10日讯)双威(SUNWAY,5211,主板产业股)宣布与刘鹏杰(译音)、CRSC产业私人有限公司和Austral Meridian产业私人有限公司(简称AMP)联营,共同发展蕉赖Sunway Velocity对面,面积达8.45英亩土地。

双威今日向马交所报备,将通过子公司双威城私人有限公司与联营伙伴,共同发展包括服务式公寓、办公楼和零售店,发展总值预计达20亿令吉的综合产业项目。

根据文告,整个综合发展项目料耗时10年完成。

根据联营协议,双威城将以50万1令吉,认购AMP50万1股普通股,相等于持有50%+1的股权。AMP是该地皮的地主。

提供AMP 1亿贷款

此外,双威城将额外提供1亿4000万令贷款给AMP,偿还截至今年1月杪止的债务。

完成认购后,刘鹏杰和CRSC分别持有AMP的40%和10%股权。

另一方面,三方也签署认沽期权协议,即刘鹏杰和CRSC有权要求双威城在期权期内,以9135万令吉价格购买期权股(Options Shares)。

发展地段地位置优越,距离KLCC和大马城仅有5公里,双威因而相信,将成为该公司另一个的强大发展项目。【e南洋】

The Board of Directors of Sunway wishes to announce that Sunway City Sdn Bhd (“SunCity”), a wholly-owned subsidiary of Sunway has on 10 February 2017, entered into a Subscription and Shareholders’ Agreement (“SSA”) with Low Peng Kiat (“LPK”), CRSC Property Sdn Bhd (“CRSC”) and Austral Meridian Property Sdn Bhd (“AMP”) with intention of establishing a joint venture via AMP to jointly undertake an integrated development project on the parcels of leasehold land owned by AMP held under H.S.(D) 119806, PT 486 and H.S.(D) 119793, PT 487, Seksyen 90 in Bandar Kuala Lumpur, Daerah Kuala Lumpur, State of Wilayah Persekutuan Kuala Lumpur measuring in aggregate approximately 31,630 square metres in area, together with a portion of land measuring approximately 0.63 acres which is to be alienated or transferred by the Government of Malaysia to AMP (collectively, the said lands are referred to as “Project Land”) (“Proposed Joint Venture”). The SSA also regulates the commitments of SunCity, LPK and CRSC with regards to the subscription of shares in AMP as well as their rights and responsibilities as shareholders of AMP.

SunCity has on even date, entered into a Put Option Agreement (“POA”) with LPK and CRSC to outline the put option arrangements between the parties in the shares of AMP.
