Description
HCK CAPITAL GROUP BERHAD ("HCK" OR "COMPANY") - PROPOSED ACQUISITION BY RESIDE CAPITAL SDN BHD, AN INDIRECT WHOLLY-OWNED SUBSIDIARY OF HCK, OF TWO (2) PARCELS OF LAND MEASURING APPROXIMATELY 1.2107 ACRES FOR PLOT 1 AND 1.2199 ACRES FOR PLOT 2, BOTH LOCATED AT SETIA CITY BIZPARK, MUKIM BUKIT RAJA, DAERAH PETALING, NEGERI SELANGOR FOR A COMBINED CASH CONSIDERATION OF RM38,643,077.88 ("PROPOSED ACQUISITION")
The Board of Directors of HCK ("Board") is pleased to announce that on 25 July 2025 and 31 July 2025, an indirect wholly-owned subsidiary of HCK, namely, Reside Capital Sdn Bhd (“Reside Capital” or “the Purchaser”) had entered into two (2) conditional sale and purchase agreements (“SPA”) with Bandar Setia Alam Sdn Bhd (“Vendor”) for the proposed acquisition of a parcel of freehold land located at:-

a. Plot 1, Setia City BizPark, Mukim Bukit Raja, Daerah Petaling, Negeri Selangor measuring approximately 1.2107 acres ("Land") for a cash consideration of RM19,513,094.04, with the SPA dated on 25 July 2025; and

b. Plot 2, Setia City BizPark, Mukim Bukit Raja, Daerah Petaling, Negeri Selangor measuring approximately 1.2199 acres ("Land") for a cash consideration of RM19,129,983.84, with the SPA dated on 31 July 2025,

with the total combined cash consideration of RM38,643,077.88 (“Purchase Consideration”) subject to the terms and conditions as contained in the SPA (“Proposed Acquisition”).

Query Letter Contents
We refer to your Company's announcement dated 1 August 2025 in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Malaysia Securities Berhad with the following additional information for public release:-

1. To provide the names of the directors of the Vendor.

2. To state the net book value of Plot 1 and Plot 2 Lands based on the latest audited financial statements and details of any encumbrances.

3. Please provide the market value of Plot 1 and Plot 2 Lands together with the name(s) of the independent registered valuer, date(s) and method(s) of valuation and a description of the valuation method(s) adopted.

4. If the Lands are intended to be developed, to provide the information pursuant to Item (4), Part C of Appendix 10A of the Main Market Listing Requirements (“MMLR”).

5. To provide the payment terms/schedule with detailed description of the planned development milestones.

6. To state clearly the conditions precedent of the SPAs and termination and penalty clauses. To also clarify if the Proposed Acquisition is subject to approval of the Economic Planning Unit (“EPU”). If yes, please update the application status and the expected approval timeline.  

7. To state the source of funding for the Purchase Consideration.

8. To quantify and illustrate the effects of the Proposed Acquisition in Sections 6.2 and 6.3.

9. Given that the announcement is made pursuant to Paragraph 10.08(9) of the MMLR, please explain the relevant related party relationship(s) with clear identification of the parties involved together with the relevant details/descriptions on how the Proposed Acquisition falls within the context of Paragraph 10.08(9) of the MMLR.

10. To provide the disclosures stipulated in Appendix 10C of the MMLR.

11. To furnish separately to the Exchange the percentage ratios computation.
Reference is made to the Announcement dated 1 August 2025 in respect of the aforesaid matter ("Announcement").

(Unless otherwise stated, the words and abbreviations used herein shall have the same meaning as those defined in the Announcement).

The Board wishes to announce the additional information as requested by Bursa Malaysia Securities Berhad via its letter (Reference No. IQL-05082025-00001) dated 5 August 2025.
