1. INTRODUCTION The Board of Directors of AWC is pleased to announce that Stream had on today, 9 April 2025 entered into a Concession Agreement with LKSB and TBGSB to Build-Operate-Transfer which include construction, operation, service and maintenance of an Automated Waste Collection System at Terminal Bersepadu Gombak. 2. DETAILS OF CONCESSION AGREEMENT The CA shall be for a period of ten (10) years commencing from 15 March 2025.The total utility charge for the Build-Operate-Transfer shall be RM18,384,855.99. 3. RISK FACTORS The CA is in the ordinary course of business of Stream. The potential risks involved in this CA are considered normal operational risks and are the same with any other works of such nature undertaken. 4. FINANCIAL EFFECTS The CA is expected to contribute positively to the earnings of the AWC Group over the duration of the CA. 5. INTEREST OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED WITH THEM None of the Directors, major shareholders of AWC and/or persons connected with them has any interest, whether direct or indirect, in the CA. 6. STATEMENT OF DIRECTORS The Board of Directors of the Company is of the opinion that entering into the CA is in the ordinary course of business and is in the best interest of the Company. (Unless otherwise stated, all abbreviations used in this announcement shall have the same meanings as defined in the Company’s announcement dated 9 April 2025) Further to the Company's announcement dated 9 April 2025, the Board of Directors of AWC wishes to provide the following additional information in connection to the CA to Build-Operate-Transfer of Automated Waste Collection System (“AWCS”) with LKSB and TBGSB to Stream: - 1. TBGSB is the concession holder with the Government for the purpose of carrying out Facility Operation and Asset Management Services. This includes concession rights to develop, construct, lease, operate and maintain the Terminal Bersepadu Gombak. 2. LKSB is the 100% shareholder of TBGSB and the main contractor of the project. They have engaged Stream for “Design, Supply, Installation, Testing and Commissioning” of AWCS located within Terminal Bersepadu Gombak. As part of the Build-Operate-Transfer, LKSB has further engaged Stream to include operation, service and maintenance of the AWCS at Terminal Bersepadu Gombak.
