creation of agency
1. by express appoint - maybe in written or oral form
2. by implied appointment - by word/ conduct
3. by ratification - agency by ratification can arise in any one of the following;
-agent has exceeded his authority
-agent as if he has the authority
s149-principal can either accept or reject. acceptance is called ratification
s150-ratification can be expessed/implied
ratification is binding on the principal & it is retrospective
a contract can only be ratified under the following circumstances;
i. act/contact is unauthorized
ii. agent must expressly act for the principal
iii. principal must be in actual existence or capable to be ascertained when the contact is made
iv. the principal must have contractual capacity
v. the principal must have full knowledge of all material facts
vi. the principal must ratify the whole act/contact
vii. ratification must not injure a third party
4. by necessity-an agency of necessity may be created if the three conditions are met;
i.impossible to get the principal's instruction -s142 CA1950
ii. necessary to prevent loss
iii. agent must have acted in good faith
5. by estoppel
A person cannot be bound by a contract made on his behalf without his authority.
If a principal by his word/conduct allows third party to believe that a particular person is his agent even when he is not and the third party.
Relies on it to his detriment, the principal will be estopped/precluded from denying the existence of an agency relationship
