Conversion Price/Ratio: The RM89,499,999 nominal value of 10-year 3% Irredeemable Convertible Unsecured Loan Stocks 2002/2012 ("ICULS") are convertible on the basis of RM2.00 nominal value of ICULS for 5 (five) fully paid new ordinary shares of RM0.50 each in the Company ("WSC Shares"). Prior to the Bonus Issue Exercise undertaken by WSC on 27 February 2008, the ICULS were convertible on the basis of RM1.00 nominal value of ICULS for 2 (two) WSC Shares. The conversion price is also subject to adjustments in accordance with the Trust Deed constituting the ICULS dated 9 January 2001 and Supplementary Trust Deed dated 16 May 2002. Conversion period: Convertible into fully paid-up ordinary shares of RM0.50 each in WSC at any time after the issue date and expiring on the market day immediately preceding the maturity date. Unless previously converted, all outstanding ICULS will be mandatorily converted by the Company into new ordinary shares at the conversion price applicable on the maturity date.
