YTL HOSPITALITY REIT ("YTL REIT")(I)         PLACEMENT OF NEW UNITS IN YTL REIT TO RAISE GROSS PROCEEDS OF UP TO RM800 MILLION; AND(II)        INCREASE IN THE EXISTING APPROVED FUND SIZE OF YTL REIT(COLLECTIVELY REFERRED TO AS THE "CORPORATE EXERCISES")
We refer to the announcements dated 14 June 2013, 28 June 2013, 2 January 2014, 3 January 2014, 13 January 2014, 23 January 2014, 24 January 2014, 11 February 2014, 14 May 2014, 26 May 2014, 28 May 2014, 13 June 2014, 21 November 2014, 26 November 2014, 3 December 2014, 4 December 2014, 14 May 2015, 22 May 2015, 27 May 2015, 20 November 2015, 10 December 2015, 11 December 2015, 20 May 2016, 8 July 2016 and 22 July 2016 (“Announcements”) in relation to the Corporate Exercises. Unless otherwise stated, abbreviations used herein shall have the same meanings as those defined in the Announcements.

On behalf of the Board of Directors of the Manager (“Board”), AmInvestment Bank wishes to announce that the Board had today resolved to fix the issue price of 380,000,000 Placement Units at RM1.06 (“Issue Price”). The placees for the entire 380,000,000 Placement Units are as follows:-

(i) 190,000,000 Placement Units to be issued to YTL Corp; and

(ii) 190,000,000 Placement Units to be issued to placees identified through the Placement Agents, AmInvestment Bank, Credit Suisse (Singapore) Limited and Maybank Investment Bank Berhad,

raising total gross proceeds of RM402.8 million.

The Issue Price represents a discount of approximately 9.25% to the five (5)-day volume weighted average market price of the units in YTL REIT up to and including 30 November 2016, being the last trading day immediately preceding the price fixing date, of RM1.168.

最新进展

杨忠礼产托(YTLREIT,5109)在12月16日,完成私下配售活动,筹得4亿200万令吉。

该产托将把筹得的资金,用于偿还大马银行贷款,而节省的利息将提高可派发收入。

行家建议

在完成私下配售后,将对杨忠礼产托造成稀释效应,我们把目标价从1.60令吉,调低至1.38令吉。

不过,我们依然维持“买进”投资评级,因为预计2017至2019财年周息率达7%至7.6%,仍是相当诱人的水平。

由于筹得的资金带来较高资金成本,因此,估计杨忠礼产托的每单位股息,将会在2017财年被稀释7.7%,而2018至2019财年则稀释9%至9.4%。

尽管如此,实际可派发股息总额则是增加16%至17%。

此外,负债率从之前的0.44倍,降低至0.33倍,让该产托能够举债约6亿1700万令吉,用作未来收购活动。

相比同行,杨忠礼产托的管理层,可在任何时候注入杨忠礼酒店旗下的成熟资产。

同时,管理层也在较繁荣的城市如伦敦,寻找策略收购。

杨忠礼酒店冀购更多资产
部署注入产托组合

(吉隆坡10日讯)杨忠礼机构(YTL,4677,主板建筑股)旗下公司,杨忠礼酒店与产业私人有限公司(简称杨忠礼酒店),放眼短期内收购更多资产,并将新收购和现有的资产,注入于杨忠礼产托(YTLREIT,5109,主板产业信托股)。

其中被杨忠礼酒店认为时机成熟,并可能注入产托的资产,包括已持有3年的吉隆坡Majestic酒店。

执行董事拿督杨肃佳接受新加坡《商业时报》专访时提到:“我们将会在近期内,把该酒店注入产托。其回酬规模已成型,回酬率也会为股东带来可观的收入。”

杨肃佳指出,公司将在对的时间点,于发达国家收购资产,尤其是欧洲区域。

营收增长目标20%

“任何我们在商业上的决策(收购活动),首先考虑到的是,收购的对象是否能能够‘产托化’,即公司能够完全持有该资产股权,然后注入产托。”

杨肃佳也提到,每单位周息率(DPU yield)也是在公司收购资产时,作为最低预期回酬率的基准参考水平。

杨忠礼产托每单位周息率,在截至去年12月31日的次季为7.68%。

另外,对于该公司的2020愿景计划,即每年的营收皆达20%的增长,杨肃佳指出,由于令吉疲软,可能影响在现金和外汇收入方面的20%增长目标。

不过,杨肃佳补充,这项已步入第15年的愿景计划,将通过提高酒店入住率、营运效率,以及减少营运成本来来达成目标。

杨忠礼酒店目前直接或通过产托,间接拥有的酒店资产共32项,另外拥有的11家酒店,管理合约由万豪酒店(Marriott Hotel)持有。

上述持有的资产,半数位于国内,其余来自澳洲、泰国、印尼、日本、英国、法国和中国。【e南洋】

杨忠礼产托3.8亿.购大华酒店

(吉隆坡26日讯)杨忠礼机构(YTL,4677,主板贸服组)以3亿8000万令吉现金价,将五星级大华酒店(Majestic Hotel)注入杨忠礼产托(YTLREIT,5109,主板产业投资信托组)。

杨忠礼产托发文告说,将向杨忠礼机构间接独资子公司吉隆坡大华酒店有限公司收购上述资产。

该公司在完成上述收购后,复转租予大华酒店有限公司达15年,并且可再延长另15年,租金以每5年渐进增长5%计。

杨忠礼产托将透过银行贷款融资上述收购。杨忠礼机构的间接独资子公司大华酒店有限公司,该酒店于2013年6月开幕后的首财政年,价值逾1亿6306万令吉。

大华酒店建于吉隆坡火车站附近的1万3219平方公尺土地,原本建筑有85年历史,并有47间客房,2012年经翻修一新。

新的塔楼则有253间客房,截至2016年6月30日年,入住率达60.1%。全间酒店同期的净账面值逾1亿529万令吉。

On behalf of Pintar Projek Sdn Bhd, the manager of the Trust, AmInvestment Bank Berhad wishes to announce that Maybank Trustees Berhad, as the trustee for YTL REIT (“Trustee”) had on 26 May 2017 entered into a conditional sale and purchase agreement (“SPA”) with the Vendor, an indirect wholly-owned subsidiary of YTL Corporation Berhad, for the acquisition of the Property for a cash consideration of RM380,000,000.

The Property comprises (i) the hotel buildings and interest in the registered lease over the land on which the said buildings are located and (ii) the fixtures, fittings and other assets as described in the SPA.

The Trustee, upon completion of the Proposed Acquisition will sub-lease the Property to the Vendor under a sub-lease agreement for a lease period of 15 years with an option granted to the Vendor to renew for a further term of 15 years. The sub-lease arrangement will provide YTL REIT with a steady and secure income stream and is expected to be accretive to the Trust’s future distributable income and distribution per unit.

The Proposed Acquisition and Proposed Lease are collectively referred to as “Proposed Transactions”.

利空消散.酒店入住率增.杨忠礼产托澳洲业务可期

(吉隆坡8日讯)受一次性地税上调影响,杨忠礼产托(YTLREIT,5109,主板产业投资信托组)澳洲业务2017财政年第四季呈跌,但大马投行相信随着相关因素消散,加上布里斯本万华酒店入住率将受惠于黄金海岸明年共和联邦运动会效应,澳洲业务未来表现可期。

受惠黄金海岸明年运动会效应

大马投行指出,杨忠礼产托2017财政年第四季营业额为1亿1110万令吉,全年营业额达到4亿4960万令吉,较预期的4亿2800万令吉高出4.9%,归功于丽思卡尔顿酒店(Ritz-Carlton)酒店式管理套间The Residences和其他大马产业租赁率增加及澳元升值。

产托净产业收入则按年起0.8%,但按季表现则因墨尔本一次性地税增加拖累,录得16.9%跌幅,但管理层现已向有关单位进行上诉。

受上述原因影响,杨忠礼产托澳洲业务净产业收入赚益,从第三季的33.8%降至24.37%,但大马投行预期下季赚益水平将趋向正常化。

“在健康的租金调整下,我们预期杨忠礼产托将持续通过内部增长。”

海外业务方面,大马投行说,墨尔本和悉尼平均每日租金(ADR)上调5%,但下调布里斯本ADR目标,主要是后者管理层将着重于提高市场占有率。

“尽管如此,随着黄金海岸将在明年4月举行共运会,我们相信布里斯本万华酒店入住率将在2018财政年走高。”

至于分利方面,在扣除非现金事项后,杨忠礼产托在2017财政年末季派发3290万令吉分利,但每股分利受到配股稀释,从上财政年的2.14仙减至1.93仙,因此大马投行在考量墨尔本、悉尼和布里斯本产业入住率增加后,调整每股分利目标至8仙(-0.25%)、8.6仙(+0.45%)和8.8仙(-0.97%)。

综合以上论点,大马投行维持杨忠礼产托“买进”评级,目标价则调高至1令吉39仙。

资产收入稳定.杨忠礼产托前景看俏

(吉隆坡12日讯)作为大马产托领域纯酒店业者,马银行研究看好杨忠礼产托(YTLREIT,5109,主板产业投资信托组)前景,预计2018至2020财政年财测增长4至8%。

该行指出,杨忠礼产托在大马及日本的资产提供稳定及永续性收入,澳洲酒店潜在贡献盈利增长和母公司──杨忠礼机构(YTL,4677,主板贸服组)潜在注入资产,都是利好。

马银行认为,杨忠礼产托潜在带来26%回酬,预计2018年净周息率可达到6.4%,比领域预计录得的5.5%高。

马银行指出,杨忠礼产托目前有11项资产以主租赁合约进行,租赁期限介于15至25年,且每5年租金可调升5%,料可减少低出租率风险和带来稳定及永续性收入。

马银行也相信,杨忠礼产托其他3家管理合约酒店,料透过稳定的出租率和平均房价获得改善,而潜在提升该公司的盈利。

综合以上,马银行给予杨忠礼产托“买进”评级,和1令吉40仙目标价。
