The Board of Directors of Tomypak (“Directors” or “the Board”) wishes to announce that on 25 July 2025, EB Packaging Sdn. Bhd. [Registration No.: 199501022683 (351886-U)] (“EBPSB” or “the Purchaser”), a 80% owned subsidiary of Tomypak Flexible Packaging Sdn. Bhd. [Registration No.: 197901008461 (52748-X)] (“TFPSB”), which in turn is a wholly-owned subsidiary of the Company, has entered into a sale and purchase agreement (“SPA”) with Gema Synergy Sdn. Bhd. [Registration No.: 200001024246 (526854-P)] (“GSSB” or “the Vendor”) for the proposed acquisition of a piece of freehold industrial vacant land held under HS(M) 6590, PTD 8089, Mukim of Simpang Kiri, District of Batu Pahat, State of Johor, measuring in aggregate an area of 6,021 square metres (“Subject Property”) for a total cash consideration of RM1,815,000.00 (“Purchase Consideration”), upon the terms and subject to the conditions set out in the SPA (“Proposed Acquisition”). Tomypak and its subsidiaries are hereinafter collectively referred to as “the Tomypak Group”.
The Proposed Acquisition is a related party transaction under Paragraph 10.08(1) of the Main Market Listing Requirement (“Main LR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”) and the interests of the interested director, major shareholder and/or persons connected with them are disclosed in Section 9 of this announcement.
