Description	WZ SATU BERHAD ("WZ SATU" OR THE "COMPANY")ACQUISITION OF THE ENTIRE ORDINARY EQUITY INTEREST OF CEKAP SEMENANJUNG SDN BHD ("CEKAP SEMENANJUNG") FOR A PURCHASE CONSIDERATION OF RM30.0 MILLION ("ACQUISITION")
We refer to the announcement dated 10 February 2017 in relation to the Acquisition (“Initial Announcement”) as well as the subsequent announcements dated 14 February 2017, 7 April 2017 and 13 April 2017. Unless otherwise defined, capitalised terms used in this announcement have the same meanings as those given to them in the Initial Announcement. On behalf of the Board, HLIB wishes to announce that all the Conditions Precedent, except for the Condition Precedent in relation to the MEBPA becoming unconditional, has been fulfilled today. As such, the Company will proceed to Conditional Completion within 14 business days from today, whereby: the Company will pay the Balance Deposit to the Vendors; and the Vendors will deliver to the Company all documents required to effect the transfer of legal and beneficial title of the Sale Shares to the Company. In accordance with the terms of the SSA, the Condition Precedent in relation to the MEBPA becoming unconditional will be regarded as a condition subsequent. Events following Conditional Completion As detailed in the Initial Announcement, if the MEBPA subsequently becomes unconditional in accordance with its terms within 6 months from the date of Conditional Completion or such extended period as may be mutually agreed by the Company and the Vendors (being the Conditional Completion Period), in exchange for the Security Deposit being returned by the Vendors to the Company free of interest, the Company will allot and issue the Consideration Shares within 14 business days after the MEBPA becomes unconditional. If the MEBPA does not become unconditional in accordance with its terms within the Conditional Completion Period, either the Company or the Vendors may elect to terminate the SSA. Within 7 business days after such termination: the Company will re-transfer the Sale Shares to the Vendors at the cost and expense of the Vendors and, in exchange, the Vendors will return to the Company the Security Deposit free of interest; the Vendors will reimburse the Company for any advances made by the Company towards the Pre-Development Cost incurred by Sinergi Dayang in respect of the Project following the date of Conditional Completion; and the Company will deliver all documents required to effect the transfer of legal and beneficial title of the Sale Shares to the Vendors. The Company will make further announcements once the MEBPA becomes unconditional or the Conditional Completion Period expires or is extended (as the case may be). Update on the status of compliance with the MEBPA Conditions As of the date of this announcement, the Target Group is still in the process of fulfilling the MEBPA Conditions as detailed in Appendix I of the Initial Announcement. 爭取40亿中枢大道项目　永成壹订单前景受看好

（吉隆坡21日讯）永成壹股份（WZSATU，7245，主板工业股）2017財政年首9个月（截至5月31日止）业绩符合预期，分析员看好该公司的订单前景，因为它持续竞標新项目，以及正在洽谈总值40亿令吉的中枢大道（Central Spine Road）。

永成壹股份2017財政年首9个月净利按年上升43%，至2190万令吉，归功于建筑及油气业务较高的按进度入账，以及赚幅提高。

艾芬黄氏资本分析员指出，该公司首9个月净利符预期，占他全年净利预测2890万令吉的76%。

同时，该公司首9个月营业额亦按年增加20%，至4亿1010万令吉，主要是由建筑业务、油气业务和贸易业务的营业额，分別按年提高9%、54%和26%所带动。

首9个月的未扣除利息和税务前盈利（EBIT）按年上升54%，至3260万令吉，归功于旗下业务的赚幅改善，即建筑业务（5.9%）、油气业务（7.3%）及製造业务（14.4%）。不过，净利增幅低于税前盈利成长，主要是受联號公司盈利下滑和税务开销增加拖累。

分析员说，联號公司的盈利按年下跌13%，至630万令吉，归因铝土矿开採业务受到政府的採矿禁令影响。有关禁令被延长至今年12月31日。

然而，现有的库存仍可以支撑永成壹股份2017財政年的盈利。

11亿订单支撑盈利

此外，分析员称，该公司第3季净利按年增加43%，至800万令吉，主要是油气业务的盈利上涨63%带动，因为柔佛州的炼油及石化综合发展项目（RAPID）进展顺利。

展望未来，分析员表示，该公司手持约11亿令吉的未完成订单，足以支撑2017財政年的盈利成长。

该公司正积极竞標东海岸经济区（ECER）基础建设和第3阶段的大使-淡江大道（DUKE）相关工程。早前，该公司竞標西海岸高速大道（West Coast Expressway）失败。

分析员补充说，对永成壹股份而言，能为它开创新格局的，莫过于该公司与合作伙伴UEM集团正在努力爭取的40亿令吉中枢大道项目。

永成壹股份冀望通过该项目，扩大订单量，並躋身为主承包商行列。

永成统一2280万售贸易业务

（吉隆坡23日讯）永成统一（WZSATU，7245，主板工业产品股）以2280万令吉，脱售WZ Trading私人有限公司的100%股权。

永成统一昨日向交易所报备，与大股东陈静欣（译音）签署有条件股权买卖协议，把WZ Trading的所有股权脱售给后者。

现年26岁的陈静欣，是永成统一前执行董事陈清棋的女儿。陈清棋于今年2月去世，他生前曾经负责管理永成统一的钢铁业务及子公司。

WZ Trading在过去2年蒙受亏损之后，终于在2016财年转亏为盈。

专注核心业务

“虽然WZ Trading的业绩表现略有改善，在2016财年录得63万令吉的净利。不过，该公司2016财年的投资回酬及资产回酬率非常低，分别为5.5%及2.2%。

永成统一董事部认为，WZ Trading的业务依然充满挑战，未来的增长潜能有限。

上述脱售股权活动，符合永成统一进行重整投资的策略，让公司更有效的部署资源，以增长其他现有的核心业务。

该公司向交易所报备，由于联邦政府完全禁止彭亨州关丹的铝土矿出口活动，导致该公司的矿业业务料蒙受120万令吉亏损。

铝矿土业务亏损．永成第一末季净利挫56%

（吉隆坡26日讯）受铝矿土业务亏损拖累，永成第一（WZ S A TU,7245,主板工业产品组）截至2017年8月31日止第四季净利急退56.06%至348万5000令吉，前期为793万1000令吉。

全年净利报2534万5000令吉，比前期的2307万2000令吉提升9.85%。

派息2仙

该公司第四季营业额增长21.67%至1亿5037万8000令吉，全年营业额扬升20.29%至5亿6044万8000令吉。

该公司董事部建议派发每股2仙股息。

永成第一表示，第四季营收增长主要是来自油气子公司的贡献，而盈利下滑，则是受矿务联号公司亏损120万令吉所拖累，同时土木工程和建筑子公司的盈利降低。

展望未来，该公司表示，其土木工程及建筑部门不只累积了可供忙碌2至3年的订单，同时有信心合约订单将增长。
