婆罗海产终止与牡蛎生产商的联营协议

（吉隆坡3日讯）婆罗洲海产养殖（Borneo Aqua Harvest Bhd）终止与City Harvest Aquaculture私人有限公司（CHASB）的联营协议，因后者未能提供与其业务活动相关的文件。

婆罗海产今日通过大马交易所发布文告指出：“根据联营协议的第9.1条规定‘检阅和浏览资料权利’，尽管本公司一再提出要求，但CHASB未能提供与其业务和事务相关的账目、记录、账户、文件和凭证。”

CHASB的股东也有一项仍未解决的争议，这也扰乱该公司的业务运作。

2014年1月，婆罗海产独资子公司Plentiful Harvest私人有限公司与CHASB达至一项联营协议。根据此协议，CHASB可使用几块地皮，用以养殖牡蛎。

婆罗海产说：“这项联营协议终止后，Plentiful Harvest将取回属于CHASB在该地段的所有资产。”

属于Plentiful Harvest的产业、厂房和设备及相关公司，之前被CHASB供此养殖项目之用，这些资产也将以完整状态归还予Plentiful Harvest和其相关公司。

这些地段包括一块位于沙巴Pulau Palak的地段，以及3块合共面积35.17英亩的地段座落于山打根。

婆罗海产表示，终止联营协议料不会对集团截至2017年3月杪的财政年每股净资产、负债水平和股本，构成任何重大影响。

婆罗洲海产养殖拟私下配售 筹集高达5329万

（吉隆坡7日讯）婆罗洲海产养殖（Borneo Aqua Harvest Bhd）拟进行私下配售高达5921万新股，相等于公司已发行股票总数的10%。

该公司今日向大马交易所报备，私配计划将使公司能够筹集资金，充作采矿业务的资本开销和营运资本，而不会产生额外的利息成本，是公司发展采矿业务商业计划的一部分。

该公司表示，目前无法确定从私配计划可筹措的实际资金，因这将取决于实际发行价和实际配售数量。

“假设配售价为每股90仙，较5天加权平均市价94仙，折价约4.26%，预计最低可筹获4919万令吉，最高可达5329万令吉。”

婆罗洲海产养殖指出，私配计划预计不会对截至今年3月31日止财政年的盈利有任何实质影响。

然而，该公司补充，由于股量增加，每股盈利可能会相应地降低，而所筹资金预计对未来财年作出贡献。

如无意外，这项私配计划预料将于今年第二季完成。

婆罗水殖拟2送1凭单
转换价87仙

（吉隆坡13日讯）婆罗水殖（BAHVEST，0098，创业板）建议，派送高达3亿2567万张免费凭单，每张转换价为87仙。

根据文告，每持有2股婆罗水殖的股东，可获赠1张凭单，至于转换日期将在较后宣布。

为期7年的凭单的转换价，相等于婆罗水殖截至昨日5天成交量加权平均市价（VWAMP）83.75仙的3.88%溢价。

董事经理拿督罗惠明说，上述企业活动是为了奖励股东持续支持，让他们能从凭单活动的任何潜在资本增值中受惠。

“从凭单活动中筹获的款项，将进一步加强公司的资本基础及市值；比起跟银行借贷，凭单能让公司在无需利息成本的情况下筹资资金。”

所筹款项将用作公司的营运资本，包括采矿生产成本、勘探矿场的成本（大约为子公司Wullersdorf资源公司持有317.7公顷矿场中的289.7公顷），以及水产养殖业务的营运开销。

Description	BORNEO AQUA HARVEST BERHAD ("BAHVEST" OR "COMPANY"): PROPOSED BONUS ISSUE
On behalf of the Board of Directors of BAHVEST (“Board”), RHB Investment Bank Berhad (“RHBIB”) wishes to announce that the Company proposes to undertake a bonus issue of up to 938,995,138 new ordinary shares in BAHVEST (“BAHVEST Shares” or “Shares”) (“Bonus Shares”) on the basis of 1 Bonus Share for every 1 existing BAHVEST Share held on an entitlement date to be determined later (“Proposed Bonus Issue”).
