Bhd. (Company No. 201301043776 (1073599-A) | The Board of Directors of GIIB (“GIIB Board”) wishes to announce that GIIB Development Sdn. Bhd. (“GDSB”), a wholly-owned subsidiary company of GIIB, had on 15 September 2022 been served with a winding-up petition in the High Court of Sabah and Sarawak at Kota Kinabalu by Khoo Soo Beng and Choo Li Fang (collectively referred to as “the Petitioners”) (“the Petition”).
The Petitioners in the Petition sought the following:-
(1) That GDSB be wound-up by the court under the provisions of the Companies Act 2016;
(2) That the Official Receiver Malaysia, Kota Kinabalu be appointed as the Liquidator of GDSB;
(3) That the Petitioners be granted a period of 60 days from the date of the pronouncement of the winding-up order to gazette and advertise a notice of the order;
(4) That the costs of the Petition be paid out of the assets of GDSB; and
(5) such other order may be made in the premises as shall be just.
Apart from the judgement debt which may be awarded against GDSB and the corresponding legal costs, there is no material financial and operational impact arising from the Petition.
GIIB Board is currently reviewing the relevant cause papers and shall engage solicitors.
The Company will make the necessary announcements on further developments of the above matter as and when necessary.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:
1) The amount claimed for under the petition and the interest rate. 2) Details of the default or circumstances leading to the filing of the winding-up petition against GIIB Development Sdn. Bhd. (“GDSB”). 3) A confirmation as to whether GDSB is a major subsidiary. 4) The total cost of investment in GDSB. 5) The expected losses, if any, arising from the winding-up petition. | Further to the announcement made on 15 September 2022, the Company wishes to provide the additional information below in respect of the Petition.
Unless otherwise stated, the definitions and terms used herein shall have the same meaning as defined in the previous announcement.
ADDITIONAL INFORMATION
1) The amount claimed for under the Petition and the interest rate
The amount claimed for under the Petition is RM69,549.42 and the interest rate is 5% per annum until full settlement.
2) Details of the default or circumstances leading to the filing of the winding-up petition against GIIB Development Sdn. Bhd. (“GDSB”)
The Petitioners had obtained a Judgment in Default of Appearance against GDSB. GDSB was ordered to pay the Petitioners a judgment sum of RM98,187.40 being the liquidated damages for delay, together with statutory interest at the rate of 5% per annum until full settlement. As at to date, GDSB had paid RM28,637.98 to the Petitioners. The amount outstanding is RM69,549.42.
3) Confirmation as to whether GDSB is a major subsidiary
GDSB is not a major subsidiary of GIIB.
4) Total cost of investment in GDSB
Total cost of investment in GDSB is RM300,000/-.
5) Expected losses, if any, arising from the winding-up petition.
The expected losses arising from the Petition is RM300,000/-.
