ATSB is a private limited company incorporated in Malaysia under the Companies Act, 2016 on 16 April 2018. It has an issued capital of RM1.00. The intended principal activity of ATSB is in investment holding and the provision of private education business.
The Acquisition was funded through internally generated funds and it is not expected to have any immediate material impact on the earnings, net assets and gearing of HCK Group for the financial year ending 31 December 2018.
None of the directors and major shareholders of HCK and its subsidiaries and/or persons connected with them, have any interest, direct or indirect, in the Acquisition. The Board of Directors is of the opinion that the Acquisition is in the best interest of the Group.

2. DESCRIPTION OF THE CONTRACT
The Contract covers the construction of main building for the proposed project of four (4) towers on three (3) storey podium comprising retail units, offices, common area and facilities with four (4) level of basement car park to be built on Lot 74746, Persiaran Subang Permai, Subang Jaya, Mukim Damansara, Daerah Petaling, Selangor Darul Ehsan.
3. INFORMATION ON KPMSB
KPMSB is a subsidiary of Kerjaya Prospek Group Berhad (a company listed on the Main Market of Bursa Malaysia Securities Berhad) which is involved in construction activities.
4. RATIONALE
The award of the Contract is for HCK to appoint a main contractor for the development of the Development Land into an integrated education city.
5. FINANCIAL EFFECTS
The award of the Contract will not have any effect on the issued share capital and substantial shareholders’ shareholdings of the Company.
The said award is not expected to have any immediate material effects on the earnings, gearing and net assets per share of HCK Group for the financial year ending 31 Dec 2019.
6. INTEREST OF DIRECTORS, SUBSTANTIAL SHAREHOLDERS AND CONNECTED PERSON
None of the directors and/or major shareholders of the Company or persons connected to them have any interest, direct or indirect, in the Contract.

NON RELATED PARTY TRANSACTIONS | Description | HCK CAPITAL GROUP BERHAD ("HCK" OR THE "COMPANY") - PROPOSED ACQUISITION BY TRILINK ESSENTIAL SDN BHD ("TESB" or "PURCHASER"), AN INDIRECT SUBSIDIARY OF HCK, OF A COMMERCIAL PARCEL MEASURING APPROXIMATELY 17,422 SQUARE FEET LOCATED AT LEVEL 1 WITHIN ZONE 2 OF EMPIRE CITY @ DAMANSARA (PROPERTY) FOR A CONSIDERATION OF RM10,707,077.50 TO BE SATISFIED BY CASH ("PROPOSED ACQUISITION") | The Board of Directors of HCK ("Board") is pleased to announce that TESB, an indirect subsidiary of HCK, has on 05 November 2019 entered into a Sale & Purchase Agreement (“SPA”) with Cosmopolitan Avenue Sdn Bhd (“CASB” or “Developer”) for a commercial parcel measuring approximately 17,422 square feet located at level 1 within Zone 2 of Empire City @ Damansara for a consideration of RM10,707,077.50 (the “Purchase Price”) to be satisfied entirely via cash.
