TOKYO -(Dow Jones)- Fujitsu Ltd.'s (6702.TO) affiliated chip production company, Spansion Japan, has filed for bankruptcy protection with Y74.1 billion debt, a Spansion Japan spokesman said Tuesday, underscoring the difficulties facing Japanese chip makers under pressure from slackening demand.

To recover, Spansion Japan is considering several options including a possible sale, the spokesman said, declining to elaborate. The Japanese unit has received no guidelines for recovery from the U.S. parent, he added.

Spansion Japan is a Japanese unit of Spansion Inc. (SPSN), in which Fujitsu holds an 11.4% stake and Advanced Micro Devices Inc. (AMD) owns an 8.7% stake, as of the end of 2008.

Spansion Japan suffered from hefty investment costs in ramping up production capacity as well as research and development spending amid the economic slowdown.

The Sunnyvale, California-based parent said that its Japanese subsidiary voluntarily chose to seek protection from its creditors while it continues its restructuring efforts.

This action doesn't include any of Spansion's other subsidiaries or their operations outside of Japan. The U.S. parent does not expect the filing in Japan to materially affect its global operations.

"We intend for Spansion Japan to continue to operate throughout the restructuring period," said John Kispert, Spansion's president and CEO, in a statement. "Our Japanese operations have sufficient cash on hand to meet their immediate, short-term working capital needs and we plan to maintain our high standards of excellence and our commitments to product quality, safety and outstanding customer service."

Fujitsu's chip unit, which manufactures and sells flash memory chips for Spansion Japan, will continue the business relations, said a spokesman at the Fujitsu parent. But he declined to comment whether it would offer financial support.

While financial results for the Japanese unit are unavailable, the U.S. parent lost $240 million on an operating basis in 2007 on revenue of $2.5 billion, said the spokesman.

Spansion Inc., announced that its Japanese subsidiary, Spansion Japan Ltd., has entered into a proceeding under the Corporate Reorganization Law (Kaisha Kosei Ho) of Japan. Spansion Japan Ltd. voluntarily chose to enter the proceeding to obtain protection from its creditors while it continues its restructuring efforts. This action does not include any of Spansion's other subsidiaries or their operations outside of Japan.

Spansion Inc. does not expect the filing in Japan to materially affect its global operations. Spansion Japan Ltd. will continue its operations and intends to pay, in a timely manner, for all goods and services that it obtains after the date of filing.

"We intend for Spansion Japan to continue to operate throughout the restructuring period," said John Kispert, Spansion's president and CEO. "Our Japanese operations have sufficient cash on hand to meet their immediate, short-term working capital needs and we plan to maintain our high standards of excellence and our commitments to product quality, safety and outstanding customer service."

Spansion Reports Progress on U.S. Restructuring Efforts

Spansion also announced that it is in active discussions with an ad hoc committee representing holders of its $625 million Senior Secured Floating Rate Notes due 2013 about restructuring the company's balance sheet as well as potential strategic transactions.

"We are making progress in our constructive discussions with an ad hoc committee of secured noteholders, to find a mutually beneficial agreement as we seek to resolve Spansion's capital structures," said Kispert, who joined Spansion as its president and CEO last week with the goal of positioning the company to reach sustainable profitability and/or to successfully complete a strategic transaction.

Spansion Japan's entry into the Corporate Reorganization proceeding is an event of default under certain of Spansion Japan's and Spansion LLC's debt instruments.

去年去interview,要求少过4k,经理说要求太高...然后没有bonus...-profit sharing...那美女manager 说公司没赚过钱...

全球最大NOR快閃記憶體廠飛索半導體（Spansion）驚爆財務危機，日昨執行長Bertrand Cambou閃電宣佈辭職，更加深市場認為飛索 恐將申請破產保護的疑慮。由於飛索1月中旬因無力支付封測廠代工費用，且飛索在台市佔率高達7成，在手機廠及電腦廠轉向尋找新貨源下，國內NOR廠旺宏可望受惠轉單替代效應，近期NOR接單已明顯上升。
　　飛索日前遭美國銀行等金融機構降低放款額度衝擊，資金調度已出現問題，無力支付封測廠代工費用，為飛索代工廠的南茂不僅發出違反協議與主張權利通知並終止與飛索間的服務合約，還向法院聲請扣押飛索置放於南茂的庫存及設備材料。
　　據了解，飛索近來已停止對封測廠釋單，改以晶圓方式出貨提高現金水位，而日月光原本與飛索簽訂合作備忘錄（MOU），將併購其蘇州封測廠，但此合作案已宣告暫停。日月光表示，因為尚未支付併購金，也還沒簽訂最後合約，所以不會有任何影響。
　　飛索日前表示，將尋求買家或與其它業者合併，據業內透露，飛索 已陸續與恆憶（Numonyx）、美光、爾必達等洽談合作可能，但至今沒有任何結果。另外，飛索雖然與國內手機廠、OEM電腦廠等協商，表示營運及出貨仍正常，但為了降低風險，包括宏達電、華碩等大廠，已開始尋求NOR新貨源，而受市場矚目之處，則是國內NOR廠旺宏已開始獲得替代性訂單。
　　高容量NOR晶片以手機市場為主，因手機大廠過半難逃虧損命運，及利基型DRAM取代NOR的市場定位，所以NOR供應商雖處於寡佔競爭，業者虧損的壓力十分沉重。不過，應用在電腦或印表機等市場的低容量NOR市場，因為市場需求較穩定，供應商又不多，毛利率相對較佳。
　　市場法人表示，飛索雖然NOR產品線齊全，但太集中在高容量NOR市場，所以虧損壓力很大，如今出現財務危機後，在中低容量與飛索產品線重疊的旺宏，自然有機會取替其地位，成為電子產品業者最佳N OR供應商，有助於業績及獲利的提升。

    　全球最大NOR快閃記憶體廠飛索半導體（Spansion）財務危機看似無解，飛索日本子公司昨日向日本東京地方法院提出「會社更生法」適用申請，正式進入申請破產保護法定程度，預估負債總額高達741億日圓。雖然飛索昨日表示，非日本地區的營運仍正常，但包括南茂及京元電等封測廠均停止與飛索合作，日月光的合資案也先暫停，而旺宏及華邦則受惠NOR晶片轉單替代效應。

    　飛索半導體日前驚爆財務危機，原執行長Bertrand Cambou閃電宣佈辭職，雖然飛索後來已指派前科磊（KLA-Tencor）營運長John Kispert出任執行長，但因資金缺口問題仍無法解決，飛索日本子公司昨日正式向東京地方法院提出破產保護申請。

    　飛索在日本會津若松擁有1座8吋廠及1座12吋廠，是其重要NOR晶片生產重鎮，由於日本子公司有資金缺口，只好申請破產保護，但日本以外的營運據點，包括位於美國德州奧斯汀的8吋廠，及位於泰國、馬來西亞、中國蘇州等地封測廠，仍將繼續營運。飛索也表示，希望日本據點也能維持營運。

    　飛索昨日也宣佈，準備發行債券籌措6.25億美元資金應急，但若最後仍無法取得足夠資金而倒閉，預料會衝擊其合作夥伴。據了解，飛索日前無法支付封測廠南茂5,700萬美元代工費用，南茂已發出違反協議與主張權利通知，並終止與飛索間的服務合約，還向法院聲請扣押飛索置放於南茂的庫存及設備材料；京元電則已停止與飛索合作。

    　另外，日月光原與飛索簽訂合作備忘錄（MOU），將併購其蘇州封測廠，但此合作案已先暫停。日月光表示，尚未支付併購金，也還沒簽訂最後合約，所以不會有任何影響。

    　至於國內NOR供應商旺宏及華邦，近期受惠NOR晶片轉單替代效應，訂單已開始回升，如旺宏1月營收達12.51億元，較12月增加11.3％，華邦電1月營收雖僅9.83億元，較上月減少9％，但NOR晶片需求已見到明顯增溫。旺宏及華邦電均表示，會密切注意飛索財務危機後的NOR晶片轉單替代效應，並會積極爭取客戶轉單訂單。

假如真的话，那么它是继QIMAONDA之后倒台的semicon公司。。。以前在那边捞过的，蛮怀念里面的同事，希望他们有好的出头天！！！
