Description	BRIGHT PACKAGING INDUSTRY BERHAD ("BRIGHT" OR "THE COMPANY")- JOINT VENTURE AGREEMENT BETWEEN BRIGHT AND DATAI PLANTATIONS SDN. BHD.
The Board of Directors (“Board”) of Bright wishes to announce that the Company had on 5 June 2025 entered into a new Joint Venture Agreement (“JVA”) with Datai Plantations Sdn. Bhd. (“DPSB”) (hereinafter referred to collectively as “Parties”) to supersede the previous Joint Venture Agreement dated 5 May 2023 (“2023 JVA”) entered between the Parties and to form an unincorporated joint venture for the purpose of further diversity and increase its investment in the field of oil palm plantation together with facilities and the provision of services ancillary to such plantation on parcels of land located in Sarikei, Sarawak (“Project”). Description	- TRANSACTIONS (CHAPTER 10 OF LISTING REQUIREMENTS) : RELATED PARTY TRANSACTIONS BRIGHT PACKAGING INDUSTRY BERHAD ("BRIGHT" OR "THE COMPANY") - JOINT VENTURE AGREEMENT BETWEEN BRIGHT AND DATAI PLANTATIONS SDN. BHD.
Query Letter Contents	We refer to your Company’s announcement dated 5 June 2025, in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1) The rationale for entering into the new JVA to supersede the 2023 JVA; 2) The completion date of the Project undertaken by Datai Pelita Bintangor Sdn. Bhd.; 3) The details of the approval and/or consent of Bursa Securities and all such other relevant authorities required for the JVA, or a negative statement; 4) Whether the JVA tantamount to diversification in operations of BRIGHT pursuant to Paragraph 10.13 of the Main Market Listing Requirements which requires shareholders’ approval, together with the basis and justification; 5) The detailed basis to arrive at the Investment Sum of RM3,400,000 based on the market value of the Project of RM42,500,000; 6) All the salient terms and conditions of the proposed equity participation of BRIGHT in up to 50% of paid-up capital of DPSB in the event that BRIGHT forego its right to profit entitlement in DPSB, including but not limited to, the basis to arrive at the issue price of DPSB shares, the basis to arrive at the threshold value of DPSB of RM27,400,000.00 in determining the quantum of new DPSB shares to be issued to BRIGHT, the definition of the “value” of DPSB and whether it refers to Net Assets of DPSB or any other parameters, and whether shareholders’ approval of BRIGHT is required for the subscription of DPSB shares; and 7) The source of funds for the proposed equity participation of BRIGHT in up to 50% of paid-up capital of DPSB.
Reference is made to the Announcement dated 5 June 2025 in respect of the aforesaid matter. (Unless otherwise stated, all definitions and terms used herein shall have the same meaning as defined in the said Announcement.) The Board wishes to announce the additional information as required by Bursa Securities via its letter (Reference Number: IQL-06062025-00001) dated 9 June 2025.
