（吉隆坡2日讯）Destini（DESTINI，7212，主板贸服股）与东洋工程（SAMUDRA，7185，主板贸服股）正式签订股权买卖协议，以8000万令吉向后者收购Samudra石油服务私人有限公司。

Destini昨日向马交所报备，建议将以每股35仙发行约2亿2860万新股来达成上述交易，预期在明年首季完成。

马新社引述Destini董事经理拿督罗查比阿都拉曼表示，通过此交易，可使集团有机会在海内外跨足欣欣向荣的油气领域。

“在近期政府宣布预算案中，所提及的油气探勘和生产活动潜在投资，预期可大大提振油气领域。”

他看好Samudra石油服务可为集团带来贡献，并有信心该海事业务可攫取不错的油气维护、维修及检修（MRO）合约。

The Contract is for the period of three (3) years commencing from 3 October 2013 to 2 October 2016. 併購3公司拓海事油氣‧德斯迪尼減國防合約依賴

（吉隆坡8日訊）前身為薩當控股（SATANG）的德斯迪尼（DESTINI,7212,主板貿服組），在脫困後成功華麗轉身，今年一口氣併購3家公司後，將致力在海事與油氣服務業大展拳腳，並預計油氣服務業未來佔其營運的60%比重。

油氣服務業未來佔營運60%比重

德斯迪尼董事經理拿督羅查比爾接受《星洲財經》訪問時預計，脫離PN17後，該公司更換新名字，並且進行積極扭轉表現，德斯迪尼將跳脫只是獲取國防工程的固有形象（預計這個財政年佔75%），未來航空與海事核心業務除各佔營業額的20%外，其餘60%業務將來自油氣服務業。

該公司11月剛獲得國防部一項9千500萬令吉，為期3年的新合約。

羅查比爾看好2014財政年將開啟是一個良好開端，預計歷經整合與良好協作後，海事、航空維護、維修和翻修（MRO）與油氣服務業發揮效益，盈利將取得顯著的躍進。

他拒絕預測盈利躍進的數據，僅表示若一切順利進展，或將比上一個財政年取得倍數效應。2012財政年轉虧為盈之際，德斯迪尼獲利超過706萬令吉。

他強調：“海事、油氣服務的維護、維修和翻修（MRO）業務，將是扭轉整個業務走向的主因。”

他表示，若一切進展順利，收購東洋工程（SAMUDRA,7185,主板貿服組）旗下東洋石油服務私人有限公司可於明年首季完成；在這項收購之後，公司即停止任何收購活動，專注於內部整合與協作及搞好業務。

在薩當控股多事之秋之際，羅查比爾於2010年受委董事經理，2011年正式受委為集團董事經理後，即對管理欠佳的公司展開重組計劃，一年半內轉虧為盈，2013年4月正式脫離PN17公司行列。

2013年1月，公司以1千萬令吉代價，收購總部設於新加坡的救生艇與救生艇配備製造公司Vanguard的51%股權。同年10月8日，以3千900萬令吉全購TECHNO FIBRE集團，以便涉海事維修、維護與大修（MRO）業務、救生艇檢測、培訓活動等。

在收購上述兩大公司股權後，其中Vanguard公司去年貢獻15萬3千令吉、TECHNO FIBRE集團則貢獻483萬5千令吉。

2子公司貢獻料更為顯著

他預計下個財政年作全年貢獻後，這兩子公司的貢獻將更為顯著。

德斯迪尼最近獻議透過發新股方式，以8千萬令吉收購東洋工程（SAMUDRA,7185,主板貿服組）旗下東洋石油服務私人有限公司，以擴大維護、維修和翻修（MRO）業務至石油與天然氣領域。

當一家公司的大股東沽出手中憑單，尤其是新上市的那種，很多投資者會解讀這意味大股東對憑單價走勢不看好而看淡。

雖然我們不否定這種看法 ，最近一項新上市的憑單也遭到大股東拋售，可是價錢卻不跌反升 ！

德斯狄尼（DESTINI，7212，主要板貿易）憑單德斯狄尼-WA，便是一項剛上市大股東就開始賣而憑單價卻一直上升的案例 。

德斯狄尼-WA是母公司以3配1比例，派送2億4200萬張免費憑單。

這項期限只有3年的憑單，是在10月8日開始在馬股上市 。該憑單在上市首週價錢是在10仙左右波動，在10月17日開始就價量齊升。

據馬交所資料，德斯狄尼大股東BPH資本私人有限公司，在10月25日開始脫售手中持有的德斯狄尼-WA。

在10月25日至30日，BPH資本是以13.5仙至14.5仙，賣出約400萬單位憑單。

屬未到價憑單

雖然這數量只佔它手中持有的接近10%憑單，這項出售活動似乎合理。這是因為德斯狄尼-WA行使價是40仙，該公司股價還未上升到40仙，算是未到價（OUT-OF-MONEY）憑單。

此外，該公司還正在建議以每股35仙、發行2億2857萬1428股或相等于8000萬令吉，向東洋工程（SAMUDRA，7185，主板貿服股）收購Samudra石油服務私人有限公司。

這將增加公司的資本以及股票供應。

德斯狄尼-WA的溢價並不低，期限也比一般公司憑單短很多。當大股東開始賣出時，相信不少持有該憑單的朋友也會跟進大股東動作，沽出手中憑單。

可是德斯狄尼-WA價錢並未受到大股東減持的影響，甚至不斷上升。到截稿時該憑單的價錢已經達到17仙。

這個例子看來，“大股東賣出憑單就意味憑單價看淡”的觀點被推翻了！[中国报财经]

（吉隆坡10日讯）Destini（DESTINI，7212，主板贸服股）独资子公司获国防部颁发总值4630万令吉的军事配备合约。

该公司今日发文告指出，子公司DestiniPrima有限公司获得这项为期三年的供应合约，将为大马皇家空军提供国防配备。

Destini董事经理拿督罗扎比尔表示，公司与国防部合作至今已超过10年，除了为国防部空军与海军部门的救援与逃生配备，提供维护、维修与营运（MRO）服务，公司也另设整合工程部门，为国防部提供军事配备。

他指出，包括这项合约在内，Destini获得的国防部合约，总计为1亿5200万令吉。

他说，军舰MRO服务合约增加，加上逃生艇与配备销售提升，及油气领域的支援服务合约，将成为公司盈利增长推动力。。[南洋网财经]

整項收購料次季完成

該公司透過發新股方式，以8千萬令吉收購東洋石油服務私人有限公司的建議今日獲多數股東所批准，預計整項收購活動可在今年次季完成，並可在今年內對該公司作出顯著營收貢獻。

該公司董事經理拿督羅沙比爾拉曼在股東特別大會上透露：“我們已透過提供救生艇維護、維修和翻修服務涉入油氣領域，現在時候以該業務為基礎，更廣泛地服務油氣領域，並將公司業務帶向區域市場。”

他預計收購東洋石油服務後，油氣業務可在今年內對該公司營收的作出顯著貢獻，儘管眼下無法告知確實的貢獻數額，但油氣業務對營收的貢獻將提高至50%，而航空和船艦業務各貢獻25%。
