全球最大NOR快閃記憶體廠飛索半導體(Spansion)驚爆財務危機,日昨執行長Bertrand Cambou閃電宣佈辭職,更加深市場認為飛索 恐將申請破產保護的疑慮。由於飛索1月中旬因無力支付封測廠代工費用,且飛索在台市佔率高達7成,在手機廠及電腦廠轉向尋找新貨源下,國內NOR廠旺宏可望受惠轉單替代效應,近期NOR接單已明顯上升。
飛索日前遭美國銀行等金融機構降低放款額度衝擊,資金調度已出現問題,無力支付封測廠代工費用,為飛索代工廠的南茂不僅發出違反協議與主張權利通知並終止與飛索間的服務合約,還向法院聲請扣押飛索置放於南茂的庫存及設備材料。
據了解,飛索近來已停止對封測廠釋單,改以晶圓方式出貨提高現金水位,而日月光原本與飛索簽訂合作備忘錄(MOU),將併購其蘇州封測廠,但此合作案已宣告暫停。日月光表示,因為尚未支付併購金,也還沒簽訂最後合約,所以不會有任何影響。
飛索日前表示,將尋求買家或與其它業者合併,據業內透露,飛索 已陸續與恆憶(Numonyx)、美光、爾必達等洽談合作可能,但至今沒有任何結果。另外,飛索雖然與國內手機廠、OEM電腦廠等協商,表示營運及出貨仍正常,但為了降低風險,包括宏達電、華碩等大廠,已開始尋求NOR新貨源,而受市場矚目之處,則是國內NOR廠旺宏已開始獲得替代性訂單。
高容量NOR晶片以手機市場為主,因手機大廠過半難逃虧損命運,及利基型DRAM取代NOR的市場定位,所以NOR供應商雖處於寡佔競爭,業者虧損的壓力十分沉重。不過,應用在電腦或印表機等市場的低容量NOR市場,因為市場需求較穩定,供應商又不多,毛利率相對較佳。
市場法人表示,飛索雖然NOR產品線齊全,但太集中在高容量NOR市場,所以虧損壓力很大,如今出現財務危機後,在中低容量與飛索產品線重疊的旺宏,自然有機會取替其地位,成為電子產品業者最佳N OR供應商,有助於業績及獲利的提升。 |

飛索日本子公司 申請破產
全球最大NOR快閃記憶體廠飛索半導體(Spansion)財務危機看似無解,飛索日本子公司昨日向日本東京地方法院提出「會社更生法」適用申請,正式進入申請破產保護法定程度,預估負債總額高達741億日圓。雖然飛索昨日表示,非日本地區的營運仍正常,但包括南茂及京元電等封測廠均停止與飛索合作,日月光的合資案也先暫停,而旺宏及華邦則受惠NOR晶片轉單替代效應。
飛索半導體日前驚爆財務危機,原執行長Bertrand Cambou閃電宣佈辭職,雖然飛索後來已指派前科磊(KLA-Tencor)營運長John Kispert出任執行長,但因資金缺口問題仍無法解決,飛索日本子公司昨日正式向東京地方法院提出破產保護申請。
飛索在日本會津若松擁有1座8吋廠及1座12吋廠,是其重要NOR晶片生產重鎮,由於日本子公司有資金缺口,只好申請破產保護,但日本以外的營運據點,包括位於美國德州奧斯汀的8吋廠,及位於泰國、馬來西亞、中國蘇州等地封測廠,仍將繼續營運。飛索也表示,希望日本據點也能維持營運。
飛索昨日也宣佈,準備發行債券籌措6.25億美元資金應急,但若最後仍無法取得足夠資金而倒閉,預料會衝擊其合作夥伴。據了解,飛索日前無法支付封測廠南茂5,700萬美元代工費用,南茂已發出違反協議與主張權利通知,並終止與飛索間的服務合約,還向法院聲請扣押飛索置放於南茂的庫存及設備材料;京元電則已停止與飛索合作。
另外,日月光原與飛索簽訂合作備忘錄(MOU),將併購其蘇州封測廠,但此合作案已先暫停。日月光表示,尚未支付併購金,也還沒簽訂最後合約,所以不會有任何影響。
至於國內NOR供應商旺宏及華邦,近期受惠NOR晶片轉單替代效應,訂單已開始回升,如旺宏1月營收達12.51億元,較12月增加11.3%,華邦電1月營收雖僅9.83億元,較上月減少9%,但NOR晶片需求已見到明顯增溫。旺宏及華邦電均表示,會密切注意飛索財務危機後的NOR晶片轉單替代效應,並會積極爭取客戶轉單訂單。

TOKYO, Feb 10 (Reuters) - The Japanese unit of flash memorymaker Spansion Inc (SPSN.O) said it filed for bankruptcyprotection on Tuesday with total liabilities of $810 million,the latest victim of the chip sector's global downturn.

SAN JOSE, Calif. -- What's next for Spansion Inc.? The troubled company appears to be weighing its options amid reports that it can't pay its tool vendors and that its proposed backend venture in China is falling apart.
On Jan. 15, NOR-flash leader Spansion announced it was exploring strategic alternatives for a sale or merger. Micron, Toshiba and others are possible suitors.
Spansion's CEO stepped down last week. It also announced plans to restructure its balance sheet. Then, this week, the Japanese unit of Spansion said it filed for bankruptcy protection.
In other words, Spansion is in the midst of a crisis. Asked if Spansion would file for Chapter 11 bankruptcy in the United States, as some have speculated, a spokeswoman for the company said: ''Legally, this filing (in Japan) does not automatically require a filing in the U.S. Management is committed to working diligently with outside advisors to help guide the company through the restructuring process. We can't comment on speculation beyond (the Japan) announcement.''
There are also reports that its backend deal in China has fallen through. Spansion and Taiwan's Advanced Semiconductor Engineering Inc. (ASE) recently signed a memorandum of understanding to establish a venture to jointly own Spansion's IC-assembly operations in Suzhou, China.
''Our discussions with ASE continue, but we are unable to provide a date on when the deal may close,'' the Spansion spokeswoman said.
There are other issues. One ATE vendor, Verigy Inc., hinted that its sales were impacted by a non-payment from a customer, reportedly Spansion.
''We have a corporate policy of not speculating or commenting on market rumors,'' the spokeswoman added.
Taiwanese IC-packaging and test house ChipMOS Technologies Ltd. recently delivered a notice of breach and notice of intent to terminate a service agreement with Spansion.
NOR-flash giant Spansion (Sunnyvale, Calif.) currently has an outstanding account receivable with ChipMOS of approximately $57 million of which approximately $18 million is in default, according to the IC-packaging house. ChipMOS provides IC-packaging and test services for Spansion.

UPDATE 2-Verigy cuts Q1 rev outlook, shares tumble

BANGALORE, Feb 9 (Reuters) - Semiconductor testing company Verigy Ltd (VRGY.O) cut its first-quarter revenue outlook, hurt by non-payment for several systems previously shipped to a large memory customer, sending its shares down 15 percent.
"That memory customer, based on our checks, is Spansion Inc (SPSN.O)," Oppenheimer & Co analyst Gary Hsueh told Reuters.
Chipmaker Spansion, weighed down by an enormous debt, is exploring a possible sale of itself as it struggles for survival amid worsening market conditions.
Hsueh said checks suggest that Verigy's total exposure to Spansion is of 20 to 30 systems, each one worth about $1 million to $2 million.
Semiconductor makers around the world are grappling with a near two-year sector downturn, caused by chronic oversupply and weak demand exacerbated by the financial turmoil.
For the first quarter, the company now expects revenue of $66 million to $68 million, down from its prior estimate of $95 million to $110 million.
"The magnitude of the preannouncement was a surprise. However, the fact that they negatively preannounced was not," Hsueh said.
Verigy also said it will report losses that are greater than the estimates included in its previously provided outlook of a net loss of 36 cents to 46 cents a share.
The company said it expects its business to be hurt through at least the first half of calendar year 2009.
Verigy is seeing a much steeper degradation in its fundamental business compared to its closest peer Teradyne Inc (TER.N), the analyst said.
In addition to cost-cutting and restructuring measures announced in the fourth quarter, Verigy is implementing actions including shortened work time, further job cuts and temporary salary reductions.
These actions are expected to yield annual cost savings of about $90 million to $100 million, it said.
The company expects its workforce reduction plans to be substantially completed by the end of calendar 2009.
Verigy is also in the process of evaluating the carrying value of its goodwill, intangible and other assets, which may lead to an impairment charge in the first quarter, it said in a statement. Shares of the company, which competes with Japan's Advantest Corp (6857.T), were down at $8.10 in trading after the bell. They closed at $9.56 Monday on Nasdaq. (Editing by Amitha Rajan)

Travis Co. officials seize Spansion for delinquent taxes

Travis County officials seized the Austin location of Spansion, a California-based flash memory manufacturer, for delinquent property taxes.
The company isn't allowed to move any equipment from the facility until taxes are paid in full.
The total amount due, including taxes, penalty, interest and fees, amounts to $9.5 million.
In November, Spansion anticipated a 20 percent decrease in net sales for its fourth quarter, from its previous quarter. In December they closed the Austin plant for two weeks citing the impact of the worldwide financial crisis as a primary reason.
Spansion employs approximately 1,180 people in Austin.
The company produces memory chips for wireless, automotive, networking and consumer electronics application markets.

Travis County posts unpaid property tax notice at Spansion

Travis County authorities posted tax seizure notes at the Spansion Inc. campus in Southeast Austin Thursday morning because the company did not pay its 2008 property taxes.
“We did go out and perform a seizure on the plant for unpaid taxes,” said Dusty Knight, chief deputy of the Travis County Tax Assessor-Collector’s Office.
Knight said the Travis County Attorney’s office is negotiating with the company for full payment of its property tax bill.
The tax seizure does not prevent the company from operating its business, but it forbids the company and workers from removing taxable property from the buildings.
Knight estimated the company’s tax bill at about $8 million. Spansion has property worth more than $69 million, according to the Travis Central Appraisal District.
In a statement, Spansion said it was surprised by the county’s action, “given the company’s years of service to the Austin community, its long record of promptly paying its taxes and the fact that the company discussed its current tax obligations with the agency.”
The company said it was less than two weeks late with the money, and doesn’t expect any interruption with its business while it continues discussions with county officials.
Spansion, based in Sunnyvale, Calif., is a leading maker of flash memory chips that go into cell phones and other products.
The company’s Fab 25 factory in East Ben White Boulevard is a major production center for the company, which also has extensive operations in Japan.
Spansion’s Japanese subsidiary filed for bankruptcy protection earlier this week, but the company said the filing would not affect its U.S. operations.
Spansion employs about 1,200 people in Austin, but many of those workers are on an unpaid furlough that began before Christmas last year.
Spansion has been under heavy financial pressure, plagued by weak worldwide memory prices and falling demand because of the global business downturn.
Financial analysts have said the company has been seeking to sell the Austin factory at least since last summer.

AUSTIN (KXAN) - Travis County officials seized Spansion's Austin locations for delinquent property taxes Thursday, totaling more than $9.5 million in taxes, penalty, interest and fees. Though the seizure does not hinder the daily business operations, the seizure does prohibit moving any equipment from the facility until taxes are paid in full.
Spansion's Japan location filed for bankruptcy just Wednesday, spurring Travis County officials to act quickly in seeking full payment for the company's delinquent taxes in Austin. Travis County Tax Assessor-Collector Nelda Wells Spears said the tax seizure allowed them to act quickly.
"In this case, our primary concern is the Del Valle School District, which stands to lose $5.6 million in tax revenue," said Spears. "We owe it to Del Valle school children and taxpayers to do everything we can to collect these taxes.”
Travis County Chief Deputy Tax Assessor-Collector Dusty Knight said the Del Valle School District is losing 10 percent of its budget because Spansion failed to pay its taxes. Of the $9.5 million in delinquent fees, $8 million of that amount comes from personal property and $1.5 million comes from real estate. Personal property encompasses any moveable equipment such as desks, computers and fabrication machines.
The following entities are also due taxes:
• Del Valle: $5,636,557.44
• Travis County: $1,314,104.17
• City of Austin: $1,279,035.90
• Austin Community College: $363,329.43
• Travis Healthcare District: $216,466.93
Thursday afternoon, Spansion's director of public relations, Holly L. Burkhart released a statement regarding the tax compliance filing.
"Spansion was surprised by the action of the County Tax Compliance Division today given the company's years of service to the Austin community, its long record of promptly paying its taxes and the fact that the company discussed its current tax obligations with the agency. The payment owed is less than two weeks late. Since 2003, in Austin the Company has paid approximately $34 million in real and personal property taxes. We do not expect any interruption in business operations while we continue our discussions with the tax authorities.
Spansion has never missed a tax payment in the past and is working with the tax authority to resolve the issue expeditiously.
As an active member of the Austin community since 1979, Spansion has always striven to be a model corporate citizen, supporting math and science education in primary and secondary schools, assisting families with basic needs such as food, shelter and health care as well as a number of other community development programs. We recognize the numerous social programs that are funded by large taxpayers like us in the county and take our obligations very seriously.
