Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Scicom is pleased to announce that Scicom, has on 24 October 2018, acquired the entire issued and paid -up share capital comprising 100 ordinary shares of Mauritius Rupees (“MUR”) 1 (approximately RM0.12) each for a total consideration of MUR100 (approximately RM12) in SciSolutions (Mauritius) Ltd (“SML”) (“the Acquisition”). Dato’ Sri Leo Suresh Ariyanayakam and Datuk Joseph Dominic Silva has been appointed as Directors of SML. SML was incorporated in the Republic of Mauritius on 26 July 2018. The principal activity of SML is for the promotion and provision of Scicom’s suite of e-government and BPO services and solutions. The Acquisition will not have any effect on Scicom’s issued and paid- up share capital and substantial shareholders’ shareholdings. There shall be no material effect on the earnings, net assets or gearing of Scicom for the financial year ending 30 June 2019. The Board of Scicom (MSC) Berhad (“the Company”) wishes to inform that the Company received a letter from the Securities Commission Malaysia  (“SC”) by fax on 1 March 2019 informing that the Company will not be listed as a Shariah compliant company securities when the list of shariah compliant securities are announced  on 31 May 2019. The SC letter states that SC had made such decision based on Scicom’s audited financial statement for the financial year ended 30 June 2018 (FYE 2018) where it was found that the percentage of cash placed in conventional bank accounts and instruments over the total assets of the company had exceeded the 33% financial ratio  benchmark set by the SC’s Shariah Advisory council. The Company has taken necessary measures to ensure that the financial ratio is met for the financial year ending 30 June 2019 (FYE 2019) and  in all  financial year end moving forward. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1.         Particulars of the claim under the Suit and the interest rate, if any. 2.         The operational impact of the Suit on SCICOM group. 3.         The estimated potential liability to SCICOM group arising from the Suit.
Reference is made to the query from Bursa Malaysia Securities Berhad dated 26 July 2019, pertaining to the Company's announcement dated 24 July 2019 in relation to Originating Suit Commenced by Education Malaysia Global Services against Scicom (MSC) Berhad. The Company wishes to clarify on the following:- 1. Particulars of the claim under the Suit and the interest rate, if any. The Originating Summons ("OS") was filed by Education Malaysia Global Services (“EMGS”) to enforce Clause 14.3 of the Agreement dated 1 November 2012 entered into between EMGS and Scicom (MSC) Berhad (“the Company”) pursuant to Section 53 of the Specific Relief Act, 1950. Clause 14.3 of the Agreement states the following:- "Notwithstanding anything to the contrary contained herein, the Parties acknowledge and agree that all data whether personal or otherwise captured in the System shall remain the property of EMGS and prior to the expiry or termination of this Agreement, EMGS authorises SCICOM to utilise the data for the sole purpose of facilitating, pursuing and implementing the objectives and intent as set out in this Agreement.  Such data shall be stored and backed-up on secure serves and transmission will be done through encrypted line meeting international security standards at no cost to EMGS.  At the request of EMGS, SCICOM shall prepare and provide extract of the data in the form and manner as may be requested by EMGS including without limitation to student profile reports, volume reports". The Company at no time disputes that all data it collected pursuant to the Agreement is the property of EMGS. However, EMGS takes the position (as pleaded in the OS) that it is inter alia “entitled to full and unrestricted access to all data captured in the System”.  Consequent to that EMGS has appointed KPMG to undertake a detailed audit of the Company’s System. It is our position and based on legal opinion received, that Clause 14.3 does not grant or entitle EMGS to have “unrestricted access” to the Company’s system.  The Company maintains that it is able and willing to “prepare and provide extract of the data in the form and manner as may be requested by EMGS”. 2. The operational impact of the Suit on Scicom Group. As far as the Company is concerned, the OS has no operational impact on it.Under existing protocol, EMGS has access to its data stored in the Company’s system.The performance of the Company’s obligations and duties is not impacted by the OS. 3. The estimated potential liability to Scicom Group arising from the Suit. Although the OS sought general damages and costs to be assessed by the Court, the Company sees no merit or basis for such claims and even if any such claim were to succeed, it would not have a material financial impact on the Company. （吉隆坡13日讯）希世康（SCICOM,0099,主板工业产品服务组）在高税率及低赚幅下，即将公布的全年核心盈利难有好表现，预期今年盈利将下滑34%，拖累派息减少。

艾芬黄氏表示，该公司首3季的核心净利已经下滑了44%，至1590万令吉，归咎于较低的电子解决方案贡献及税务正常化，所幸企业流程外包（BPO）表现较佳，提供了缓冲。

恐影响派息

艾芬黄氏认为，盈利减少的情况下相信希世康今年的股息按年从9仙降低至6.3仙。

展望未来，艾芬黄氏认为，希世康2020及2021财政年的核心净利仍会成长5至6%，主要是来自BPO及电子解决方案业务量的成长。

艾芬黄氏补充，希世康最大客户之一的大马教育环球服务（EMGS），后者国际学生人数将在明年达到20万人。

希世康预期今年攫取的新客户可提高BPO业务。与此同时，一些潜在客户亦能对2020财政年的营业额做出贡献。

此外，该公司也向媒体表示，有望赢得外籍客工合约并竞标其他合约，如移民整合系统（IIS），该合约价值高达10亿令吉，期限为期5年。

未获得相关合约以前，艾芬黄氏并未把这些因素计算在内。艾芬黄氏提醒，希世康与EMGS有官司纠纷，虽然该公司强调此事件不会影响业务，但相信从EMGS的盈利贡献将转向负面。

虽然希世康2019年的盈利遭看淡，但过去一年股价已经下滑了54%，相信盈利下滑因素已经反映在当下股价，因此艾芬黄氏维持“守住”评级及目标价为92仙。
