Acceptance of Letter of Award From Pembinaan Urusmesra Sdn. Bhd. In Respect of the Subcontract Works for the Projek Jalan Semawang Ke Tanjung Kuala Gum-Gum, Sandakan, Sabah Amounting to RM183,288,000.00
1.      INTRODUCTION
         The Board of Directors of Central Global Berhad (“CGB" or "Company”) wishes to announce that RYRT International Sdn. Bhd. ("RYRT International"), a 70% owned subsidiary of the Company had on 28 September 2022 accepted a letter of award from a third-party main contractor, Pembinaan Urusmesra Sdn. Bhd. for the sub-contract works including the supply of plant, machinery, labour and materials required for the construction and completion of a project known as "Projek Jalan Semawang Ke Tanjung Kuala Gum-Gum, Sandakan, Sabah" for a contract sum of Ringgit Malaysia One Hundred Eighty-Three Million Two Hundred Eighty-Eight Thousand (RM183,288,000.00) ("Contract").

2.      DESCRIPTION OF THE CONTRACT
         The detailed scope of the sub-contract works shall comprise but not limited to the following (“Project”):-
         (i)      To construct and complete "Projek Jalan Semawang Ke Tanjung Kuala Gum-Gum, Sandakan, Sabah" namely Environmental Protection and Enhancement, Traffic Management and Control, Demolition and Site Clearance, Earthworks, Geo-technical Works, Precast Reinforced Panel Wall & Pile Embankment, Drainage Work, Road and Pavings, Internal Bridge, Lighting, Access Road for Esscom, and any provisional sum items as may be instructed by Jabatan Kerja Raya Sabah.
         (ii)     To provide, install, dismantle and remove of all temporary structure, machine and equipment, and scaffolding for successful completion of works.
         (iii)    To provide, maintain and remove all preliminary items such as vehicles, office equipment, office, stores and all other items as specified in Bill of Quantities.
The Project shall commence on 14 October 2022 and is estimated to be completed by 13 October 2025.

3.      RATIONALE
The acceptance of the Contract is in the ordinary course of business of RYRT International and will enhance its existing order book.  It is expected to provide an additional stream of revenue and profits to the Group over the next three (3) years.

4.      RISK
There are no foreseeable significant risks other than normal operational risks associated with projects of such nature during the tenure of the Project.

5.      FINANCIAL EFFECT
The Contract will have no effect on the share capital of the Company but is expected to contribute positively to the earnings and net assets per share of the Group for the financial years ending 2023 to 2025.

6.      DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the directors and/or major shareholders of the Company or persons connected to with them have any interest, direct or indirect, in the Contract.

1. INTRODUCTION
The Board of Directors of Central Global Berhad (“the Company”) wishes to announce that the Company’s wholly-owned subsidiary, Proventus Bina Sdn. Bhd. (“PBSB”), had on 17 October 2023 accepted a letter of award from the third-party main contractor, Mahiribu Sdn. Bhd. in respect of the subcontract works such as supplying of plant, machinery, labour and material required for the construction and completion of the “Projek Bekalan Air Luar Bandar (BALB) Sistem Retikulasi Tahun 2018/2019 Negeri Sabah Bahagian Lahad Datu” (“the Contract”). The Contract is for a sum of Ringgit Malaysia Fifteen Million Two Hundred Forty-Two Thousand (RM15,242,000.00) only. The Contract is for a period commencing on 18 October 2023 and ending on 16 April 2025.

2. SCOPE OF THE CONTRACT
The subcontract work shall comprise but not be limited to the following:-
(i) To construct and complete ‘Projek Bekalan Air Luar Bandar (BALB) Sistem Retikulasi Tahun 2018/2019 Negeri Sabah Bahagian Lahad Datu’ namely site clearing, earthworks, piling works, piping works, reservoir, pumping system and any provisional sum items as instructed by the employer, Kementerian Kemajuan Desa Dan Wilayah (KKDW).
(ii) To provide, install, dismantle and remove of all temporary structures, machines and equipment, and scaffolding for successful completion of works.
(iii) To provide, maintain and remove all preliminary items such as vehicles, office equipment, office, stores, and all other items as specified in the Bill of Quantities.

3. RATIONALE
The acceptance of the Contract is in the ordinary course of business of PBSB and will enhance the existing order book and is expected to provide a steady stream of revenue to the Group over the next one and a half years.

4. RISK
Other than risks that may arise from the uncertainties of the Covid-19 pandemic, there are no foreseeable significant risks other than normal operational risks associated with the project during the project period.

5. FINANCIAL EFFECT
The Contract will have no effect on the share capital of the Company but is expected to contribute positively to the earnings and net assets per share of the Group for the financial years ending 2023 to 2025.

6. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the directors and/or major shareholders of the Company or persons connected with them have any interest, direct or indirect, in the Contract.

Remarks :
The Board of Directors of Central Global Berhad ("Company") has approved the change in financial year end ("FYE") of the Company from 31 December 2024 to 30 June 2025. The next audited financial statements will be made up for 18 months from 1 January 2024 to 30 June 2025. The subsequent FYE shall be 30 June for the following years. The change of financial year end is to allow the Group to have better management and coordination of resources to enhance its business operations and reporting.

ACQUISITION OF PROPERTY BY RYRT INTERNATIONAL SDN. BHD., FOR A TOTAL CASH CONSIDERATION OF RM19.5 MILLION
The Board of Directors of Central Global Berhad (“CGB” or “the Company”) wishes to announce that the Company’ wholly-owned sub-subsidiary, RYRT International Sdn. Bhd. had on 1 October 2024 entered into a sale and purchase agreement with Sribina Resources Sdn. Bhd. for the purchase of a 4-storey office and showroom located at Lot 12, SEDCO Industrial Estate, Lorong Tomato, Jalan Kolombong, 88450 Kota Kinabalu, Sabah held under Title No. CL015379576, District of Kota Kinabalu measuring approximately 48,690 square feet at a total cash consideration of Ringgit Malaysia Nineteen Million Five Hundred Thousand (RM19,500,000.00) only.

Description
ACQUISITION OF PROPERTY BY RYRT INTERNATIONAL SDN. BHD., FOR A TOTAL CASH CONSIDERATION OF RM19.5 MILLION - ADDITIONAL INFORMATION

Further to our announcement made on 1 October 2024, the Board of Directors of Central Global Berhad ("CGB" or "the Company") wishes to provide additional information in relation to the Acquisition.

Unless otherwise stated, the terms used in this announcement shall carry the same meanings with the terms used in our announcement dated 1 October 2024.

The additional information on the Acquisition is as follows:-

1. The purpose of the Acquisition is:-

(a) Acquiring the Property is part of the overall strategy of increasing the Group’s profile as one of the leading construction group in East Malaysia (specifically in Sabah). As the group is expected to expand its presence in East Malaysia, the group is expected to employ additional employee which would require bigger office space.

(b) To cross-sell and expand the presence of Central Industrial Corporation Berhad ("CICB")’s products by stocking its products in the Property. CICB is a wholly owned subsidiary of CGB, with its manufacturing plant in West Malaysia, i.e. Sungai Petani, Kedah. CICB is a public company and not listed on Bursa Malaysia Securities Berhad.

Presently, it takes approximately 6 to 8 weeks for the products of CICB to be delivered to East Malaysia, namely Kota Kinabalu from CICB’s manufacturing plant in Sungai Petani, Kedah. Using this Property partly as a warehouse to store CICB’s products in East Malaysia is anticipated to improve the logistic management and expansion of CICB’s products in East Malaysia.

(c) To be the headquarter/ warehouse/ storehouse for our vehicles/ machineries for our on-going and completed construction projects. For projects that are completed, we would require a proper storage place for the machineries which cannot be redeploy or used in other projects.

2. The valuation on the Property was undertaken by Azmi & Co (Sabah) Sdn. Bhd. (“Valuer”) with the inspection on the Property carried out by the Valuer on 8 May 2024 and the Valuation Report was dated 16 August 2024. The Valuer has undertaken contractor’s test valuation method on the Property. Further, the Valuer has also considered the value derived against the general level of values transacted as a check on the overall magnitude of the valuation in carrying out its valuation method.

3. The Property was built in 2011 and presently, it is approximately 13 years old.
