-Letter of appointment (“LOA”) received from Perusahaan Otomobil Nasional Sdn Bhd (“PONSB”) by ManagePay Services Sdn Bhd (“MPSB”), a wholly-owned subsidiary of ManagePay, in relation to the appointment of MPSB as its vendor for supply of taxi credit card terminals for certain PROTON models | We refer to the announcement dated 28 January 2014 pertaining to the subject matter. The terms herein shall bear the same meaning as defined in the said announcement.
The Board of Directors of ManagePay wishes to provide additional information on the duration of period of the appointment by PONSB, as requested.
The LOA commenced on 1 July 2013 and shall expire or terminated by MPSB or PONSB upon the occurrence of any of the events set out below, whichever is earlier:-
a) is unable to pay its debts generally as the same become due; or
b) any action is commenced against it for liquidation, dissolution or bankruptcy; or
c) if a trustee or receiver shall be appointed with respect of its assets; or
d) if it makes any form of compromise or scheme of arrangement with its creditors; or
e) ceases to carry on business; or
f) if MPSB or PONSB commits any events of defaults as stipulated under the LOA.
Without prejudice to any other rights of PONSB, if PONSB is satisfied that MPSB, or any of its servant, agent or employee is involved in corruption, illegal activity, dishonesty or unethical practices in relation to the LOA, PONSB shall be entitled to terminate the LOA at anytime by giving written notice to that effect to MPSB.
PONSB shall also be entitled to terminate the LOA by issuing to MPSB one (1) month notice in writing in the event PONSB is of the view that:
a) the supply and delivery of the taxi credit card terminals are not to the satisfaction of or up to the standard required by PONSB;
b) MPSB does not fulfil and discharge its obligations in accordance with the terms and conditions of the LOA.
PONSB shall have the right to terminate the LOA for any reason whatsoever, by giving thirty (30) days written notice to MPSB prior to the proposed date of termination.

e-Money is a digital equivalent of cash, stored on an electronic device or remotely at a server. e-Money systems for retail transactions are commanding widespread attention. Such systems, wherein neither legal tender, nor paper checks, nor credit-card numbers change hands at the time of purchase, have begun to spread across the world and particularly in most developed nations (e.g. Google Wallet, Paypal and Alipay). Such systems offer an alternative mode of payment for consumers to pay for goods and services.
The ManagePay Group intends to invest into the development of e-Money technology that will enable users of such system to purchase e-Money from an issuer. The ManagePay Group will develop such system and provide support services to parties which intend to become issuers. Users of e-Money will be able to utilise the e-Money at approved merchants. In such cases, approved merchants may range from being online or offline major retailers who issue gift cards, payroll cards, travel cards and privilege cards. In turn, such approved merchants may subsequently redeem the e-Money into cash.
The Board is of the belief that with its existing expertise and technology in electronic payment systems, the Group will be able to tap into a relatively new e-Money market in Malaysia and to actively promote and grow this payment segment in Malaysia by developing e-Money systems to support the wider usage of e-Money.

盟汇集团标TRF计划 联营伙伴成大股东
二零一四年二月十一日 晚上七时三十五分
（吉隆坡11日讯）与盟汇集团有限公司（MPAY，0156，创业板）联手竞标政府游客退税计划（TRF）的eTRS GTF系统私人有限公司，预料将崛起成为盟汇集团的大股东之一。
由土著拥有的eTRS，联手盟汇集团和韩国Global Tax Free有限公司，已在去年12月设立Managepay GTF私人有限公司，持股比例为20%、50%和30%，并提呈一份标书，潜在在首个经营年带来5000万令吉的联营收益。
这项计划旨在我国于2015年4月实施消费税后，让海外游客为在马来西亚购买的商品退税。
据悉，eTRS将透过认购盟汇集团建议中私下配售的新股，晋身成为后者大股东。
在致给大马交易所的文件中，盟汇集团称，它将着手一项私下配售高达10%股票，予较后鉴定的第三方土著投资者。基于每股15.6仙发售价，建议中私下配售预料可筹措857万令吉。这笔资金将用于投资在电子货币系统。
eTRS董事YT Loh已证实，该公司将持有盟汇集团的重大股份。

On behalf of ManagePay, we set out below the additional information regarding the Proposed Private Placement as requested by Bursa Malaysia Securities Berhad for public release:
1. The e-Money Project (as defined in the announcement dated 7 February 2014 means the development of technology of the e-Money systems) is expected to commence in the first (1st) quarter of calendar year 2014 for a period of twenty-four (24) months. The estimated total costs of development pertaining to the e-Money Project is approximately RM5.711 million as illustrated under the Minimum Scenario as disclosed in the announcement. Nevertheless, the Board has taken into consideration that should there be any excess of proceeds to be raised from the Proposed Private Placement as in the case under the Maximum Scenario as disclosed in the announcement, such amount of proceeds will be apportioned accordingly to capital expenditure and other operating expenses in relation to the e-Money Project. Apart from the proceeds to be raised from the Proposed Private Placement, the Company intends to fund the e-Money Project via bank borrowings and/ or internally generated funds as an alternative source of funds.
2. The breakdown of each components of other operating expenses such as staff salaries, data centre hosting services and office rental and utilities in relation to the e-Money Project is not determinable at this juncture.
3. The ManagePay Group will be able to derive income from the e-Money Project mainly from charging of hosting fees for its provision of e-Money systems developed by the Group, software customisation services fees, and commission and transaction fees for transactions involving the use of its e-Money systems.
4. The ManagePay Group intends to provide its services and e-Money system to potential issuers of e-Money, which will mainly be business entities which intend to conduct electronic sales transactions (i.e. no requirement for exchange of cash) which may come in the form of gift cards and cash cards.

（吉隆坡19日讯）随着持股权增至9.09%，ETRS GTF系统私人有限公司崛起成为盟汇集团（MPAY，0156，创业板）的大股东。
盟汇集团向马交所报备，ETRS GTF系统于本月13日通过私下配售活动认购前者的3660万6200股，从而成为直接持股9.09%的大股东。
另外，盟汇集团也宣布，其独资子公司ManagePay服务私人有限公司以250万令吉，向大马家具商工会（PPM）收购一块包含3层店办公室的永久地契土地，以及该产业内的所有家具。
同时，ManagePay服务也以40万令吉，脱售上述家具给黄业坤（译音）。
盟汇集团指出，上述收购交易预计在今年第三季完成，它将通过内部基金和银行贷款（由ManagePay服务贷款）融资这收购活动。【南洋网财经】

盟汇联营游客退税

（吉隆坡9日讯）盟汇集团（MPAY，0156，创业板）与韩国GlobalTax Fee公司（简称GTF）及eTRS GTF系统私人有限公司签署协议，联合成立ManagePay GTF私人有限公司。
盟汇集团是通过子公司ManagePay服务私人有限公司，与上述两家公司签约。
盟汇集团披露，该联营公司是游客退税计划（TRS）的核准退税代理，主要是从核准商店及海关的商品与服务税退税验证柜台，取得销售交易资讯。
