earn per share= EPS,  市场上发出的股票除于赚到的钱就是eps.你是上网交易股票的么?如果是可以点击查询的

暂时不是,我用电话note3都下载不到hle ebanking可以上网买卖的软件,我就用最古老的方式打电话咯,那多少才算值得如何评姑,一只股如果是上涨了,多少才该放手要如何盘断,方便过两招让我学一点吗,谢谢你。

IRIS CORPORATION BERHAD’S SALE OF 11,257,000 ORDINARY SHARES AT PAR VALUE OF RM1.00 EACH IN EPOCH ENERGY TECHNOLOGY SDN BHD (“EPOCH”) REPRESENTING 70% EQUITY INTEREST IN EPOCH FOR A TOTAL CASH CONSIDERATION OF RINGGIT MALAYSIA THREE MILLION (RM3,00,000.00) ONLY UNDER A SHARE SALE AGREEMENT DATED 2ND JUNE, 2014

  • INTRODUCTION

The Board of Directors of IRIS Corporation Berhad (“ICB”) wishes  to announce that it has on 2nd June, 2014 entered into a Share Sale Agreement  (“Agreement”) with ARMADA SETIAJAYA SDN.BHD (Company No: 1090617) for the sale of 11,257,000 ordinary  shares (“Sale Shares”) in its subsidiary EPOCH ENERGY TECHNOLOGY SDN BHD for a total cash consideration of Ringgit Malaysia Three Million (RM3,000,000.) only. (“Purchase Price”).

2. INFORMATION ON EPOCH ENERGY TECHNOLOGY SDN BHD (‘EPOCH”)
EPOCH ENERGY TECHNOLOGY SDN BHD (Company No: 939976-X) is a company duly incorporated under the laws of Malaysia having its place of business at No 9 & 11, Jalan Shamelin Niaga 1, Shamelin Heights Business Park, Taman Shamelin Perkasa, 56100 Kuala Lumpur and is in the business of providing products, maintenance and solutions for carbon cleaning system.

EPOCH has an authorized capital of RM25,000,000 divided into 25,000,000 ordinary shares at the rate of RM1.00 each and a total paid up of RM16,081,400 to this date hereof. IRIS is the beneficial and registered owner of 11,257,000 ordinary shares of RM1.00 each representing 70% of EPOCH shareholdings, Primary Concept Sdn. Bhd. 1,624,100 ordinary shares representing 10.1%and Epoch Energy Technology Sdn. Bhd. the remaining 3,200,300 representing 19.9% totalling to the total paid up capital of EPOCH.

With the completion of the sale under this Share Sale Agreement EPOCH will cease to be a subsidiary of the IRIS Group.
The Present Directors of EPOCH  are:-
  • Datuk Tan Say Jim (Malaysian)
  • Dato’ Lee Kwee Hiang (Malaysian)
  • Mr Lin Wen Chang (Taiwanese)



3. SALIENT TERMS
The salient terms in the Agreement are as follows:-
(I)   ARMADA agrees to pay IRIS  a  the total Purchase Consideration for the Sale Shares to the amount of RM3, 000,000 in the agreed manner as described below and subject to and in accordance to the terms and conditions of this Agreement .

3.2 Notwithstanding the purchase of the Sale Shares, ARMADA has herein agreed and undertaken to convert inter-company advance payments made by IRIS to EPOCH to the amount of RM3,700,000.00 (Ringgit Malaysia Three Million and Seven Hundred Thousand) only into Non-Convertible Redeemable Preference Shares with a 5 year maturity period which shall be redeemed upon its maturity. The total number of shares to be issued shall be Three Million and Seven Hundred Thousand NCR shares. The undertaking and conversion of the Non-Convertible Preference Shares shall take effect from the date of the Agreement hereof.

3.3 Parties agree that IRIS shall deliver vacant possession of the one (1) unit of warehouse in Klang described as Lot. 9, Lengkungan Sultan Hishamuddin, Kawasan 20, Selat Klang Utara,42000 Port Klang, Selangorto ARMADA “the said Premises”) by or before 1st June 2014. The rental for the said Premises upon presentation of invoice by EPOCH  is Ringgit Malaysia Four Thousand Five Hundred (RM4,500) only and all EPOCH’s business shall thereafter be transferred to ARMADA with immediate effect.

4. FINANCIAL EFFECTS OF THE SALE OF SHARES
The sale of the Sale Shares will not have any material effect on ICB’s earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholdings for the financial year ending on 31stMarch 2015.


6. APPROVAL REQUIRED
The sale of Sale Shares is not subject to the approval of the shareholders of ICB or any relevant government authorities.

7.  RATIONALE OF THE AGREEMENT
The proposed disposal will enable the ICB Group to realise the value of its investments and is line with the its overall objective to dispose of its non-core assets and to streamline its operations.

8. PROPOSED UTILISATION OF PROCEEDS
The proceeds from the transaction will be utilised as working capital of the ICB  Group.

9. APPROVAL REQUIRED
The proposed disposal is not subject to the approval of the shareholders of  ICB.

10. DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTEREST
None of the directors and substantial shareholders of the Company, or persons connected with them, have any interest, direct or indirect in the above transaction.

11. STATEMENT OF DIRECTORS
The Directors of ICB, having considered all aspects of the disposal, are of the opinion that the transaction is in the best interest of the Company.

12. DEPARTURE FROM THE SECURITIES COMMISSION’S GUIDELINES
To the best knowledge of the Board, the transaction has not departed from the Securities Commission’s Policies and Guidelines on Issues/ Offers of Securities.

13. DOCUMENTS FOR INSPECTION
The Agreement shall be available for inspection at the registered office of ICB during office hours at Level 18, The Gardens North Tower, Mid Valley City, Lingkaran Syed Putra, and 59200 Kuala Lumpur for a period of three (3) months from the date of this announcement .

1. INTRODUCTION
The Board of Directors of IRIS Corporation Berhad (“ICB”) is pleased to announce that IRIS Corporation Berhad Consortium, a joint venture consortium consisting of ICB and Grand Technology Resources & Computer Source Limited (“GTR”) had entered into a Contract Agreement (“Contract”) for a term of 18 months with The People’s Republic Of Bangladesh, Department Of Immigration & Passports(“DIP”)on 11th June, 2014pursuant toa tender – [Tender/MRP-MRV/establishment/tender-MRP/8-02/2013/236] for the collection of Machine Readable Passport (MRP) enrolment data and related services incidental to and distribution of MRP among Bangladeshi citizens at sites in United Arab Emirates (“UAE”).

The total value of the Contract Agreement is approximately United States Dollars Ten Million Four Hundred Thousand (USD10,400,000) [equivalent to RM33,519,200] at the rate of USD 13.00 per MRP. (equivalent to approximately MYR41.90) based on the exchange rate of USD1 : MYR3.223 as at 16th June, 2014).

2. SALIENT TERMS
2.1 The Contract Agreement consists of :-
(i) the Form of Contract (execution page);
(ii) The letter of Invitation to the Consortium for completing the formalities for signing the Contract Agreement;
(iii) Acceptance of the Consortium for completing the formalities for signing the Contract Agreement;
(iv) The Particular Conditions of Contract (PCC);
(v) The General Conditions of Contract (GCC);and
(vi) Appendices 1 to 6.

2.2 There are no bank guarantees for advance payments and no cost estimates.

2.3 The period/term for the completion of the Contract Agreement is 18 months and shall commence from the Effective Date (from the date of the Contract Agreement).

2.4 The Consortium will provide the services which include the collection of applications, biometric data and delivering personalized MRPs (Enrolment Data) and other related services incidental to and distribution of MRP among Bangladeshi citizens at the Sites in the UAE (4 Application Processing  Centres) and 1 Centralized Management Centre. The Sites will be supervised, controlled and administered by officer from DIP and the Consortium which will provide its expertise and supervise on all Technical matters.

2.5 Total number of applicants (Appendix 1-Description of Services to be provided by Second Party) is approximately 800,000 MRPs at the rate of USD13.00 per piece.

2.6 Payments shall be made by DIP in line with the agreed-on outputs on a monthly basis on accurate enrolment and delivery of the passport to the applicant subject to the submission of the bill by the Consortium and acceptance by designated officer of the Embassy and DIP jointly.

4.  SOURCES OF FUNDING
The implementation of this Contract Agreement will be funded by internally generated funds and bank borrowings.

5. RISK FACTORS
Project Risk
The implementation of the Contract Agreement may be subject to unavoidable delays which may arise from non-compliance of specifications and capabilities pursuant to the performance parameters or unanticipated difficulties in setting up of the Sites and undertaking the operations in a foreign jurisdiction. However delays may then affect the profit margins of ICB as time shall be spent to resolve arising issues and will delay the recognition of revenue. Notwithstanding the above, the ICB Group will seek to limit the risks involved through prudent financial management and efficient operating procedures.

Political, Economic And Regulatory
The political, economic and regulatory stand of  DIP as our client at the date of this Contract Agreement is deemed stable, however the ICB Group shall take necessary precautions to mitigate any risk that may arise if need be during the performance of this Contract Agreement.

6. FINANCIAL EFFECTS OF THE CONTRACT
The Contract Agreement will not have any material effect on the issued and paid up share capital, substantial shareholder’s shareholding, earnings, earnings per share, net assets per share and gearing of the ICB Group. Barring unforeseen circumstances, the Board is of the opinion that the Contract Agreement will contribute positively to the earnings and earnings per share of the ICB Group for the next financial year 31 March 2015

7. APPROVALS REQUIRED FOR THE IMPLEMENTATION OF THE  CONTRACT AGREEMENT
This Contract Agreement is not conditional on the approval of ICB’s shareholders or any relevant agencies of the Government of Malaysia or any other jurisdiction.

8. DIRECTORS AND MAJOR SHARE HOLDERS INTERESTS
None of the directors, major shareholders, and persons connected with the directors or major shareholders of ICB have any interest, direct or indirect in the Contract Agreement.

9. STATEMENT OF DIRECTORS
The Board, after having considered all aspects of the Contract Agreement and given that ICB  has already established an excellent relationship with DIP on its existing contract for the Introduction of Machine Readable Passport (MRP) and Machine Readable Visa (MRV) in Bangladesh [Tender No: MRP-MRV/Estb/Tender-MRP/8-01/09,  the Board is of the opinion that the Contract Agreement is in pursuance to its core business, Trusted Identity, is indeed in the best interest of the ICB Group.

10. COMPLIANCE WITH THE SECURITIES COMMISSION’S POLICIES AND GUIDELINES ON ISSUE/OFFER OF SECURITIES
The Contract Agreement does not depart from the Securities Commission’s Policies and Guidelines on Issue/Offer of Securities.

11. PERCENTAGE RATIOS AS PER SECTION 10.02 (G) OF LISTING REQUIREMENTS  OF BURSA MALAYSIA SECURITIES BERHAD
The highest percentage ratio applicable to this Contract Agreement is 7.33%

12. DOCUMENT FOR INSPECTION
The Contract Agreement shall be available for inspection at the registered office of ICB during office hours at Level 18, The Gardens North Tower, Mid Valley City, Lingkaran Syed Putra, and 59200 Kuala Lumpur for q period of three (3) months from the date of this announcement.

Reference is made to the Company’s earlier announcement dated 16 June 2014 (“Earlier Announcement”). The Board of Directors IRIS Corporation Berhad ("the Company") wishes to further announce the following information regarding the Earlier Announcement.

1.        The form of Consortium

This is a Consortium between IRIS and Grand Technology Resources & Computer Source Limited("GTR") pursuant to the tender requirements of the Bangladesh Government. The Joint Venture will not be in the form of a company (incorporated or otherwise).

2.        Profit and cost sharing arrangement

The Consortium will not be sharing the profits and the costs.Each member will be paid out by the Consortium in accordance to the scope of works invoiced.

3.        The responsibilities of the Consortium members

The Contract Agreement is executed between the Government of Bangladesh with IRIS Corporation Consortium. IRIS will contract out the scope of works to the Consortium members via a Partnership Agreement enclosing schedules of Scope of Works, Implementation Plan and Price and Payments. The obligations and responsibility of GTR and IRIS will be pursuant to the scope of work in the Partnership Agreement to be entered into upon finalization,which will be announced once it is entered into.

巴布新几内亚土地纠纷 艾力斯表不知情

(吉隆坡30日讯)艾力斯(IRIS,0010,创业板)澄清《Focus Malaysia》日前的报道,指公司对于Alvery资源公司于巴布新几内亚土地转租给第三方的事宜并不知情。

艾力斯向马交所报备,公司于4月14日与Alvery资源公司签署联营合约,以在巴布新几内亚面积达10万公顷的土地,进行伐木活动。

“相关合作条件、转租详情和土地伐木批准等细节,均列明在联营合约中。”

该公司指出,Alvery目前正在进行精密审核,待此结束后双方才会签署正式的有条件联营协议。

当签署有条件协议后,早前签署的合约将自动终止,但在此之前,相关合约依然具有效用。

艾力斯重申,对于该土地经由业主转租予第三方的事宜并不知情,因为该公司依赖Alvery所提供的资讯以及给予保证,因此,对于巴布新几内亚的第三方,针对相关土地业主采取的法律行动事宜也不知情。

该公司指出,将会向巴布新几内亚土地与实体筹划局和土地注册局,跟进土地转租予Musa Century公司的详情,同时,在联营合作进度取得进展时,将向马交所报备。【南洋网财经】

Pursuant to an article on page 9 of Focus Malaysia entitled “HITCH IN IRIS ‘ TIMBER-LOGGING PLAN’ , the Board of Directors of IRIS Corporation Berhad (“the Company”) wishes to clarify the following:-

The Company had on 14th April, 2014 entered into a Joint Venture Agreement (“Agreement”) with Alvery Resources Limited (“ALVERY”) a company incorporated in Papua New Guinea for the proposed development of 100,000 hectares land in Portion 17C, Oro Province of Papua New Guinea. The Agreement is at all material times subject and conditional upon the fulfilment of several Conditions Precedent as enumerated in our announcement dated 14thApril 2014 primarily on the validity of the sublease and approvals on the proposed 100,000 hectares of land.

The Company did not have any knowledge whatsoever that the Subleased Land (100,000 hectares) was already subleased by the Proprietors to any third party as it relied on the representations and warranties of ALVERY and agreed to enter into a  Conditional JV agreement pending the completion of a legal due diligence which is currently on going. The Agreement terminates automatically in the event it remains conditional and the Subleased Land is not free from all/or any encumbrances (where the JV does not acquire a clean and valid sublease from the Proprietors).

The Company is being advised from time to time by the authorities in the Department of Lands and Physical Planning, Office of Registrar of Titles of Papua New Guinea on the legality of the Subleased Land to Musa Century Ltd and will inform Bursa upon receipt of conclusive information on the status of the JV .

The Company has no knowledge whatsoever about any legal action being taken by any third party in Papua New Guinea with regards to the Subleased Land and confirm it is not a party to any such suits.
