KUALA LUMPUR: Jotech Holdings Bhd has acquired a 40% stake in British Virgin Islands-based Rockhill Resources Ltd (RHR) for US$2 million (RM7.4 million), a deal which marks its  diversification into coal mining.

Jotech, which fabricates metal stamped parts and components for electrical and electronic appliances, had entered into a conditional sale and purchase agreement with Concord Alliance (HK) Ltd to acquire the stake in RHR, it told Bursa Malaysia yesterday.

"The proposed acquisition is expected to diversify the future income stream of the Jotech Group of companies to include exploration and extraction of coal mining.

"With the guaranteed profit as part of the terms of the proposed acquisition, the group would be assured of future earnings contribution from RHR," Jotech said.

Based on Jotech's intended 40% stake in RHR, Jotech is expected to fork out another US$400,000 to finance RHR's capital expenditure, and working capital needs. The  proposed acquisition is expected to be completed in the second quarter of 2009.

Jotech to raise capacity in Indonesian, Chinese plants

PRECISION stamping firm Jotech Holdings Bhd( 7104) will spend some RM10 million over the next two years to bolster capacity in its Indonesian and Chinese plants, due to an increase in customer base.

"There is a need to expand our production capacity as (precision stamping) will be our main revenue and profit driver for the next three years," Jotech chief financial officer Leong Lup Yan told Business Times after the group`s annual general meeting in Petaling Jaya yesterday.

The group plans to increase its high tonnage machinery in its Chinese plant to cater for demand from a widening customer base.

"Our Indonesian plant has seen a growth of 10 to 20 per cent, while the Chinese plant has seen higher growth. We are already operating at full capacity, but orders continue to come in," said chief executive officer Alan Lim, adding that domestic demand in China remains strong.
Jotech provides precision stamping to various industries such as construction, automotive, electrical and electronics and medical.

"Since precision metal stamping is bulky, proximity between the supplier and recipient is important," Lim added.

Leong said the group was cautiously optimistic about its 2009 outlook, as orders have begun to strengthen.

"There was a slowdown at the start of 2009 and our first quarter revenue declined on a year-on-year basis. But it seems to have rebounded in the second quarter," he said.

For its financial year ended December 31 2008 (FY08), the group posted a net profit of RM1.1 million on a revenue of RM119.9 million.

Of its revenue, 55 per cent came from Malaysia, 37 per cent from Indonesian and seven per cent from China.

Meanwhile, Jotech expects its recent venture into the coal mining extraction business in Indonesia to start contributing next year.

In March, the company acquired a 40 per cent equity stake in Rockhill Resources Ltd to diversify its future income stream and capture the strong upside of coal prices when demand recovers.

Jotech has a profit guarantee of not less than US$2 million (RM6.98 million), from the start of the commercial sales of the coal to the financial years ending in December 31 2012.

Executive chairman Datuk T. C. Goh also said the group is open to venturing into new businesses as it had cash and short-term fund placement reserves of RM32.9 million as at FY08.
