（吉隆坡19日訊）近期股價異常大熱飆升的麗鴻（LAYHONG，9385，主要板消費），今日一度飆升66仙或8.4%至8.50令吉，創下歷史新高水平，遭馬證交所發出“異常交易活動”（UMA）質詢。

麗鴻平盤以7.84令吉開盤，一度勁揚66仙或8.4%至8.50令吉，股價刷新紀錄，並以8.49令吉掛休；半日成交量11萬4300股。該股午盤升勢漸退，閉市報8.49令吉，起65仙，為10大上升股，成交量16萬2600股。

該公司自本月8日宣布，與NH食品有限公司（NH Foods Ltd）簽署股權脫售協議（SSA），讓后者以每股5.81令吉價格，認購公司配售的525萬股或9.09%股權以來，股價便明顯飆高。

與月初的6.40令吉計算，該股月初至今已攀高2.09令吉或33%。

基于麗鴻在未有特別活動下，股價近期異常攀升，遭馬證交所發出質詢，必須提供可能影響股價走勢的最新企業發展。

麗鴻晚間回覆質詢說，在諮詢董事和主要股東后，公司除了上週一（11日）、上週三（13日）及上週五（15日）向馬證交所報備的宣布，未有留意到其他可能涉及公司貿易活動的報導和傳言、也沒有進展中可能導致股價波動的洽談，同時也符合大馬交易所9.03上市條例。

該公司上週宣布，針對私下配售給NH食品有限公司的股權，定價每股5.81令吉。

日本火腿增持麗鴻至22.94%

（吉隆坡21日訊）麗鴻（LAYHONG，9385，主板消費品組）新大股東日本火腿集團（N H Foods Ltd.）將增購該公司股權至22.94%。

根據日本火腿集團在東京交易所發出的文告，該公司已在今日簽約，預定在1月27日取得這批股權，到時其股權將從目前的525萬股（9.09%），增加800萬股至1千325萬股，相等於22.94%股權。

上週日本火腿集團是以最高3千零50萬2千500令吉，相當於每股5令吉81仙價格認購麗鴻新股，較過去5天加權平均價折價10%，也比麗鴻公佈計劃前最後掛價6令吉75仙折價13.9%。

探討進軍海外

另外，麗鴻也正探討和火腿集團合作進軍海外市場。

而在本週二，麗鴻股價繼續離奇飆高，6個交易日累積近26%漲幅，迫使大馬交易所再發不尋常交投（UMA）文告質詢，惟麗鴻回應時強調毫不知情。

該股當日勁揚65仙或8.29%，是全場第二大漲幅股，終場掛8令吉49仙，惟成交量平平，全天只有16萬2千600股易手。

麗鴻在答复交易所質詢時，強調除過去幾天所公佈的企業消息外，公司再無隱藏其他重大企業發展，也沒有聽到任何傳言，無法解釋公司股價為何飆漲。

如今顯示，其股價狂飆，極可能與日本火腿集團有意增持股權有關。（星洲日報／財經）

每股5元场外购13.8% NH Foods 增持丽鸿至22.88%

（吉隆坡22日讯）丽鸿（LAYHONG，9385，主板消费产品股）今日证实，大股东日本NHFoods周四在场外，以每股5令吉收购800万股或13.8%股权。

该售价相等于丽鸿周四闭市价8令吉的折价37.5%。

在收购该批股权之后，NH Foods如今的持股率将从原本的9.08%，提高至22.88%。

由此，NH Foods不但可在公司拥有高度影响力，还能根据持股比例，把投资所得纳入账目上。

早前《星报》引述消息透露，尽管NHFoods刚在近期崛起为大股东，但丽鸿依然很受国际业者青睐，持续收到缔结合作的献议。

国际业者锁定小家禽商

这些国际食品业者正锁定小型，但发展良好的家禽公司，来展开合作，从而能够更快速地扩展业务。

“从科技来看，丽鸿和潮成集团（TEOSENG，7252，主板消费产品股）是国外企业看好的目标，其中，丽鸿不仅拥有强劲的NutriPlus品牌，还能出口鸡蛋到新加坡，并具备鸡蛋相关专才。”

消息称，NutriPlus是我国顶尖的品牌之一，因此，NH Foods或其他潜在伙伴可借助该品牌，出口到我国和新加坡市场。

此外，另一家家禽公司CAB机构（CAB，7174，主板消费产品股），共有878万股或5.83%股权，于周二（19日）在场外易手，售价为每股1.68令吉。

消息相信，这批股权的买家，就是印尼三林集团（Salim Group）旗下KMP投资公司。【南洋网财经】

（吉隆坡2日讯）丽鸿（LAYHONG，9385，主板消费产品股）建议一连串企业活动，包括以1送1比例，送出红股回馈股东。

丽鸿在闭市后发文告指出，该公司建议通过送红股活动，发出高达6641万2500股新股。

同时也建议将每股股票，拆细成5股面值20仙的新股。随后，则建议以2送1比例，送出高达3亿3206万2500张免费凭单。

丽鸿集团执行董事叶佐豪，通过文告表示，这主要为了回馈忠诚的股东。

“每位股东所握有的1股股票，最终将变成10股股票和5张免费凭单。我们希望提升股票流通率，并且为公司带来更多参与其中的投资者。”

他续称，再加上NH食品有限公司崛起成为新股东，都将是丽鸿创造更大的股东价值和更好回酬的部分努力。

同时，也放眼通过善用NH食品的经验，推动营业额和盈利增长。

股价再飙近10% 马交所警惕投资者

在4个月内3度接不寻常市场交易（UMA）质询的丽鸿，今日股价再飙涨10.13%，促使大马交易所今日发出投资警惕。

丽鸿今日最高曾涨至9.16令吉，而后在闭市时收报9.13令吉，扬84仙，或10.13%。

该股在半年前，还处于不到4令吉的价位，如今可说是飙涨近两倍。

马交所早前发文告指出，丽鸿在去年10月2日、11月2日，以及今年1月19日，都接到异动质询，而且每次都回应称不知道异动的原因。

“马交所建议投资者，谨慎且慎重地进行丽鸿股权交易。马交所不排除会采取任何适当的监管行动，确保交易公平和市场秩序。”

值得注意的是，大股东日本NH Foods在上月21日时，也在场外以每股5令吉，收购800万股或13.8%股权，将持股率提高到22.88%。【南洋网财经】

（吉隆坡5日讯）丽鸿（LAYHONG，9385，主板消费产品股）正式与OCR公司（OCR，7071，主板消费产品股）签署协议，以850万令吉收购泰国TakasoSC（简称TSC）。

回顾去年10月，该公司当时宣布，将以900万令吉收购TSC。

如今，收购价已被调整至850万令吉。

根据文告，TSC目前是家冬眠公司，当初成立是为了经销和营销橡胶相关产品，及制造与经销食品业务。

同时，该公司也在宋卡（Songkhla）拥有一座产业，当初是以289万7925令吉买下。

丽鸿表示，上述收购是拓展鸡肉加工和海外加工业务的计划之一，预计可贡献2017财年起的营业额、净利和现金流。

（吉隆坡23日訊）雞蛋售價與銷量雙跌，麗鴻（LAYHONG，9385，主要板消費）截至12月底2016財年第3季，淨利按年下挫34%至415萬令吉。

麗鴻向馬證交所報備，第3季淨利降低34%至415萬令吉；營業額減少8%至1億6338萬令吉。

根據報備文件，更低的雞蛋銷量和售價，影響該公司的家畜業務表現。

再者，消費稅影響消費意願，超市零售業務表現同樣受打擊。

該公司首9個月淨賺1528萬令吉，比去年同期高出8%；營業額萎縮3.5%，錄得4億8268萬令吉。【中国报财经】

上述联营公司——NHF製造（马）有限公司的初期缴足资本为3000万令吉或3000万股，丽鸿和日本火腿將各別持有该公司49%和51%股权。NHF製造主要生產、製造和销售加工肉类食品，混合原料及配料的深加工食品，將以「NipponNutriplus」品牌销售。

同时，双方也打算于今年推出NipponNutriplus首个產品和设立研发及生產工厂，惟工厂產量和地点，以及营运策略仍有待决定。

丽鸿执行董事叶佐豪指出，是次协议可以让丽鸿借助日本火腿的研发和生產技术，提升產品素质及进一步地扩大业务版图，至外国市场如中东、日本及区域国家。该公司目前主要是集中于本地市场。

「联营公司的发展將惠及丽鸿长期盈利表现，也將推高我们出口业务的盈利贡献比例。」

他补充，他们计划通过日本火腿，將现有商品出口至国外。

他也表示，虽然工厂详情仍在討论中，將赶在今年杪竣工，因此对丽鸿2017財政年（截至3月30日止）盈利贡献较少。

叶佐豪是在丽鸿及日本火腿签署联营协议后的记者会上，发表谈话。同场出席者，包括首相署部长魏家祥、丽鸿执行主席叶志鸿、日本火腿副总裁及代表董事（火田）佳秀和海外业务部主管藤井秀树。

被问及前来大马投资的原因，（火田）佳秀解释，这主要是因为大马家禽消费趋高和拥有良好的清真市场。

「我们希望通过联营公司，获得清真资格及出口產品至中东市场，加上日本火腿也尚未在大马设立据点。」

对于日本火腿是否计划进一步地增持丽鸿股权，藤井秀树表示，该公司將会胥视情况而进行股权买卖。日本火腿目前是丽鸿的第2大股东，持股率高达22.94%。

另一方面，在全利资源（QL，7084，主板消费股）于去年卖出38.63%丽鸿股权时，叶志鸿曾向媒体坦言，该公司不希望新大股东是同业，但隨后却私下配售新股予从事包装食品的日本火腿。

对此，叶佐豪表示，该公司和日本火腿不算是同业竞爭者，加上后者並未在大马设立据点和市场不同，所以不会有利益衝突。

丽鸿末季转亏1257万

（吉隆坡31日讯）丽鸿（LAYHONG，9385，主板消费产品股）截至3月31日末季由盈转亏，净亏1256万8000令吉，相较于上财年同季净赚445万8000令吉。

该公司解释，末季蒙亏归咎于股票发行计划导致一次性的1509万令吉股票成本开销，若排除这笔数额，公司仍可录得358万令吉的税前盈利。

营业额则按年下挫4.9%，至1亿6314万5000令吉，受累于综合畜牧业务和零售业务的营收下跌，因销量和平均价格走低，加上消费者买气疲弱。

累计全年，净利按年猛挫85.41%，至271万5000令吉；营业额则滑落3.85%，报6亿4582万6000令吉。【e南洋】
