Pursuant to the SSA, GUH Water irrevocably grants to the First Vendor a put option (“Put Option”) to require GUH Water to purchase from the First Vendor the remaining 30% of the issued and paid-up share capital of Teknoserv held by the First Vendor upon the exercise of the Put Option by the First Vendor, free from all encumbrances.On behalf of the Board of Directors of GUH, RHB Investment Bank Berhad wishes to announce that the First Vendor had, on 28 November 2013, exercised the Put Option pursuant to the SSA vide a put notice dated 28 November 2013. In accordance with the terms of the SSA, GUH Water is required to acquire the remaining 30% equity interest in Teknoserv for a total purchase consideration of RM4,461,787 to be satisfied by the allotment and issuance of 4,374,300 of GUH shares calculated based on the five (5)-day volume weighted average price of the GUH Shares preceding the date of the Put Notice of RM1.02 per GUH Share.
Upon completion of the Proposed Acquisition, Teknoserv will be a wholly-owned subsidiary company of GUH Water.
Details on the Proposed Acquisition are set out in the attachment enclosed.

大展末季净赚815万

(吉隆坡11日讯)大展控股(GUH,3247,主板工业产品股)截至去年12月杪末季,净赚815万令吉,较上财年同期的737万9000令吉,按年增长10.4%。
营业额则从上财年同期的6313万9000令吉,按年上扬11.1%至7016万3000令吉,每股盈利为3.08仙。
累积全年,该公司共净赚2998万7000令吉,按年降低17%;营业额则按年微涨2.2%,至2亿8656万9000令吉。
该公司指出,全年净利滑落是因为该公司在2012年脱售了Leader公司股权,造成股息收入减少所致。
另外,该公司为非流动资产进行重新估值后,把其每股净资产从截至去年杪的1.72令吉,增至目前的1.82令吉。【南洋网财经】

Based on the total market values given by Raine & Horne International Zaki + Partners Sdn. Bhd. and JuSu WanLong YongDing Real Estate, Land, Assets Appraisal Co., Ltd of RM113.3 million, GUH Group generated a net revaluation increase of properties and gain on fair value adjustment of investment properties of RM27.2 million and RM1.5 million respectively. 大展否认入股柬发电厂

(吉隆坡24日讯)大展控股(GUH,3247,主板工业产品股)今日在马交所发出文告否认有关入股Leader环球控股有限公司在柬埔寨打造的100兆瓦煤炭发电厂消息。
在向董事和主要股东查询后,大展控股表示并没有与Leader环球就柬埔寨发电厂业务进行具体洽谈,和任何书面安排。
根据《星报》今日引述消息人士谈话报导指出,大展控股有意入股Leader环球的柬埔寨发电厂业务。
该消息人士指大展控股与Leader环球都有共同的股东,有关协议正在商谈阶段,并假设大展控股购下柬埔寨发电厂的20%股权,预计大展控股需要拨出2亿5000万令吉的资金。
大展控股在早前已购入柬埔寨37.1兆瓦的柴油发电厂20%股权,这项资产营运权将在2015年到期。【南洋网财经】

电路板需求增 欧美复苏 大展控股业绩扭转
二零一四年五月五日 晚上七时二十一分
(吉隆坡5日讯)大展控股有限公司(GUH,3247,工业产品组)的电路板制造核心业务,预料将在今年扭转,因获得电器与电子产品的更强劲需求和美国与欧洲经济体复苏的迹象扶持。
大展控股首席执行员拿督方木弟表示,该集团已耗资约4000万令吉,以重组和调整其生产线。
他在The Edge财经周刊的一项访谈中称:“大部分资本开销是用于半自动化和全自动化机械,迎合生产拥有更佳盈利利润的更高电路板层数,同时也减少对劳工的依赖。”
“我们已经对双层至6层层数电路板展开销售努力,尤其是家居电器和受欢迎的影音产品。”
大展控股在槟城和中国苏州拥有2座电路板制造工厂。
在早前的报告中,Etiqa投资研究行提供的数据显示,该集团的槟城工厂在截至2013年12月31日止财政年蒙受570万令吉税前亏损,而苏州工厂则获得税前盈利1860万令吉。
Etiqa投资研究行说,槟城的产能主要是供应影音工业,而苏州则是迎合用于白色家电的较高档电路板。
它指出:“管理层预料槟城工厂将在2014年录得税前盈利500万令吉。我们估计则更加保守,只预期槟城经营可在2014年达到收支平衡。”
在2013财政年,电路板部门为集团税前盈利贡献了1292万令吉,比较一年前是1390万令吉。
在集团的产业部门方面,方木弟表示,大展控股今年将于森美兰芙蓉的武吉克峇央花园推介总值2亿令吉的住宅计划。
据方木弟披露,除了在森美兰物色额外地库外,该集团也探讨巴生谷和槟城。
他说:“我们开放所有可能性途径以获得土地。我们要确保我们产业部门的业务持续性,并继续累积经验成为一个具声誉的发展商,以扩充这个部门。”
根据大展控股2013常年报告称,该集团的地库截至12月31日止企于542.05英亩(219.31公顷)。
方木弟并不担心产业市场放缓,因大展控股主要专注于芙蓉。政府的打房政策预料将只对芙蓉产业市场造成微小的影响。
“我们在2013年创下不俗表现,半数买家是来自当地,而另外一半则是属于在巴生谷工作的专业人士。”
“基于过去的销售趋势和附近产业推介的反应与认购率,我们预期我们的销售将在2014年继续稳定或更佳。”
该集团在2013财政年录得939万令吉未记账销售,比较2012财政年只有190万令吉。
谈及最近投标雇员公积金局在槟城拥有的2间,酒店,即诺登酒店和葛尼酒店方面,方木弟表示,大展控股随时都对产业投资机会保持开放,以获得稳定收入。
他指出:“这包括购买现有资产或我们本身兴建的长期收入资产。话虽如此,这不意味着我们过度依赖持续收入成为产业部门的主要收入驱动力,除非我们对当地非常熟悉。”
报导称,拥有142间套房诺登酒店的叫价为5000万令吉,而259间房的葛尼酒店则达到1亿令吉。
有关大展控股将投标立达环球控股在柬埔寨第2座发电厂20%股权的传言方面,方木弟透露,该集团一直都‘有可能’收购该工厂股份。

大展控股斥近7000萬 收購投資控股公司

(吉隆坡19日訊)大展控股(GUH,3247,主要板工業)公佈首季業績穩健成長,同時以近7000萬令吉收購一家投資控股公司。
該公司向馬證交所報備指出,截至3月底首季,營業額按年增長24%,從 6190萬4000令吉增加至7676萬令吉,淨利則按年增長8%至666萬3000令吉。
大展控股亦另外報備指出,獨資子公司Notable Empire私人有限公司與Leader Universal房產私人有限公司達成有條件股橏脫售協議,以5753萬3524令吉收購Million Crest(M)私人有限公司99.46%股權。
此外,該公司也將額外支付1215萬5000令吉解決Million Crest(M)股東債券;換言之是項收購涉及總數6968萬8524令吉。

大展再规划18.6亩地 发展总值提高至6.5亿

(吉隆坡30日讯)大展控股(GUH,3247,主板工业产品股)相信,重新规划位于新邦安拔(Simpang Ampat)占地18.6英亩的地库,能提高发展总值(GDV)。
大展控股董事经理拿督方木弟表示,这项重新规划的发展总值约为6亿5000万令吉,早前为2亿3800万令吉。
根据原本的计划,该公司计划推出322个单位有地住宅单位,总值为2亿3800万令吉的项目。
“目前,我们计划透过推出商业、高楼和可负担房屋来提高产业价值。”
方木弟是在昨天出席特别股东大会后,向记者发表谈话。
大展控股在大会中获得股东同意,以6968万令吉购买Million Crest公司99.46%股权。
根据早前的献议内容指出,该公司计划在槟城威省推行发展总值2亿3800令吉的综合发展项目。
方木弟表示,有关土地献购相信能在2周内完成,而该项目相信需要8至10年时间完成。
此外,大展控股希望,产业业务能为公司营业额带来超越20%贡献,去年为15%。
由于该片土地位于威省南部,属策略位置,加上槟城可负担房屋需求不断走高,他对于这项发展项目相当有信心。【南洋网财经】 |
