建议多元化业务 启昌供应铝土矿

（吉隆坡12日讯）启昌有限公司（ASDION，0068，创业板）建议将业务多元化至供应铝土矿（bauxite），新业务预计可为集团贡献25%以上的净利。

启昌向大马交易所报备，独资子公司Venice Sanctuary私人有限公司（VSSB）在6月2日签署一份采购承购协议，供应铝土矿予香港国际矿业权交易所有限公司（HKIM）。

该集团表示，随着多元化业务，将继续监控该行业和进行成本合理化措施，以处理该行业固有的风险因素。

文告指出，自印尼在2014年3月禁止矿物出口，该集团旨在把握中国向大马铝土矿不断增加的需求。

去年11月，中国从大马进口的铝土矿增加14倍，未来一年的出口量预计达1000万吨，相比过去9个月的127万吨。

“董事部乐观，多元化计划将进一步提升集团未来前景。预计将为截至2016年3月31日止财政年盈利作出贡献。”

该公司补充，这将辅助物流业务，并多元化收入来源。

这项多元化计划预计将在第3季完成，而该集团必须在来临的股东特别大会上获得股东的批准。

（吉隆坡2日讯）启昌（ASDION，0068，创业板）对子公司股权的计算出现错误，导致已审计与未审计财报出现35.6%差距。

文告指出，根据截至3月杪的已审计财报，启昌实为净亏281万令吉，相较未审计财报的净亏207万200令吉，两者相差了73万8000令吉，相等于35.6%。

公司算错了一间子公司的非控制性股权，因而促使已审计与未审计财报出现10%以上差距。【南洋网蔡京】

人事动荡‧没公布理由 启昌新任董事主席辞职

（吉隆坡28日讯）启昌（ASDION，0068，创业板）董事部出现变动，甫上任的董事和主席，在今天纷纷宣布辞职。

根据文告，启昌执行董事拿督莫哈末利祖安宣布辞职，惟没有公布辞职的理由。

而另一名执行董事拿督严顺爱（译音），也同样递上辞呈。

刚上任为启昌主席的东姑阿兹兰，也同时宣布辞职。值得注意的是，他也是彭亨苏丹的皇弟。

今年4月，启昌新上任的执行董事拿督莫哈末利祖安指出，TAZ物流私人有限公司所贡献的净利，可帮助公司在未来6个月内转亏为盈。

经审计业绩落差36%

2月时，启昌以600万令吉，向莫哈末利祖安收购TAZ物流公司的51%股权，正式进军关丹港口物流业务。

完成收购后，莫哈末利祖安受委为董事，帮助启昌走向新业务方向。

同时，公司也委任东姑阿兹兰为主席。

在上个月11日，由于启昌的股价暴跌，因而遭马交所发出不寻常市场交易（UMA）质询，当时，启昌的股价在过去12个交易日内下挫了53%。

随后在今年9月，启昌宣布，对子公司股权的计算出现错误，导致已审计与未审计财报出现35.6%差距。

根据截至3月杪的已审计财报，启昌实为净亏281万令吉，相较未审计财报的净亏207万200令吉，两者相差了73万8000令吉，或35.6%。

启昌原本的核心业务是软件编程，不过由于该业务亏损累累，因此决定多元化业务至物流领域。【南洋网财经】

小股東不滿高價購TAZ物流‧啟昌：暫不置評

（吉隆坡28日訊）啟昌集團（ASDION，0068，創業板科技組）小股東對公司“高價”多元化業務至物流領域存有疑慮，惟管理層不置可否，僅表示會在有進一步進展時才作正式宣佈。

該公司小股東今日在股東大會提出種種疑問，一位小股東在會後表示，他不滿公司以過高溢價收購TAZ物流，卻無法保證有關收購能否帶來盈利貢獻，並且TAZ物流的港口執照將在2017年到期，公司也沒說明有甚麼進一步計劃。

啟昌集團早前是以600萬令吉收購TAZ物流51%股權。

該公司首席執行員葉鎧聚受詢時不願多加評論，僅表示會和管理層開會後再作進一步公佈。

不過，談及旗下獨資子公司Venice Sanctuary公司與香港礦物交易所的首次船運，他表示，原本定在7月首航，但由於許多準備工作尚未完成，需要更多時間準備。

截至3月，該公司未經過審計的淨虧為207萬令吉，和審計後的淨虧281萬令吉，差距了35%或74萬令吉。出現這次的誤差，是因為該公司對於新購子公司的非控制性股權計算錯誤。

不評論3董事辭職

另一方面，該公司3位董事在特大前辭職；包括非執行主席和兩位執行董事於在上週六辭職，分別是東姑阿茲蘭、嚴順艾（譯音）和莫哈末利川。

該公司管理層不願對此事作出評論。

這3名董事原本應該在今天的股東大會中重新被遴選。

東姑阿茲蘭為關丹港口理事會的主席，莫哈末利川則是TAZ物流的董事，持有該公司34%股權。（星洲日報／財經）

启昌向大马交易所报备，已于上周对Taz Metals私人有限公司（第一被告）、Tengku Azlan Ibni Sultan Abu Bakar（第二被告）、Tengku Aslahuddin Ja'afar Tengku Azlan（第三被告）、Tunku Jawahir（第四被告），以及Datuk Mohamed Ridzuan Nor Md（第五被告）发起法律行动。

Tengku Azlan和Mohamed Ridzuan上个月辞去董事职位，后者上周也辞任Taz Logistics董事。

“他们被控以串谋损害，第一被告明知收取信托财产，第一、第二和第三被告故意协助第四和第五被告违反其在Taz Logistics的受托责任，而第四和第五被告违反Taz Logistics的受托责任。”

Dato’ Ridzuan was in charge of the operations at Taz Logistics up until his resignation. Taz Logistics, a total logistics solution provider based in Kuantan, is a 51% subsidiary of the Company. The remaining 49% equity interest are collectively held by Dato’ Ridzuan and Y.A.M Tunku Jawahir binti Tuanku Ja’afar (“Tunku Jawahir”). Following Dato’s Resignation, the Company has appointed Jason Minos Anak Peter, executive director of the Company, to conduct the business operations of Taz Logistics. 上週起訴前董事‧啟昌不評論TAZ物流訴訟案

（吉隆坡2日訊）啟昌集團（ASDION，0068，創業板科技組）針對TAZ物流事宜狀告前董事，該公司今日不願進一步置評。

該公司執行主席莫哈末法立在股東特大後表示，針對上週對前董事進行訴訟的一案，現階段不便發表意見。

啟昌集團懷疑旗下位於關丹港口的堆料場租約被轉給前董事有關的公司，而決定向數位違背信托責任的前董事採取法律行動，包括拿督利朱安、Taz Metals私人有限公司、登姑阿茲蘭、登姑阿斯拉胡丁和敦姑嘉瓦西。

莫哈末法立補充，待有關訴訟結案後，公司將透露更多詳情。

他也表示，公司最近期引進TAZ物流的新管理層，他們在物流領域方面具備相當的經驗，因此看好該物流業的發展。

他表示，公司早前以600萬令吉收購TAZ物流51%股權，目前正在向關丹港口申請散裝干貨（DryBulk）服務執照。

他補充，有關上述執照每年都需要更新，若無法獲得新執照，可能會對公司財務造成一定負面影響。

购20卡车拓展 启昌看好物流业前景

（吉隆坡8日讯）启昌（ASDION，0068，创业板）向陈唱摩多（TCHONG，4405，主板消费产品股）间接子公司，购买20辆欧曼（Auman）卡车，扩展旗下物流业务。

根据文告，启昌子公司Asdion项目协同效应公司（简称APS），已向Angka-Tan摩多公司购入这些卡车，启昌看好这将支撑持股51%的Taz物流公司增长。

在20辆新购入的卡车中，有5辆将在今日投入营运，其余15辆将在未来数周逐步交付给启昌。

APS执行董事杰森米诺斯（Jason Minos）在交付仪式上指出，公司在关丹从事物流业务，而该业务也持续捎来贡献。

“尽管面临许多挑战，我们还是决定扩展物流业务，相信这些卡车开始投入营运后，可减少营运成本和提高效率。”

展望未来，启昌看好物流业务纳入这些新卡车后，运输承载量可在明年提高3倍，也放眼在明年首季新增更多机器。

We refer to the news article titled "Solace in moratorium" which appeared in the StarBiz newspaper on 11 January 2016, in particular the sentences that read: "Asdion, which had recently ventured into the commodity trading business, had in June secured a RM414mil contract from Hong Kong International Mining Exchange Ltd to supply four million tonnes of bauxite over two years." "It is not known whether the company is able to continue with the shipments as a result of the moratorium." The Board of Directors of Asdion wishes to clarify the following:-  (a) In accordance to the Sourcing and Off-Take Agreement dated 2 June 2015 entered between Venice Sanctuary Sdn Bhd ("VSSB”), a wholly-owned subsidiary of Asdion and Hong Kong International Mining Exchange Ltd ("HKIM"), VSSB is contractually required to supply commodity to the latter over a period of two (2) years and the supply is on a per written order basis with no form of any monetary penalty should the supply fails to materialise.  (b) Asdion obtained shareholders’ approval to commence it's sourcing and supply of commodities business via Asdion's Extraordinary General Meeting held on 2 November 2015 ("approval date") and unfortunately the approval date overlapped with the commencement of the monsoon season as commonly occurs throughout Malaysia (in particular the East Coast of Malaysia) and this has in turn affected the quality of bauxite commodity that is required by HKIM. Due to this, Asdion, has not commenced the supply of bauxite commodity to HKIM as to-date.  Premised on the above, the recent 3-months moratorium on bauxite mining activities in Pahang with effect from 15 January 2016 has no negative impact on the business operations of Asdion as a whole. Nevertheless, as elaborated in Asdion's circular dated 16 October 2015, the management of Asdion will remain vigilant to the latest industry developments and respond appropriately to any forms of applicable industry and/or economic developments.
