HCK卖子公司 收购资產

(吉隆坡30日讯)HCK资本(HCK,7105,主板工业股)建议以3448万令吉,全面脱售其子公司--Golsta私人有限公司,同时,以3073万令吉收购Straits私人有限公司。
该公司文告指出,与两名商人--蔡文勇及黄莱凯(人名皆译音)达成股票买卖协议,以3448万令吉全面脱售Golsta私人有限公司。
HCK资本指出,此项脱售活动將合理化及整合公司的业务及营运,脱售所得將作为收购Straits私人有限公司的资金。
脱售所得资金中的3000万令吉,將作为向大股东丹斯里许国志父子收购Straits私人有限公司用途;378万令吉为营运资本,剩余的70万令吉则支付相关的费用。该收购活动符合公司扩大在巴生谷及其他策略地点的地库,以进一步发展產业贸易、投资及发展活动。【东方网财经】

HCK資本有意購地‧發展綜合產業

(吉隆坡20日訊)產業市場雖放緩,HCK資本(HCK,7105,主板工業產品組)有意伺機收購地庫。
公司執行董事梁頌華在股東大會後表示,目前產業市場雖放緩,但公司有意收購更多策略性的地庫,充作往後產業發展計劃。
“公司有意發展綜合式的產業,如住宅及商業資產。”
該公司今日通過以3千萬令吉向丹斯里許志國收購Equal Straits私人有限公司100%股權的議程。
Equal Straits是投資控股公司,目前在首邦再也建造12層樓辦公樓,預計2017年竣工。
許志國是HCK資本的大股東,持有55.23%股權。
梁頌華表示,上述辦公樓總面積約13萬3千平方英尺,公司每平方英尺的收購價平均為650令吉。
“對比相同地段的住宅區,每平方英尺的售價是1千令吉左右。”
他說,包括阿拉白沙羅經營產業管理項目在內,公司目前所有資產總額約6千萬令吉。
“公司目前並沒有本身產業項目,因此完成首邦再也的產業項目後,再伺機推出自身的產業發展項目。”
詢及餐飲業務方面,他表示,公司目前只在谷中城開設一家Jamaica Blue咖啡廳,預期今年杪會在實達及劉碟廣場各開設一家。
“該品牌來自澳洲,以中層階級客戶為主要目標。”
他補充,對比產業業務,餐飲業務的貢獻不會太大,但公司會不斷發展這項業務。(星洲日報/財經)

HCK资本3创办人辞职

(吉隆坡26日讯)HCK资本(HCK,7105,主板工业产品股)3名创办人以其他工作为由,辞去执行董事职位。
根据文告,丁瑞英(人名皆译音)、戴广源和廖德英,在执行主席丹斯里许志国全面献购后的19个月,向公司提出辞呈。
早前,许志国向丁瑞英、戴广源和廖德英,收购前称为金星机械公司的HCK资本股权,至37%;而这3名创办人,也因而失去大股东地位。
随后,许志国再展开全面献购,把股权增持至52.21%。
这3名创办人也逐步脱售本身股权,直到今年6月,他们手中几乎不再持有HCK资本股权。
目前,廖德英和戴广源分别持有HCK资本0.005%和0.014%。【南洋网财经】

(吉隆坡5日讯)HCK资本(HCK,7105,主板工业产品股)3位创办人辞职,包括执行董事余德兴,并将由梁忠华(译音)接任。
根据文告,余德兴、独立非执行董事孙施福和洪瑞庭(人名皆译音)分别以其他工作和私人理由为由,辞去公司的职务。
上述3人是HCK资本的创办人,公司前称为金星机械。
执行主席丹斯里许志国在19个月前,向3人收购股权至37%,然后再展开全面献购,把持股权推高至52.21%。

(吉隆坡10日讯)HCK投资有限公司(HCK,7105,产业组)子公司Aspen股份私人有限公司(AESB)计划以150万令吉,收购产业投资与贸易活动公司Oscar Springs发展私人有限公司,以扩展产业发展业务。
HCK投资透过大马交易所发布文告指出,Aspen股份已和卖家Idea管理与服务私人有限公司签署一项股权买卖协议,以上述价码收购Oscar Springs发展40万股每股面值1令吉的股票,或相等于100%股权。
HCK投资表示,签署股权买卖协议后,75%的股权已转移至Aspen股份,而其余的10万股或相等于25%股权,在买卖协议的条件达成与剩余款项付清后,全数归到Aspen股份名下。
有鉴于此,Oscar Springs发展如今是HCK投资间接持股75%的子公司。
“收购Oscar Springs发展有助该集团进一步扩展产业发展活动,并巩固集团的长期增长前景。”
HCK投资的业务范围涉及工程与产业管理及投资控股、媒体相关服务、餐厅营运商的特许经营和执照,该集团前称为金星机械有限公司(Golsta Synergy Bhd)。

OBSB is a private limited company incorporated in Malaysia under the Companies Act, 1965 on 16 February 2016. It has an authorised capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each (“OBSB Shares’). The issued and paid-up share capital of OBSB after Subscription 1 is RM100.00 comprising 100 OBSB Shares.
OBSB is presently dormant and its intended principal activity is investment holdings.
Simultaneously, OBSB has on even date subscribed 67 ordinary shares of RM1.00 each representing 67% of the enlarged issued and paid up share capital of KESB at par for cash (“Subscription 2”). KESB is now a 67% owned-subsidiary of OBSB.
KESB is a private limited company incorporated in Malaysia under the Companies Act, 1965 on 16 February 2016. It has an authorised capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each (“KESB Shares’). The issued and paid-up share capital of KESB after Subscription 2 is RM100.00 comprising 100 KESB Shares. KESB is presently dormant and its intended principal activity is property development.
The Subscription 1 and Subscription 2 do not have any material effect on the earnings, net assets and gearing of HCK Group for the financial year ending 31 December 2016. None of the directors and major shareholders of HCK and its subsidiaries or persons connected with them, have any interest, direct or indirect, in the Subscription 1 and Subscription 2.
The Board is of the opinion that the Subscription 1 and Subscription 2 are in the best interest of the HCK Group.
The announcement is made pursuant to paragraph 9.19 (23) of the Listing Requirement as OBSB has become a 51% owned subsidiary of HCKP and KESB has become a 67% owned subsidiary of OBSB.

(吉隆坡6日讯)HCK资本(HCK,7105,主板工业产品股)旗下KORIDOR EFEKTIF私人有限公司(简称KESB),宣布以1350万令吉,相等于每英亩45万令吉,在古晋购买一片面积12.14公顷的工业地皮。
根据文告,上述合约是由KESB与CTR Prefab系统所签署。
以HCK资本在KESB的34.17%持股权估算,所需缴付的收购金额,是461万2950令吉,将通过内部筹资所得。
该公司表示,能够从上述地皮的未来发展中受惠,进而扩大及拓展净利规模,并改善长期增长前景。
这项收购能让HCK资本进一步拓展产业相关业务,特别是房产发展,符合公司持续寻求合适和可行收购的机会。

(吉隆坡8日讯)HCK资本(HCK,7105,主板工业产品股)间接子公司和Daya Builders私人有限公司(DBSB),联营发展砂拉越古晋的公寓项目。
该公司向马交所报备,持股70%的间接子公司HCKPremier Builders私人有限公司(HPBSB),今日和DBSB签署联营发展协议。
该公寓将有448个单位,分3个阶段发展,估计将在36个月的期限完成。
DBSB获砂拉越房屋发展局(HDC)授予土地和项目权力,而HPBSB将受委计划、发展、管理、兴建和完成该项产业项目。
