（吉隆坡27日訊）配合公司清盤計劃，太平金溢（PACMAS，4782，主板金融組）放眼今年10月完成每股95仙資本回退活動，並於12月正式自馬股除牌。

公司首席執行員黃漢順（譯音）在出席股東大會後，向《星洲財經》透露，相關資本回退計劃還有待高等法庭批准，惟相信不會面對太大阻礙，預料能如期完成。

他補充，一旦完成每股95仙資本回退後，公司內部將剩下約每股5仙的資產價值，這筆尾數將在完成清盤活動後才回退給股東，他估計，股東得在約1年後才能獲分剩餘尾數。

他強調，股東將在整項清盤活動下獲3次現金回退，總現金回退額約為每股3令吉40.5仙，首批以特別股息形式派發給股東的2令吉40.5仙現金，已於本月13日除權。

針對太平金溢在本月初因配合除牌及清盤活動而宣佈派發每股2令吉40.5仙特別股息，不料卻引起投資者誤會而導致股價一度莫名飆漲，黃漢順對此表示遺憾，懷疑部份散戶誤解瞭解有關股息的目的。

“我們早在脫售核心資產時已經聲明，公司股東將在清盤計劃下獲派每股約3令吉40仙，因此股價在本月初一度漲至4令吉25仙顯然不合理。”

他還強調，在察覺股價暴漲後，公司當時即立即發文告提醒投資者認清事實，惟還是有許多散戶未查閱交易所文告，而不清楚狀況，還有小部份散戶直接致電到公司查問特別股息事宜。

針對為何公司選擇在脫售資產後除牌及清盤，而沒有考慮另外找尋新業務的疑問，黃漢順表示這主要是為配合母公司華僑銀行（OCBC）的意願。

“華僑銀行業務受限於金融條例，被禁止涉足金融以外的市場，所以當太平金溢脫售保險業務後，很難再找尋其他代替業務，重新收購保險資產也不合邏輯，藉清盤釋放股東價值是最好的做法。”（星洲日報／財經）

（吉隆坡10日訊）太平金溢（PACMAS，4782，主要板金融）每股資本回退95仙，展開清盤和除牌活動；資本回退后，該公司將持有現金和特定不動產。

太平金溢今日向馬交所報備，根據上市公司條例64，該公司將對每股1令吉面值普通股進行資本削減至5仙，公司股東可獲得現金資本回退95仙，除權日為8月24日，付款日為8月28日。

該公司在5月16日特大通過這項資本回退計劃，並于8月2日得到高庭批准。

Capital repayment of RM0.95 in cash for each ordinary share of RM1.00 held in PacificMas Berhad ("PacificMas" or the Company") via the reduction of the par value of each ordinary share of RM1.00 each in PacificMas to RM0.05 each pursuant to Section 64 of the Companies Act, 1965 ("Capital Repayment").

In view of the above, the reference price is set to RM 0.14 on 24/08/2012 (Ex-date).

The reference price is merely an indicative price for the shares to be traded within the trading limits. The fair value of the shares should be determined by the market forces.

马交所透过一项通告表示，上述参阅价只是太平金溢股票的指标价，会在交易限制内交易。

马交所说：“该股票合理价值应由市场决定。”

We refer to our announcement dated 10 August 2012 in relation to the entitlement and payment dates for the capital repayment of RM0.95 in cash for each ordinary share of RM1.00 held in PacificMas Berhad ("PacificMas" or the Company") via the reduction of the par value of each ordinary share of RM1.00 each in PacificMas to RM0.05 each pursuant to Section 64 of the Companies Act, 1965 ("Capital Repayment").

We wish to reiterate that the Capital Repayment, which has gone ex today, is part of the Proposed Distributions made pursuant to Section 4, Part A of the Circular. The Capital Repayment was approved by the Shareholders at the EGM on 16 May 2012 and confirmed by the High Court on 2 August 2012. Please refer to the Circular for further information on the Capital Repayment.

As mentioned in the announcement of 10 August 2012, upon completion of the Capital Repayment, PacificMas will only be holding cash and certain illiquid assets. Therefore, the Board of PacificMas intends to initiate the proposed members' voluntary winding-up of PacificMas in accordance with the Companies Act, 1965 ("Proposed Winding-Up") after the Capital Repayment. The Proposed Winding-Up will be undertaken to facilitate the liquidation of the remaining illiquid assets and thereafter, return the net cash recoverable arising thereof to the shareholders. Thereafter, as there is little or no advantage to remain listed, it is not the intention of the Board to maintain the listing status of the Company. Accordingly, an application will be submitted to Bursa Securities to de-list the Company from the Official List of Bursa Securities after the receipt of the Shareholders' approval for the Proposed Winding-Up.

（吉隆坡24日訊）太平金溢（PACMAS，4782，主板金融組）資本回退95仙今日除權，內部資產僅剩每股5仙，但股價卻在投資者熱炒下，盤中一度暴漲214.29%至44仙，紙上價值明顯被放大。

太平金溢股價暴漲也引來管理層注意，特別發文告提醒投資者，重申其股價將在特別股息除權後調低，而在完成脫售多家公司股權後，公司也建議進行每股95仙資本回退，惟一旦落實上述建議，旗下僅剩一些不流通資產，因此保留上市地位好處不多，董事部無意維持上市地位，將向大馬股票交易所申請除牌，隨即進行清盤活動。

交易所在昨日宣佈把每股1令吉面值股削減剩5仙，並資本回退95仙予股東後，股價參考價將為14仙。

太平金溢首席執行員黃漢順（譯音）早前表示，一旦完成每股95仙資本回退後，公司內部將剩下約每股5仙的資產價值，這筆尾數將在完成清盤活動後才回退給股東，估計股東得在約1年後才能獲得剩餘尾數。

但該股股價未受上述消息影響，全日走勢如虹，開盤即起2仙至16仙，盤中一度在洶湧買盤扶持下，衝上44仙全天最高，大起30仙或214.29%，爾後漲幅遭套利活動侵蝕，最終報37.5仙，起23.5仙或167.86%，擠入馬股10大上漲股。

其實，太平金溢自宣佈配合資產脫售和清盤計劃，將派發每股2令吉40.5仙特別股息，以及資本回退每股95仙消息後，其股價經常“離奇＂走揚，令市場分外關注。

其中，太平金溢在6月5日即因特別股息消息上演漲停板戲碼，全日揚升1令吉零1仙或30.61%至4令吉31仙，創下1997年12月以來最大漲幅。

隨後，在公佈資本回退除權日期後，於8月10日迎來新一輪漲潮，盤中最高衝上1令吉20仙，上漲12仙或11.11%，收報1令吉16仙，起8仙。

市場人士認為，由於太平金溢已明確表示在完成資產脫售和清盤計劃後將除牌，因此縱然股東可獲得2令吉40.5仙特別股息，以及資本回退95仙，但在除權之後買進的股東無法享有此權益，股價並無隨之暴漲的理由。（星洲日報／財經）

太平金溢自願清盤‧每股盈餘剩5.14仙

（吉隆坡11日訊）太平金溢（PACMAS，4782，主板金融組）宣佈委任清盤師進行自願清盤行動，包括將剩下的不流通資產變賣套現，預料每股尚可獲得5.14仙。

該公司將召開特大尋求股東批准清盤建議。

該公司文告指出，截至2012年9月11日，該公司估計尚存的資產為1千307萬4千令吉，而負債則為427萬7千令吉，使它尚有879萬7千令吉的盈余，或是每股5.14仙。

該股今日閉市報36.5仙。

文告指出，上述清盤行動所獲的真正款項數額，將胥視清盤師在繳清負債及套現所得的數目而定。而該公司無意保留上市地位，將會向大馬股票交易所申請除牌。（星洲日報／財經）

同一項投資，錯一次，可以說“一時失察＂；錯兩次，應該是“眼光不準＂；到了第三次，你可能會開始懷疑，到底我們的股市是哪裡出了問題？

太平金溢（PACMAS，4782，主板金融組）的股價走勢，就有“本事＂讓你開始對大馬股市存疑。

話說第一回合，太平金溢是在6月初宣佈，每股2令吉40.5仙的特別股息的除權與派發日，股價即高唱漲停板，由3令吉30仙漲至4令吉31仙，暴漲1令吉零1仙。

當時，該公司一發現“不對勁＂，立即發表文告聲明：有關特別股息是為了配合公司清盤而發，而公司總共將派發3令吉35.5仙（即2令吉40.5仙的特別股息＋95仙的資本），以及最後清盤所剩的約5仙。

也即是說，這只股約值3令吉40.5仙，惟當天股價卻以4令吉31仙作收，“溢價＂高達90.5仙。

所以，到了第二天，該股狂吐74仙或17.17%，收盤報3令吉57仙，結束了“第一次烏龍之旅＂。

第二回合發生在8月：該公司宣佈了第二輪每股95仙資本回退的除權與派發日，股價再度飛揚，一度攀上1令吉20仙，漲11%。

同樣的，該股時約值1令吉（即回退額95仙+清盤後的5仙），而投資者“追高＂了20仙。

最令人納悶的，還是在9月上演的第三回合：該公司宣佈，在委任清盤師進行自願清盤行動，將剩下的不流通資產變賣套現後，預料每股尚可獲得5.14仙。

當時的股價是36.5仙，當天起6仙，隨後雖滑落，卻仍企於34仙水平。

如果這是一項正確的投資，你會以34仙去買一隻5.14仙的股嗎？換個角度，你持有的股票只值5.14仙，而有人出價34仙，你還不賣嗎？

其實，太平金溢的“股價神話＂，或許與它“大方派息＂的形象不無關係。

去年3月，該公司以2億1千648萬令吉成價，完成脫售太平洋保險100%股權後，即宣佈派發高達1令吉69.8仙的特別股息，激勵當時的股價一度飆升1令吉22仙至5令吉90仙，寫下超過8年的最大漲幅。

不過，到了10月，由於一直找不到理想的資產注入，母公司遂悉數購回所有業務，總值4億5千萬令吉，並對太平金溢展開了資本回退、清盤與除牌的計劃。

目前，該公司已經訂下股東特大的日期（10月15日），以尋求股東批准清盤建議。屆時，該股將停牌，並在向交易所申請除牌獲準後正式下市。

也即是說，即使是大方派息的形象太過“深入民心＂，但此時此際，也敵不過該公司已經走到清盤除牌的“最後一道程序＂了。

股價一漲再漲，到底是誰在“搶購＂？如果是散戶或小投資者，顯示我國投資者還很不成熟、不明智，完全沒有“做功課＂，也無怪乎常會成為“最終的受害者＂。

然而，如果說是炒家在炒股，就更加無法理解了，明明已經是攤開的事實，也能炒得起來，顯示我國投資者真的迫切需要再教育。

同一個投資，一錯再錯；同一個課題，一炒再炒；這也算是馬股的一項“奇蹟＂吧。（星洲日報／焦點評析：劉素雲）

（吉隆坡15日訊）太平金溢（PACMAS,4782,主板金融組）最後一次的特別股東大會，因有小股東不滿清盤過程而出現以投票表決議案的“小插曲＂，惟清盤計劃最終仍在超過99%的贊同票中通過。

小股東要求投票表決
該公司今日在特大中，通過兩項議案，包括自願清盤和委任清盤師。

配合自願清盤活動，該公司也自今日起暫停交易，並將向交易所申請除牌以正式下市。

這項特大，原定在早上11時開始，惟據悉，股東在特大中踴躍發問，同時質疑該公司清盤的動議，當場更有小股東要求該公司，以投票方式來表決，導致特大耗時超過2小時，直到下午約1時30分才圓滿落幕。

儘管該公司決定資本回退，但部份小股東可能對這家“大方派息＂的公司依依不捨，一名小股東表示，部份小股東可能不滿意清盤程序和資本回退的數額。

反對票僅佔0.49%
無論如何，最終的反對票僅佔微不足道的0.49%，棄票也僅佔0.01%，導致議案最終仍在贊同聲浪中通過。

太平金溢早前通過以4.2億令吉脫售太平信托基金予大馬華僑銀行資本，再回退資本3令吉35仙予股東，該公司之後再把原有的1令吉面值削減至5仙，將削去的95仙資金回退股東。

該公司因資本回退計劃後僅剩一些不流通資產，因此無意保持上市地位，決定踏上“清盤＂之路。
